Komplai Terms of Use

Welcome to Komplai! These Terms of Use ("Terms") govern your access and use of Komplai, an AI-powered compliance and accounting platform ("Platform"). By using Komplai, you agree to these Terms. If you do not agree, please do not use our services.

1. Who We Are

Komplai is an AI-powered continuous close platform designed to help finance teams automate bookkeeping, reconciliation, and month-end close processes.

2. Who Can Use Komplai

To use Komplai, you must:

• Have the authority to enter into a binding agreement on behalf of yourself or the entity you represent;
• Provide accurate and complete information when signing up.

3. Your Responsibilities

You agree to:

• Use the Platform in compliance with all applicable laws and regulations.
• Keep your login credentials secure.
• Not misuse or attempt to disrupt our services.
• Not use Komplai for unlawful or fraudulent activities.
• Review and approve all AI-generated suggestions before they are posted to your accounting system.
• Maintain appropriate internal controls and oversight over your financial records.

4. Acceptable Use

You agree not to use Komplai to:

• Process transactions related to illegal activities;
• Facilitate fraud, money laundering, or tax evasion;
• Circumvent maker-checker controls or approval workflows;
• Misrepresent your financial position to auditors, investors, or regulators.

5. Services We Provide

Komplai provides AI-powered automation tools for reconciliation, invoice management, close workflows, and financial reporting. Our AI analyzes your financial data and suggests transaction matches, classifications, and journal entries.

Important:

• Komplai is not a law firm, accounting firm, or financial advisor. We do not provide legal, tax, or financial advice.
• AI suggestions are not professional opinions. Our AI provides recommendations based on patterns in your data. These suggestions require your review and approval before taking effect.
• You are responsible for your books. Komplai helps automate your workflows, but you remain responsible for the accuracy of your financial records, regulatory filings, and compliance obligations.
• Komplai does not replace professional advisors. You should consult qualified accountants, auditors, or legal professionals for advice on complex transactions, regulatory matters, or audit preparation.

6. Your Data

• You own your data. All financial data you upload or connect to Komplai remains your property.
• You grant us a license to process it. By using Komplai, you grant us a limited license to access, process, and analyze your data solely to provide our services.
• We don't sell your data. See our Privacy Policy for details on how we handle your information.
• Data on termination. When you close your account, we delete your data from our active systems within 30 days, unless retention is required by law or you request an export.

7. AI and Automation

Komplai uses artificial intelligence to automate accounting tasks. By using our Platform, you acknowledge that:

• AI outputs are suggestions. All AI-generated matches, classifications, and entries are recommendations that require your approval.
• You control what gets posted. Nothing is written to your accounting system without your explicit approval through our maker-checker workflows.
• AI learns from your decisions. Our system improves its suggestions based on how you classify and approve transactions. This learning is specific to your account.
• AI can make mistakes. While we work to improve accuracy, AI suggestions may contain errors. You are responsible for reviewing suggestions before approval.

8. Payments & Subscriptions

• Some features are free, while others require a paid subscription.
• Paid subscriptions are billed monthly or annually, depending on your plan.
• By subscribing, you authorize us to charge your payment method on each billing cycle.
• If payment fails, we will notify you and may suspend access to paid features until payment is resolved.
• Prices and features may change. We will notify you at least 30 days before any price increase takes effect.
• Refunds: We generally do not provide refunds. However, if you experience extended service unavailability due to an issue on our end, contact us to discuss a credit or refund.

9. Third-Party Services & Integrations

Komplai integrates with third-party services, including accounting systems, banks, and payment gateways. We are not responsible for the actions, availability, or policies of these third parties. Your use of third-party services is governed by their respective terms.

10. Intellectual Property

• All content, trademarks, and technology related to Komplai are owned by us or our licensors.
• You may not copy, distribute, or use our content without permission.
• You retain ownership of any data, documents, or content you upload to Komplai.

11. Limitation of Liability

• Komplai is provided "as is" and "as available."
• We do not guarantee uninterrupted or error-free service.
• We are not liable for: indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or business interruption, even if we were advised of the possibility of such damages.
• Liability cap: Our total liability for any claims arising from your use of Komplai is limited to the fees you paid us in the 12 months before the claim arose, or ₹50,000 (or USD $500), whichever is greater.
• Exceptions: These limitations do not apply to liability arising from our gross negligence, willful misconduct, or fraud.

12. Termination

We may suspend or terminate your access if:

• You violate these Terms.
• We discontinue the Platform.
• Required by law.

You may terminate your account at any time by contacting us or using the account settings. Upon termination, your right to use Komplai ends immediately. See Section 6 for how we handle your data after termination.

13. Governing Law & Disputes

• These Terms are governed by the laws of India.
• Any disputes will be resolved in the courts of Bengaluru, India.
• Before initiating legal proceedings, you agree to attempt to resolve disputes informally by contacting us at info@letskomplai.com.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes at least 30 days in advance. Continued use of Komplai after changes take effect means you accept the updated Terms.
