Terms of Service

For the purposes of these Terms of Service (hereinafter the "Terms"), the following definitions shall have the meanings set forth below:
These Terms form a legally binding agreement between the Client (“you”) and the Walm (a product of Processio LTD, a company incorporated and registered in Cyprus with company number HE450425, whose registered office is at Riga Feraiou, 7-9б LIZANTIA COURT, Flat/Office 310, Agioi Omologites, 1087, Nicosia, Cyprus) and govern your access to and use of the Services through a Browser, including any updates, upgrades, or supplements to the Services, subject to any additional terms that may apply to such updates, upgrades, or supplements. By accessing or using the Services, the Client provides full and unconditional consent to these Terms, which shall have the same legal force and effect as if executed in writing by both Parties.
The Services are protected by the Intellectual Property Rights of the Waml and/or its respective licensors and service providers.
The terms of our Privacy Policy and Cookie Policy, available at https://wamlapp.com/privacy and https://wamlapp.com/cookies respectively, are incorporated into these Terms by reference and form part of this agreement.
These Terms constitute the entire agreement between you and the Waml with respect to the Services and supersede all prior discussions, proposals, representations, or understandings, whether written or oral, relating to the subject matter hereof.
By accessing, registering for, or using the Services, you:
(a) acknowledge that you have read, understood, and reviewed these Terms; and
(b) accept and agree to be legally bound by them, including any prices for the Services and all annexes or schedules that form an integral part of these Terms.
If you do not agree to these Terms, you must immediately discontinue use of the Services.
The Waml reserves the right, at its sole discretion, to modify these Terms, at any time and without prior notice. If the Waml modifies these Terms, the Waml will post the modification at wamlapp.com. The Waml will endeavour to notify you of any changes by email but will not be liable for any failure to do so. The Waml will also update the "Effective Date" at the top of these Terms.
By continuing to access or use the Services after the Waml has posted a modification on the website or provided you with notice of a modification, you are indicating that you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, please do not access or use the Services.
Subject to these Terms, and to your timely payment of all fees in accordance with the applicable Payment Terms, the Waml grants you a limited, non-exclusive, non-transferable, and revocable licence to access and use the Services strictly in accordance with the Services’ documentation and these Terms.
You may access and use the Services on your Device solely for your personal and internal purposes. The licence does not permit use of the Services by, or for the benefit of, any third party other than you.
Eligibility.
The Services are intended solely for individuals who are at least eighteen (18) years old. By accessing or using the Services, you represent and warrant that you are 18 years of age or older. If you are under 18, you are not permitted to register for or use the Services.
The Services are not intended for, and are not be accessed, registered for, or used by, individuals located in or resident of the United States of America, its territories, possessions, or any jurisdiction under its control (collectively, the “United States”).
By accessing, registering for, or using the Services, you represent and warrant that you are not located in, a resident of, or otherwise accessing the Services from the United States. Any attempt to access or use the Services from the United States is strictly prohibited and constitutes a violation of these Terms.
The Waml reserves the right to suspend or terminate access to the Services immediately if it determines, in its sole discretion, that a user is located in or associated with the United States.
The Client shall make advance top-up payments for the Services provided by Waml, in such amounts as are indicated in the Waml Online Services Platform.
All amounts and fees specified in or referenced by the applicable agreement are stated exclusive of any applicable taxes.
The Client shall pay all invoiced amounts in full, free and clear of any set-off, deduction, or withholding of any kind.
If the Client is required by applicable law to withhold or deduct taxes from any payment to Waml, the Client shall remain solely responsible for such taxes and shall pay such additional amounts as are necessary to ensure that Waml receives the full amount it would have received had no withholding or deduction been required.
Tax Location Rule
Applicable VAT and other applicable indirect taxes are calculated based on the Client’s country of residence or establishment, in accordance with:
Waml shall apply and collect taxes in accordance with the Client’s billing information and geolocation indicators.
Payments shall be made online via the Waml Online Services Platform, including through self-service checkout functionality.
Waml supports the following payment methods:
Waml accepts payments in Euro (EUR).
The Waml platform displays prices in EUR.
The applicable billing currency for all purchases is EUR.
Unless otherwise expressly agreed in writing, all invoices issued by Waml will reflect EUR as the billing currency.
If the Client pays using a card issued in a different currency, the issuing bank or payment provider may apply currency conversion fees, for which Waml bears no responsibility.
The Client may choose to pay for the Services in cryptocurrency, subject to the following terms. For the avoidance of doubt, cryptocurrency is not legal tender under Cyprus Contract Law (Cap.149) or under EU-wide contract principles. It shall be deemed a valid form of consideration only because both Parties expressly agree to accept it under the conditions defined below. By accessing, registering for, or using the Services, the Client confirms own consent to the use of cryptocurrency as consideration which is clearly defined in the Terms and legally enforceable.
The only cryptocurrency accepted by Waml as payment is USDC.
USDC payments must be made exclusively on the Solana blockchain.
Transfers sent on any other network (e.g., Ethereum, Tron, Polygon) shall be deemed invalid and not received.
All cryptocurrency transactions are processed via NOWPayments, a third-party crypto payment gateway.
By selecting crypto payment, the Client:
Although Waml accepts only USDC as settlement currency, the Client may choose to pay in any other cryptocurrency supported by NOWPayments.
In such case:
Waml has no control over exchange rates, volatility outcomes, network congestion, or losses resulting from incorrect choice of blockchain or asset.
When selecting crypto payment, the Waml platform generates a payment intent, which includes:
If the transaction is sent after expiration or to an outdated address, Waml is not obliged to recognise or refund the payment.
The Client is solely responsible for:
The amount indicated in the payment window must be received net of all fees.
A crypto payment is deemed completed only after:
Only after this confirmation does Waml credit the purchased package.
Waml is not liable for any of the following:
Such payments will not be credited or refunded unless Waml expressly agrees in writing.
Crypto payments are final and irreversible once confirmed.
Refunds for crypto payments are not provided except where required by law or explicitly agreed by Waml in writing.
VAT may apply depending on the Client's country of residence.
All taxes are calculated in Euro value of the fee at the time the taxable event occurs, not cryptocurrency, and payment in cryptocurrency does not alter the place of supply, the VAT liability, or the Waml's reporting obligations.
Where required by law, Waml will convert the USDC amount to EUR at the internal accounting exchange rate applicable on the time the taxable event occurs for VAT and reporting purposes.
The Client is responsible for any tax implications arising from the use of cryptocurrency.
The Waml offers Reports the cost of each report is denoted in Euro, and Users must have sufficient funds in their account to purchase these reports.
Users can purchase Reports or predefined packages as listed on the Waml’s website.
All packages are priced in EUR, and the package is considered to be activated by the Client from the moment when the first Report has been created by the Waml, and no refund will be issued to the Client for any unused portion of requests from the purchased package.
You have the right to cancel your purchase within 14 days of payment without providing any reason, provided the Services have not yet been activated.
The Services is considered to be activated at the moment when the first Report has been created. Once the Services has been activated, no refund will be issued for any unused portion of requests from the purchased package.
The Waml will provide clear information about the activation process and the implications for refunds before purchase. To exercise your right to cancel before activation, please contact us at support@wamlapp.com.
From time to time, the Waml may offer certain services free of charge as part of a promotional offer, including but not limited to the provision of a single free Report (“Promotional Services”).
Access to Promotional Services is subject to the Client’s prior acceptance of these Terms and the Privacy Policy, as well as the submission of required information (such as name, surname and email address).
Promotional Services are provided on a one-time, non-transferable basis, have no monetary value, and may not be exchanged or redeemed for cash or other consideration.
The Waml reserves the right, at its sole discretion, to amend, suspend, or withdraw any Promotional Service at any time without prior notice.
Upon completion of Promotional Service, any further Services requested by the Client shall be subject to the applicable fees and charges set out in these Payment Terms and as listed on the Waml’s website.
Promotional Services are provided “as is,” without any warranties, representations, or guarantees of any kind, and the Waml shall have no liability in connection with the Client’s reliance on or use of such services as per these Terms.
Except as expressly set out in these Terms, or as permitted by applicable local law, you shall not:
The Client must not be connected to any Sanctioned Jurisdictions.
By submitting, uploading, or transmitting any material through the Services, you grant the Waml a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable, and sub-licensable licence to use, reproduce, modify, distribute, display, and otherwise exploit such material as reasonably necessary for the operation, provision, improvement, and promotion of the Services.
Third-Party Services
The Services may interoperate with, rely upon, or provide links or access to third-party websites, platforms, products, or services (“Third-Party Services”). The Waml does not own, control, or endorse any Third-Party Services and makes no representations or warranties regarding their content, availability, security, functionality, or compliance with applicable law.
Your use of Third-Party Services, whether accessed directly or through the Services, is entirely at your own risk and is governed solely by the terms, conditions, and policies of the relevant third party. The Waml disclaims any and all liability for any loss, damage, or other claims arising out of or in connection with your access to or use of any Third-Party Services.
No Advice or Warranties
The Services are provided for general information purposes only and do not constitute legal, financial, business, or professional advice. You agree that you are solely responsible for how you use the Services and Reports and for any business decisions made in reliance on them. The Waml makes no representations, warranties, or commitments regarding:
Before relying on any information obtained from the Services and Reports, you should obtain appropriate professional or specialist advice.
The Services, together with all worldwide intellectual property rights therein, are and shall remain the exclusive property of the Waml and its licensors. Except for the limited rights expressly granted to you under these Terms, no rights are conveyed, and all such rights are hereby reserved by the Waml and its licensors.
You acknowledge and agree that:
The Waml may, at its sole discretion, develop and release updates, upgrades, patches, bug fixes, enhancements, or other modifications to the Services, including related documentation (“Updates”). Updates may alter, improve, remove, or replace certain features or functionality. You acknowledge that the Waml has no obligation to provide any Updates or to maintain or continue to offer any specific features or functionality.
The Services are provided “as is” and “as available,” with all faults and without any warranty of any kind. To the fullest extent permitted by law, the Waml and its licensors and service providers expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing, usage, or trade practice.
Without limiting the foregoing, the Waml makes no representation or warranty that the Services will:
The Waml is not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities, including the internet, and the Customer acknowledges that the Services may be subject to limitations, delays and other problems inherent in the use of such communications facilities.
To the maximum extent permitted by applicable law, in no event shall the Waml's aggregate liability arising out of or related to these Terms, whether arising out of or related to breach of contract, tort (including negligence), or otherwise, exceed the total amounts paid to the Waml pursuant to these Terms in the twelve (12) month period preceding the event giving rise to the claim.
In no event the Waml shall have any liability to the other party for any lost profits, revenues, or indirect, special, incidental, consequential, cover, or punitive damages, whether an action is in contract or tort and regardless of the theory of liability, even if a party has been advised of the possibility of such damages. The foregoing disclaimer will not apply to the extent prohibited by applicable law.
The foregoing limitations:
Nothing in these Terms excludes and limits the liability of the Customer for any breach, infringement or misappropriation of the Waml’s Intellectual Property Rights.
The Customer assumes sole responsibility for results obtained from the use of the Services by the Customer, and for conclusions drawn from such use. The Waml shall have no liability for any damage caused by errors or omissions in any information, instructions or scripts provided to the Customer by the Waml in connection with the Services.
User agrees to indemnify, defend and hold harmless the Waml and its officers, directors, employees, agents, contractors, affiliates, successors and assigns from and against any and all third-party claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or relating to (i) User's breach of these Terms; or (ii) User's use of the Services in violation of applicable law. Furthermore, you agree that the Waml assumes no responsibility for the content you submit or make available through the Services.
In the event of any claim, action, or proceeding brought against the Waml related to your use of the Services or your breach of these Terms, you agree to cooperate fully with the Waml in the defense of such claim, action, or proceeding. The Waml reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.
Confidentiality Obligations
You agree to:
Disclosure is permitted only to your representatives who (i) have a legitimate need to know for purposes of configuring, installing, using, or supporting the Services, and (ii) are bound by confidentiality obligations no less strict than those set forth in these Terms.
Exclusions
The obligations above do not apply to information that you can demonstrate:
(a) is or becomes publicly available other than through your breach of these Terms;
(b) was already in your possession before being disclosed by the Waml;
(c) is lawfully received from a third party without restriction on disclosure;
(d) is independently developed by you without reference to the Waml’s Confidential Information; or
(e) must be disclosed pursuant to applicable law, regulation, or a valid legal order.
Survival
These confidentiality obligations will continue to apply after the termination or expiration of these Terms, for any reason.
These Terms shall remain in effect until terminated as set forth in this section.
The Waml may terminate these Terms at any time with reasonable advance notice for any reason including if the Waml ceases to support the Services, which the Waml may do at its sole discretion. Other reasons for termination include: (i) an allegation or actual infringement of any Intellectual Property Right; (ii) an allegation of or actual defamation; (iii) an allegation or determination that the Services do not comply with applicable law; (iv) the Waml ceasing to do business; or (v) the Waml filing a petition in bankruptcy, dissolving, or otherwise finding itself unable to pay its debts as they come due.
In the event of a termination by the Waml under this subsection, the Waml shall refund you a pro-rata portion of the pre-paid fees attributable to the remainder of the term of the applicable order form.
The Waml may terminate these Terms immediately without any notice if you breach any of the terms and conditions of these Terms or if the Waml detects any suspicious activity of the Client as per the clause 17 and this matter is not resolved to the reasonable satisfaction of the Waml. In this case no refund will be issued for any unused portion of requests from the purchased package.
A Services may be removed from the the Waml’s website at any time if it is determined that the Service (i) may infringe or otherwise infringe the Intellectual Property Rights or any other rights of any third party; (ii) violates any applicable law, regulation; or (iii) is subject to an injunction.
Upon any termination of these Terms: (i) all rights granted to User under these Terms shall immediately terminate; (ii) User shall cease all use of the Services and destroy any copies of the Services in its possession.
The following sections shall survive any termination of these Terms: Intellectual Property Ownership, Confidentiality, Limitation of Liability, Indemnification, Governing Law, and Miscellaneous.
Termination will not limit any of the Waml's rights or remedies at law or in equity.
Client Cooperation
In case the Waml detects any suspicious activity of the Client, the Waml shall notify the Customer within two (2) business days. Such notification shall include (i) a notice about the Customer account suspension on the same day, and (ii) a request for the transfer to the Waml of all available information related to such activity.
Account Suspension
In case suspicious activity of any client persists for a period exceeding ninety (90) consecutive days, the Customer’s main account shall be frozen, on the Waml’s sole discretion, until the matter is resolved to the reasonable satisfaction of the Waml.
If you need to contact the Waml in writing, or if these Terms require you to provide formal notice, you may do so by sending an email to support@wamlapp.com. Any notice will be deemed received once successfully transmitted to that address.
Assignment
The Waml may assign or transfer its rights and obligations under these Terms to another entity in the event of a merger, acquisition, or similar corporate transaction. You may not assign or transfer any of your rights or obligations under these Terms without the prior written approval of the Waml.
Severability
If any part of these Terms is found to be unlawful or unenforceable under applicable law, that portion shall be modified to reflect the original intent as closely as possible, while the remaining provisions will remain fully valid and enforceable.
Governing Law and Jurisdiction
These Terms, and any disputes or claims arising out of or in connection with them (including their formation, validity, or termination), shall be governed by and interpreted in accordance with the laws of Cyprus. Any such dispute or claim shall be submitted to the exclusive jurisdiction of the courts of Cyprus.
Entire Agreement
These Terms represent the complete and exclusive agreement between you and the Waml regarding the Services, and they replace any prior or contemporaneous agreements, understandings, or representations, whether written or oral, relating to the Services.
Waiver
A failure or delay by either party in exercising any right or remedy under these Terms will not constitute a waiver of that or any other right or remedy. Similarly, a partial exercise of any right will not prevent further exercise of that or any other right. In the event of any inconsistency between these Terms and other applicable terms (such as purchase terms), these Terms shall prevail.
Export Controls
The Services may be subject to export control laws, sanctions, and trade restrictions, including EU, UN, US and other applicable export control laws. You agree not to export, re-export, release, or otherwise make the Services available, directly or indirectly, in violation of such laws. You are responsible for complying with all applicable regulations, obtaining required licenses, and securing necessary governmental authorizations before exporting, re-exporting, or making the Services available.
Force Majeure
The Waml shall not be held liable or considered in breach of these Terms for delays or failures in performance caused by circumstances beyond its reasonable control.
Information Collection
By using the Services, you acknowledge and agree that the Waml may collect certain information automatically (such as through cookies) and that you may be asked to provide personal information to access certain features. All data collected in connection with the Services will be handled in accordance with our Privacy Policy. By using the Services and providing information, you consent to our collection and use of such information as outlined in the Privacy Policy.
