BY-LAWS

ARTICLE I
NAME AND ADDRESS

Section 1. The name of this Club is Tahoe Donner Women’s Golf Club

Section 2. The address is P.O. Box 8921, Truckee, CA. 96162

ARTICLE II
PURPOSES

Section 1. This Club is organized to accomplish the following purposes:

  1. To furnish pleasure and recreation to its members.
  2. To foster, encourage, promote and create interest in the practice and enjoyment of the game of golf.
  3. To organize, direct and carry on tournaments, competitive play and social activities.
  4. To provide the privilege of membership in the Pacific Women’s Golf Association and thereby, participation in its activities.
  5. To cooperate with the Management of the course in protecting the course grounds and adjoining property.

Section 2. The Club shall be operated exclusively for the purposes enumerated in Section 1 of the Article, and its organization and activities are not designed for and shall not result in financial gain or profit to the members thereof.

Section 3. Notwithstanding anything to the contrary set forth here-in, use of the Tahoe Donner Golf Course by the Club and its members shall be in accordance with the Rules and Regulations established by the Tahoe Donner Association.

ARTICLE III
DIRECTORS

Section 1. This Club shall be governed and managed by a Board of Directors consisting of six (6) of its members, who are property owners.

Section 2. Five (5) Directors shall be elected from the members who are property owners on the last Tuesday in August each year. The appointed Tournament Chairman will serve as the sixth Director. An elected Director shall serve until her successor has been elected 2 or until she resigns. In even years, two Directors shall be elected for two (2) year terms. In odd years, three (3) Directors shall be elected for two (2) year terms. Term begins November 1.

Section 3. The Board of Directors shall hold regular meetings at least once a month during the playing season at such place as the Directors may determine. Special meetings may be held at any time when called by the President, or by any three (3) Directors requesting such meeting. Three (3) Directors shall constitute a quorum of the Board.

Section 4. A Director may resign for any reason by submitting her resignation in writing to the Board. If a Director, at any time after her election, shall cease to be a regular member of the Club, as provided in Article V, Section 4, or Article VI, Section 2 of these bylaws, then she shall be deemed to have also submitted her resignation as Director. Any vacancy on the Board of Directors shall be filled by a regular member, who shall be appointed by a majority of the remaining Directors. Such appointed Director shall serve until the term of the Director she replaced is ended. (Exception - See Article IV, Section 6.)


ARTICLE IV
OFFICERS

Section 1. The Board of Directors shall consist of the following: President, Vice President, Secretary, Treasurer, Director and the appointed Tournament Chairman.

Section 2. The President will preside at all meetings of the Club and over the Board of Directors.

Section 3. The Vice President shall, in the absence of the President, preside at all meetings of the Club and of the Board of Directors and otherwise perform the duties of the President.

Section 4. The Secretary shall keep the Minutes of all meetings and take care of all correspondence of the Club and of the Board of Directors.

Section 5. The Treasurer shall be responsible for all funds and accounts of the Club. All checks issued by the Club shall be signed by the Treasurer and any other officer designated by the Board.

Section 6. The Director shall be available to assist any other Board Members. 3

Section 7. The Tournament Chairman is responsible for weekly tournament play.

ARTICLE V
MEMBERSHIP

Section 1. The club shall have three classes of membership.

FULL MEMBERS include those who own residential property within Tahoe Donner and their immediate family members (holders of amenity-access member identification cards). Full members are members of the Pacific Women’s Golf Association and can play in PWGA play days and tournaments (if they meet eligibility requirements). Full members shall be entitled to vote at Club membership meetings. Full members shall be eligible to run for office and play in all Club events (if they meet eligibility requirements).

ASSOCIATE MEMBERS include all non-property owners. Associate members are members of the Pacific Women’s Golf Association and can play in PWGA play days and tournaments (if they meet eligibility requirements). Associate members shall have no voting rights at Club membership meetings and are not eligible to run for office. Associate members shall be eligible to play in all Club events (if they meet eligibility requirements).

HANDICAP ONLY MEMBERS include those who own residential property within Tahoe Donner and their immediate family members (holders of amenity-access member identification cards) and/or members of the Tahoe Donner Nine Hole Women’s Golf Club. Handicap only members join the TDWGC at a reduced rate, solely for the purpose of establishing an 18-hole handicap index. Handicap only members are members of the Pacific Women’s Golf Association and can play in PWGA play days and tournaments (if they meet eligibility requirements). Handicap only members shall have no voting rights at Club membership meetings and are not eligible to run for office. Handicap only members shall be eligible to play on one weekly play day (excluding Club tournaments) and in a TDWGC Invitational or Guest Day.

Section 2. Associate members shall not exceed forty percent (40%) of the number of Full members. No new Associate members shall be permitted to join when the amount of existing Associate members equals forty percent (40%) of the number of full members.

Section 3. Membership in the club is not transferable.

Section 4. Each application for membership shall be accompanied by payment of the annual dues which includes payment of the Pacific Women’s Golf Association fees.

Section 5. The membership of any member whose conduct has been contrary to the best interest of the Club, may be terminated by action of the Board of Directors, provided that the Member is given an opportunity to be heard by the Board of Directors.

ARTICLE VI
FEES AND DUES

Section 1. The Board of Directors shall determine the annual dues.

Section 2. Annual dues shall be payable in advance on or before the 30th of November each year. If such dues are not paid by December 1st, 5 such dues shall become delinquent and the membership terminated.

ARTICLE VII
MEETINGS

Section 1: At least two business meetings of the general membership will be scheduled during the golf season. The first meeting will honor the most improved golfer, eclectic winners and birdie winners of the previous season. The annual meeting of the Club shall be held on the last Tuesday of August, at such time and place as may be designated by the Board, for the purpose of electing Officers/Directors and giving awards for the President's Cup and Club Championships.

Section 2. Upon written request of ten (10) members, a special meeting shall be called. Notice of the time, date, place and purpose of such special meeting shall be given by the Secretary to all members at least fourteen (14) days in advance of scheduled meeting.

Section 3. The members present shall constitute a quorum at any meeting of the members, provided that the members present include any two (2) officers. A simple majority of fifty percent (50%) plus one of that quorum shall decide a question.

ARTICLE VIII
COMMITTEES

Section 1. All committees shall be named by the President.

Section 2. Within thirty (30) days of her election, the President shall name the standing committee chairpersons.

Section 3. The Finance Committee, (composed of incoming Directors), shall ensure an annual audit and, if in order, approve the expenditures made by the Treasurer.

Section 4. The President may, at her discretion, appoint such other committees as may be deemed advisable for carrying out the purpose of the Club.

ARTICLE IX
AMENDMENTS

Section 1. These by-laws can only be amended consistent with Article VII, Section 2.

EFFECTIVE DATE

Section 1. These by-laws shall become effective when approved by the members of the Club, adopted by its Board of Directors and approved by the Tahoe Donner Association Board of Directors.
