NON-PROFIT BYLAWS
of
St George Gingerbread House Parade
ARTICLE 1 - NAME
The legal name of the Non-Profit Corporation/Organization shall be known as St George Gingerbread House Parade, and shall herein be referred to as “Gingerbread Parade.” We have also filed a dba (doing business as) with the state of Utah under the name : St George Gingerbread Parade.
ARTICLE 2 - PURPOSE
Gingerbread Parade is organized to operate exclusively for charitable and civic purposes. Gingerbread Parade does not discriminate on the basis of race, religion, sex, national origin, disability, age or sexual orientation.
The mission of Gingerbread Parade is to celebrate community within St George, Utah.
SECTION 1 - EXECUTION
The Gingerbread Parade executes the mission by promoting community cheer. We organize an event to bring people together with something jovial for family and friends to participate in with either volunteering to bake a gingerbread creation or going to see them. This also promotes “buy local” as we are teamed up with Downtown Farmers Market.
ARTICLE 3 - OFFICES & LOCATION
The founder and executive directors headquarters are at 1219 Oak Circle, St. George, UT 84790.
ARTICLE 4 - MEMBERS
Due to the size of the nonprofit, there are no members. Other people may still participate as advisors, patrons or contributors, but without a formal vote.
ARTICLE 5 - BOARD OF DIRECTORS
Executive Director & Founder
The Executive Director and Founder of Gingerbread Parade is Melissa Daams and she cannot be removed from office unless she steps down, retires or appoints another executive director.
Treasurer
The Executive Director shall appoint a Treasurer to serve as bookkeeper indefinitely, until he or she steps down with a formal written note.
Trustees
A trustee's role in this organization is to be the 'guardians of purpose', making sure that all decisions put the needs of the beneficiaries first. They safeguard Gingerbread Parade’s assets – both physical assets, including property, and intangible ones, such as its reputation.
General Powers and Responsibilities
Gingerbread Parade shall be governed by the Executive Director, which shall have all the rights, powers, privileges and limitations of liability of directors of a non-profit corporation organized under the Non-Profit Corporation Act of Utah.
Board Compensation
The Board shall receive no compensation other than for reasonable expenses.
ARTICLE 6 - DEDICATION OF ASSETS
The properties and assets of Gingerbread Parade are irrevocably dedicated to and for non-profit purposes only. No part of the net earnings, properties, or assets of Gingerbread Parade, on dissolution or otherwise, shall inure to the benefit of any person or any member, director, or officer of this Corporation/Organization. On liquidation or dissolution, all remaining properties and assets of Gingerbread Parade shall be distributed and paid over to an organization dedicated to non-profit purposes which has established its tax-exempt status pursuant to Section 501 (c) of the Code.
