ARTICLE VIII JCD Officers – Duties

A. The Chair shall prepare a written agenda for each Executive Board and JCD

meeting and conduct all meetings of the JCD. As its chief executive, the Chair

shall carry out the mandates of the JCD as formulated by the Executive Board or

the membership at any regular or special meeting. Specifically, the Chair

1. shall make appointments to fill vacant Precinct Committee Officer positions

in consultation with the County Commissioner District Representatives and subject to approval by a majority of the elected and appointed Precinct Committee Officers at a special meeting of the Central Committee or at the next General Membership meeting.

PURPOSE:  To make sure the Precinct Committee Officers have a say in the people with whom they will work.

ARTICLE XII Precinct Committee Officers – Official Status

B. Vacancies which occur in the office by reason of death, resignation, permanent change of residence, change of voter registration, or recall shall be filled by appointment of the Chair and subject to the approval by a majority of the elected and appointed Precinct Committee Officers at a special meeting of the Central Committee or at the next General Membership meeting.

PURPOSE:  To make sure that this article conforms with Article VIII A. 1.

ARTICLE VIII JCD Officers – Duties

A. The Chair shall prepare a written agenda for each Executive Board and JCD

meeting and conduct all meetings of the JCD. As its chief executive, the Chair

shall carry out the mandates of the JCD as formulated by the Executive Board or

the membership at any regular or special meeting. Specifically, the Chair

3. shall appoint Chairs of standing committees subject to the approval by a majority of the elected and appointed Precinct Committee Officers at a special meeting of the Central Committee or at the next General Membership meeting and is empowered to create adhoc committees as deemed necessary to the business of the JCD, e.g., GOTV, Platform, Resolutions, etc. Ad hoc committees shall report their activities and seek any necessary approvals through the standing committee in charge of their activities.

PURPOSE:  To make sure the Precinct Committee Officers have a say in the makeup of the Executive Board and to delete reference to Resolutions as it may become a “Standing Committee”.

ARTICLE XI Standing Committees

B. The Chairs of the Standing Committees shall be appointed by the Chair,

approved by the Executive Board elected and appointed Precinct Committee Officers, and serve at the discretion of the Chair.

  1.  Any removal of a Standing Committee Chair shall be subject to approval by a majority of the elected and appointed Precinct Committee Officers at a special meeting of the Central Committee or at the next General Membership meeting. 

PURPOSE:  To make sure the Precinct Committee Officers have a say in the makeup of the Executive Board.

ARTICLE XI Standing Committees

C. The Chair of each Standing Committee shall be a member of the Executive Board., either prior to being appointed as Committee Chair or by virtue of that appointment.

PURPOSE:  To make sure that the person is confirmed by the Precinct Committee Officers prior to sitting on the Executive Board.

ARTICLE VII JCD Officers

E. Resignation or Removal of an officer:

1. Any officer may resign from office by submitting a written resignation,

which shall become effective upon acceptance by the Executive Board.  

  1. Effective shall mean that the resignation date shall be the date of the acceptance by the Executive Board and all actions by the officer and within the power of the officer prior to said acceptance date shall be considered valid.

PURPOSE:  To make sure that there is continuity of actions and avoid a situation as had occurred with the resignation of Linda Callahan as Chair of the JCD.

ARTICLE VII JCD Officers

E. Resignation or Removal of an officer:

3. Any officer may be removed from office for failure to discharge the duties of

the office to the satisfaction of the JCD membership provided:

4. a. The charges for removal are in writing and signed by at least five (25) JCD;

members and presented to the Recording Secretary for distribution to the

Executive Board and inclusion in the agenda for the next Central Committee or JCD membership

Meeting as appropriate; and

5. b. The officer so charged and the membership of the JCD receive notice of the

charges as least five (5) days prior to the meeting at which the charges are to

be addressed; and

6. c.. The officer charged has the opportunity to address the membership of the

JCD; and

7. d. The officer is immediately removed from office if two-thirds of the Central Committee present and voting or two-thirds of the JCD members present and voting cast ballots in favor of removal. If an officer is removed, the election of the replacement officer may take place at the same meeting that causes removal, or at the next meeting of the central Committee or JCD membership, as appropriate.

PURPOSE:  To fix a numbering error and to bring this Article in line with the State Charter/Bylaws as well as to give an opportunity for maximum participation in an election should it be necessary.

ARTICLE VI Powers and Duties of the JCD

A. The JCD shall conduct all necessary business of the Democratic Party in

Jefferson County, raise and disburse funds in the name of the Democratic Party

and promote the elections of Democrats to public office.

B. All members of the JCD are entitled to vote on all matters except as specifically provided otherwise in these bylaws, by the state charter or bylaws,  or by statute.

PURPOSE:  To bring this Article in line with and recognizing the State Charter/Bylaws.

ARTICLE XI Standing Committees

A. The Standing Committees of the JCD are Operations, Finance, Political Action, Membership, Elections, Resolutions, and Communications/Public Relations, Affirmative Action, and Technology.

PURPOSE:  To create continuity of operations in these committees as they are ongoing concerns throughout the 2 year periods of time and to affirm that the JCD is working for Inclusion in all matters.

ARTICLE XVI Financial Operating Policies

F. The Chair shall appoint a committee to perform a review of JCD accounts. Said review shall be held each February and the results reported for review and approval by the JCD Executive Board at its March meeting. This review shall be presented to the JCD membership for review and approval at its March meeting. to the JCD each March. The committee may appoint an independent reviewer if considered necessary.

PURPOSE:  As the general membership must vote on the budget, it should also vote on an audit of expenditures to be consistent with fiduciary policies.

NEW ARTICLE TO INSERT AS

ARTICLE XIX CENTRAL COMMITTEE

  1. The Central Committee of the Jefferson County Democrats shall consist of all elected or appointed Democratic Precinct Committee Officers.
  2. The Central Committee of the Jefferson County Democrats shall select and appoint a chair and Secretary of its own Committee.
  3. The Central Committee reserves the right to;
  1. Interpret the bylaws,
  2. Veto decisions of the Chair, Exec Board, or Membership,
  3. Create and appoint chairs for ad-hoc committees,
  4. determine the amounts contributed to endorsed candidates,
  5. call its own meetings and creating its own rules for doing so,
  6. audit all financial and business actions of the Jefferson County Democrats.

PURPOSE:  The Central Committee (pursuant to the State Charter/Bylaws Article VIII) is allowed to let others act on behalf of them as they determine however they are ultimately the Jefferson County Democratic Party and as such needs to be Above the JCD Chair, the Executive Board, and the Membership.  This Article allows for clarity on this topic and makes sure that their oversight cannot be challenged or impeded.

ARTICLE XIX XX Amendment of the Bylaws; Copies of the Bylaws

PURPOSE:  To fix the number change necessary should the 11th Proposed Amendment be passed.
