This is a template for the Board Resolution to approve the Sanctions Policy (contained in another folder of this Toolkit) and to designate the Sanctions Compliance Officer (job description is contained in another folder of this Toolkit).

RESOLUTION RE SANCTIONS POLICY

The Board of Directors/Supervisory Board adopts the following resolutions:

  1. The {Company Name} Sanctions Policy, contained as an annex to this resolution, is adopted as of {insert date}.
  2. The Board appoints {name of person} as the Senior Sanctions Compliance Officer, with the duties and responsibilities identified in the attached job description.
