Auction Rules

  1. A valid credit card (MC or Visa) must be provided in order to receive a bidding number.
  2. All sales are good faith - but not contractual - agreements between the Buyer and Donor (hereafter, the “party,” or collectively, the “parties”), and are final; no exchanges or refunds.
  3. All dates for events are immovable unless otherwise indicated in writing herein (i.e. the event states that the date is flexible or offers a choice of dates), or the parties mutually agree in writing to change the date. No Buyer or Donor shall be liable for, nor shall such party be considered in breach of an agreement, due to any failure to perform its obligations under the agreement as a result of a major event on the same level as pandemics, acts of war or civil disturbance, acts of God (i.e. an uncontrollable event such as a natural disaster), or interruptions, loss, or malfunctions of utilities, communications, Internet, or computer (software and hardware) services. However, it is understood that the parties shall use reasonable efforts which are consistent with accepted practices in the Silicon Valley area to complete performance of the agreement as soon as practicable under the circumstances and, in any event, no later than 12 months from the date of the Woodside School Foundation’s live, annual auction in the year the agreement is made (the “purchase date”).  If an event cannot be rescheduled within 12 months of the purchase date, despite the best efforts of the parties, then the Donor(s)' obligations are extinguished, and the Buyer(s) and Donor(s) may wish to consult with their respective tax advisors as to whether their donation/purchase can be deemed a donation to the Woodside School Foundation.  
  4. Buyer is responsible for reviewing all items purchased upon receipt. Unless otherwise stated, all offers of services, homes, condos, hotels, parties, gift certificates or other items:
  1. expire on May 18, 2025 unless otherwise specified;
  2. for those items that do not specify a date, the Donor bears the burden of initiating contact with the Buyer before the end of the school year to determine a mutually agreeable date, though the Buyer is free to contact the Donor related thereto;
  3. do not include transportation unless otherwise specified; and
  4. may not be sold or transferred without the Donor’s consent.
  1. The Value listed for auction items are good faith estimates of the market value only and are not warranted by the Woodside School Foundation for tax purposes or for general evaluation. Buyers should consult their tax advisors regarding IRS regulations and any other legal advice they may need.
  2. The Woodside School Foundation has made no independent investigation of the value or quality of any of the professional services or tangible items offered as auction items. The Foundation makes neither representation nor warranty as to the professional standards of the respective donors, or as to the quality, fitness, use, merchantability, or physical condition of any tangible auction items. Decisions to select particular services as auction items should be based exclusively on the bidder’s information and knowledge about the donor. Tangible auction items may be “used property” and not new and thus may have defects. Bids for tangible items will be acquired “as is” in their current physical condition, subject to any defects that may exist. Any decision to buy auction items should be based exclusively on the bidder’s inspections.
