PARTICIPATION IS OPEN TO LEGAL RESIDENTS OF THE UNITED STATES WHO ARE  ELIGIBLE, AS DEFINED IN THESE OFFICIAL RULES.

PARTICIPATION IN THIS CONTEST CONSTITUTES YOUR ACCEPTANCE OF THESE OFFICIAL RULES.

WORDS EXPRESSED IN THE SINGULAR SHALL INCLUDE THE PLURAL AND VICE VERSA. WORDS REFERRING TO A PARTICULAR GENDER INCLUDE EVERY GENDER.

Brembo Hackathon (“Contest”, “Event”, “Competition”) is an in-person hackathon where eligible participants (defined in Section 2 below) must register to attend (Location and Period defined in Section 4 below) and present a Solution to a problem posed by the subjects indicated in Section 1 (“Solution”, “Submission”) for a chance to win the Prize (defined in Section 7 below). Submissions will be evaluated by the Judges (defined in Section 6 below), who will choose the winner(s) in accordance with the submission requirements set out in Section 5 (“Submission Requirements”), the judging criteria indicated in Section 6 (“Judging Criteria”) and these Terms and Conditions (“Official Rules”). 1. MANAGER AND ORGANIZER: The Contest is managed by BeMyApp SAS (“BeMyApp”), 86 rue de Charonne, 75011, Paris, and organized by Brembo S.p.A. (“Organizer”). BeMyApp will be responsible for issuing the Prizes. The Organizer’s and BeMyApp’s decisions concerning the Official Rules or any other matter relating to the Contest are final.

2. ELIGIBILITY: To be eligible to participate in the Contest, you must be: (1) compliant with the BeMyApp Eligibility Policy, available here: https://eligibility.bemyapp.com/; (2) a legal resident of the United States or another qualifying country; (3) 18 years of age or older. Contest is void where prohibited by law.

Employees, interns, contractors, and directors, officers  of Brembo S.p.A., BeMyApp, and/or invited Judges and their parent companies, subsidiaries, affiliates, and their respective directors, officers, employees, advertising and promotion agencies, representatives, and agents (“Contest Entities”), and members of the Contest Entities and their immediate families (parents, siblings, children, spouses, and life partners of each, regardless of where they live) and members of their households(whether related or not) of such employees, officers and directors are ineligible to participate in the Contest. BeMyApp and Organizer reserve the right to verify eligibility and to adjudicate any dispute concerning eligibility at any time.

3. REGISTRATION AND BINDING AGREEMENT: If you meet the eligibility requirements set out in Section 2, your participation in the Contest will signify your agreement to these Official Rules, which have been made available in full at the Event platform at https://brembo-hackathon-platform.bemyapp.com (“Contest Site”). Therefore, please read these Official Rules prior to registering to the Contest, to ensure you understand and agree. You may not submit a Solution and will not receive the Prize unless you agree to these Official Rules. These Official Rules form a binding legal agreement between you, BeMyApp and the Organizer with respect to the Contest.

You must complete registration on the Contest Site by October 13, 2023, 12 AM (PDT). You must register individually and provide the following information to complete registration: first name, last name, email, phone number, and country of residence.

By completing the registration to the Contest and flagging the “Terms and Conditions” box on the Contest Site, you provide your consent to:

  1. these Official Rules; and
  2. to the extent permitted by applicable law, the use, collection, reproduction, publication, distribution of your name, image, likeness, voice, location and/or biographical information, submitted Solution content, and feedback by the Organizer and/or BeMyApp and their agencies, in any and all media now known or hereafter developed worldwide, including on the Internet, without compensation, and without the right of review, notification, or approval, in connection with the Contest. With reference to the data provided during the registration process, the provisions of Section 11 hereof shall apply.

4. LOCATION AND PERIOD: The Contest will take place at Brembo Inspiration Lab Corp.’s offices, 1257 Tasman Dr B, Sunnyvale, CA 94089 (“Location”) or such other location notified on the Contest Site, beginning on October 13, 2023, 6:00 pm (PDT) and ending on October 15, 2023 7:00 pm (PDT) (“Period”). See the Contest Site for more details about the Location and hours of accessibility.

5. HOW TO FILE A SOLUTION: LIMIT 1 (ONE) SUBMISSION PER PARTICIPANT. The Solution must be in, or be usable in, the English language. At the Event opening, BeMyApp will group individuals that have completed the registration process set out in Section 3 (“Participants”) into a Team, defined as 1 (one) or more Participants (“Team”), to submit a Solution. Teams cannot exceed 5 (five) Participants. Participants cannot take part in more than 1 (one) Team. A Team cannot submit more than 1 (one) Solution. Additional Solutions will not be taken into consideration. The Solutions must be received by October 15, 2023 2:00 PM (PDT) (“Deadline”). More information about the timing for submitting the Solution will be provided by BeMyApp to the Participants during the Event.

Solutions are void if they are in whole or part illegible, incomplete, damaged, altered, counterfeit, obtained through fraud or in violation of the Official Rules, or have been submitted later than the Deadline. All Solutions will be deemed made by the authorized account holder of the email address submitted at the time of registration to the Contest Site, and the potential winner may be required to show proof of being the authorized account holder for that email address. The “authorized account holder” is the natural person assigned to an email address by an Internet service provider, online service provider, or other organization responsible for assigning email address for the domain.

SUBMISSION REQUIREMENTS: BeMyApp and the Organizer will be evaluating each Submission to ensure that it meets the minimum Submission Requirements. BeMyApp and/or Organizer reserve the right, in their sole discretion, to disqualify any Participant or Team who submit a Solution that does not meet the Submission Requirements, as detailed below:

6. JUDGING: Submissions will be judged by a panel of judges identified by the Organizer (“Judges”). The composition of the panel will be communicated to the Participants via the Contest Site. Judging will take place on October 15, 2023 following the conclusion of the live presentations. Submissions will be evaluated based on the Judging Criteria defined below:

Each Judge will evaluate the eligible Submissions and give a score to each of the 3 (three) Judging Criteria on a scale of 1 (one) to 5 (five), 5 (five) being the best, for a maximum of 15 (fifteen) points per Submission. The Judges and/or BeMyApp will select the winning Submission(s) based on the scores received. Scores will not be made public by the Organizer or BeMyApp. Decisions of the Judges  are final.

7. PRIZES: The Contest includes a prize pool (“Prize”) of $21.000.00 (twenty-one thousand/00) USD. Prize offerings will include:

8. PRIZE DISTRIBUTION AND TAXES: Prizes will be distributed by BeMyApp to eligible winner(s) (“Winner”). Prizes will be processed within approximately 120 (one hundred twenty) days of the official Winners announcement. Prizes will be sent in the form of a mailed check, direct deposit, international wire transfer, gift card, or electronic gift card via one the BeMyApp’s approved distribution tools: Bill.com (http://bill.com), PayPal (http://paypal.com), or Tremendous (http://tremendous.com). BeMyApp will use the form and distribution tool used determined by which format the BeMyApp distribution tool(s) support in their residential country. BeMyApp will attempt to notify the selected Winners within 10 (ten) business days of the official announcement.

Winners are required to provide their full legal name, email address, mailing and billing address, phone number, and relevant payment information to the BeMyApp within 14 (fourteen) days of the notification from BeMyApp. The Winner may also be required to complete an income tax form, such as a W-9 or W-8BEN, or provide other documents that may be necessary for the correct distribution of the Prize.

The Winner may be disqualified and forfeit the Prize if (1) any of the required payment information or documentation provided by the Winner is unusable (illegible, incomplete, or erroneous); (2) the Winner does not provide all the required information requested by BeMyApp; (3) the Winner is ineligible to receive the Prize under the laws of the State of Delaware or any other applicable law; (4) the Winner does not respond within 14 (fourteen) days of two attempted Prize notifications; or (5) the Winner is a resident of a country that does not support transactions via Bill.com, PayPal, or Tremendous. BeMyApp cannot be held liable for loss of Prize due to error in routing (electronic or by mail), ineligibility to receive the Prize, or inability to contact the Winner. BeMyApp reserves the right to substitute a Prize of equal or greater value where permissible under law.

All taxes and fees are the sole responsibility of the Winner.

9. GENERAL CONDITIONS: These terms and conditions are regulated by the laws of the State of Delaware, without regard to its principles of conflict of laws or any provision that requires the application of the law of any other jurisdiction.

BeMyApp and/or the Organizer reserve the right to disqualify any Participant from the Contest if, in their discretion, they reasonably believe that the Participant has attempted to undermine the legitimate operation of the Contest by cheating, deception, or other unfair playing practices or annoys, abuses, threatens or harasses BeMyApp, Organizer, Judges, Participants, or any other person or group affiliated with BeMyApp and/or Organizer.

Each Participant shall bear all its own expenses and costs incurred for or related to the participation (including, but not limited to, transports, accommodation, etc.) with the exception of drinks and meals which will be supplied  during the Contest.

Participation in this Contest is subject to these Official Rules. These Official Rules may be amended or varied at any time during the Period by BeMyApp and/or Organizer, at their sole discretion. The revised Official Rules will be published on the Contest Site. Participants may withdraw from the Contest if they do not agree to such revised Official Rules within 7 (seven) days from the publication of the revised version on the Contest Site. Following such term and in any case by continuing his participation in the Contest, the Participant agrees to the revised Official Rules without any objection.

BeMyApp and/or Organizer reserve the right to disqualify and take legal action to the fullest extent permitted by law against any Participant who, in their reasonable suspicion, tampers with the Organizer’s site, the entry process, violates these Official Rules, or acts in an inappropriate or disruptive manner.​

10. INTELLECTUAL PROPERTY RIGHTS:

Licensed Rights To Solutions: Participants will retain ownership of any intellectual property rights in their respective Solution, except to the extent of any Organizer Content (defined below). Such rights include, without limitation, technologies, materials, content, ideas or intellectual property rights embodied or incorporated in the Solution. During the Competition, Participants shall only use elements, content and materials, which do not infringe on the intellectual property or other third party rights. Each Participant agrees not to submit any Submission that (1) infringes any third party proprietary rights, intellectual property rights, industrial property rights, personal or moral rights or any other rights, including without limitation, copyright, trademark, patent, trade secret, trade dress, privacy, publicity or confidentiality obligations; or (2) otherwise violates applicable law.

Organizer reserves the right to request from Participants at any time proof that Participant has and maintains all necessary third-party rights in such Participant’s Solution, and failure to provide proof of same upon the request of the Organizer and/or BeMyApp may lead to, among other things, disqualification from the Contest.

By entering the Contest, each Participant acknowledges and expressly agrees that its Solution may be promoted by BeMyApp and/or Organizer on their websites and/or in various media (including via paper, data and digital media) at the Organizer’s discretion.

Waiver of Idea Submission Claims: Each Participant acknowledges that Solutions are not being submitted in confidence or in trust to Organizer and that no confidential or fiduciary relationship is intended or created. Each Participant acknowledges that the Organizer and other Participants may have created ideas and concepts contained in their Solutions that may have familiarities or similarities to the Participant’s Solution, and that he will not be entitled to any compensation or right to negotiate with the Organizer, BeMyApp or other Participants due to any supposed similarity. Nothing herein shall create an implied or express contract to compensate Participants for their Solutions and there is no obligation for the Organizer to pay or otherwise compensate Participants for any of their ideas or materials whatsoever. By entering the Competition, Participants acknowledge that Organizer may have developed or commissioned materials similar or identical to Participants’ Solutions and Participants waive any claims resulting from any similarities to a Solution incorporated in commercial products/services of Organizer. Solutions are not confidential and the only obligations to Participants regarding Solutions are to award the Prizes to the winning Participants.

Limited License from Organizer to Participants To Use Organizer Content: Under this Section 10, the Participant shall not acquire any full or partial right of any kind to the name, trademark or other intellectual property owned or controlled by Organizer. As Participants may incorporate ideas, materials or content provided by Organizer for inclusion in Solutions (collectively, “Organizer Content”), Organizer grants each Participant a non-exclusive, non-transferable, non-sublicensable, revocable, limited right and license solely to use the Organizer Content in connection with the development and submission of their Solutions to the Competition and exclusively for the term of the Competition. Participant acknowledge that as between Organizer and Participant, Organizer is the owner of all right, title and interest in and to all copyrights, trademarks, trade-dress and other rights associated with its name, intellectual property, its services, products, product designs and the Event; and the goodwill pertaining to all of the foregoing.

11. PRIVACY AND DATA: Personal Data you submit when you participate in the Contest will be treated in accordance with Privacy Policy available at [insert URL] and applicable data protection laws.

12. CONFIDENTIALITY: Each Participant acknowledges the confidentiality of all information and documents which have been shared with him throughout the Contest.

During the whole duration of the Contest, the Participant will not directly or indirectly use or share any information provided by BeMyApp and/or the Organizer with any third party, unless he has obtained a written authorization to do so, delivered by the Organizer beforehand. This applies to information shared with him by BeMyApp and the Organizer or shared with him indirectly upon the execution of these Official Rules.

The Participant undertakes to return any document containing confidential information or shared with the Participant upon the conclusion of the Contest, upon the Organizer’s simple request. These confidentiality undertakings are valid for 24 (twentyfour) months from the Contest’s starting date.

13. WARRANTY, INDEMNITY AND RELEASE: Participant warrants that its Submission shall be its own original work and that, subject to Section 10 above, the Participant is the sole and exclusive owner and rights holder of the submitted Submission and that he has the right to submit the Submission in the Contest and grant all licenses set forth herein. Except as may be set forth herein, BeMyApp and Organizer make no representations or warranties of any kind, expressed or implied.

To the maximum extent permitted by law, each Participant agrees to defend, indemnify and hold harmless the Contest Entities from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or accruing from (a) any misrepresentation made by the Participant in connection with the Contest; (b) any non-compliance by the Participant with these Official Rules; (c) claims brought by third parties arising from or related to the Participant’s involvement with the Contest; or (d) acceptance, possession, misuse or use of any Prize or participation in any Contest-related activity or participation in this Contest.

All materials provided by BeMyApp and/or Organizer, including the contents of the Contest Site, are provided "AS IS” without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, Participant releases BeMyApp and Organizer from any liability associated with: (1) any malfunction or other problem with the Contest Site; (2) any error in the collection, processing, or retention of entry information; or (3) any error in the announcement, offering or distribution of any Prize. Participant agrees and understands that the releases being provided by Participant shall apply to all unknown and unanticipated claims, as well as those known and anticipated. Participant understands and acknowledges the significance and consequences of this waiver.

14. RIGHT TO CANCEL, POSTPONE AND MODIFY THE EVENT. If for any reason it is not possible to conduct the Contest as planned, including a force majeure event, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes outside of the reasonable control of the Organizer, which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest, the Organizer reserves the right at its sole discretion to cancel, terminate, postpone, modify or suspend the Contest.

In the event of the cancellation, termination, postponement, modification, or suspension of the Contest, the Organizer will provide notice thereof to the Participant by any means of its choice (including email and/or publication on the Contest Site), and, if the need arises, will communicate to the Participant the new rules applicable or the new starting/ending date of the Contest, as the case may be.  Each Participant may notify the Organizer by email that he refuses the new conditions of the Official Rules, in which case he will be excluded from participating to the Contest. If no refusal is communicated to the Organizer within 72 (seventy two) hours of the publication of the new rules, the new conditions of the Official Rules will be deemed to have been accepted by Participants.

If, for any reason, the Competition is not capable of running as planned, the Organizer reserves the right at its sole discretion to select the Winner from entries received prior to the event forcing cancellation or curtailment of the Competition.

15. NOT AN OFFER OR CONTRACT OF EMPLOYMENT: Under no circumstances shall the submission of a Solution into the Contest, the awarding of a Prize, or anything in these Official Rules be construed as an offer or contract of employment with either the Organizer, BeMyApp, or the Contest Entities.  

16. APPLICABLE LAW AND ARBITRATION: These Official Rules shall be governed by, subject to, and construed in accordance with the laws of the State of Delaware , without giving effect to any principles of conflict of law or any provision requiring the application of the law of any other jurisdiction. If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.

Participant agrees that any and all disputes or claims arising out of or in connection with the Competition and/or the Official Rules and/or this agreement shall be finally settled by arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) in force on the date on which the notice of arbitration is submitted in accordance with these rules. The number of arbitrators shall be one. The seat of the arbitration shall be New York City unless the parties agree on a different location. The written decision of the arbitrator shall be final, conclusive and binding on the parties. Each party shall bear its own costs and expenses (including legal fees and expenses) relating to the arbitration proceeding except that the fees of the arbitrator and other related costs of the arbitration shall be shared equally by the parties. Nothing in this agreement shall limit the right of either Party to seek to obtain in any court of competent jurisdiction any equitable or interim relief or provisional remedy, including injunctive relief.

17. LIMITATIONS OF LIABILITY: Contest Entities are not responsible for damage to Participants' goods, computer or website development equipment or technology relating to or resulting from participation in the Competition or downloading materials from or use of web sites. It is the Participant’s responsibility to take the appropriate measures to protect his own data and/or software located on his computer equipment, against any violation.

Any use of Competition or sweepstakes clubs (or similar methods), robotic, automatic, macro, programmed or like entry methods will void the Submission and disqualify any Participant using such methods.

In no event will Contest Entities, their parents, affiliates, subsidiaries, and related companies, their advertising or promotion agencies, and/or all their respective officers, directors, independent contractors, representatives and agents, be responsible or liable for any damages or losses of any kind (​except for liability for death, personal injury, willful misconduct, and gross negligence in jurisdiction(s) where such liability cannot be excluded), ​including direct, indirect, incidental, consequential, or punitive damages arising out of participation in the Competition, Competition/Prize related activities, access to, and use of, any participating internet site(s) or the downloading from and/or printing material or software downloaded from the site(s).
