Naba Health, Inc. (“Naba Health,” “we,” “us,” or “our”) is a healthcare services and technology company. Naba Health does not practice medicine; all medical care is provided by independently owned and operated medical practices doing business as “Mizan Clinic,” including Naba Medical, P.C., a Virginia professional corporation.

By using Naba Health’s services, you agree to these Terms of Service. If you do not agree, please discontinue use of our services. Regularly check for updates to these terms, as your continued use indicates acceptance of any changes. We may notify you of material changes to these terms using the email address on file.

Services Provided

Naba Health offers services to both members and non-members. These terms cover both member and non-member services. For those who register to receive member services, additional terms will be set through a Membership Agreement.

All programs, products, content, or services (collectively referred to as our “Services”) are offered through our website, portal, mobile app, experiences, interactions, and other communication methods (collectively referred to as our “Platform”). These Services or any information contained on our Platform are for informational purposes only and do not constitute medical advice. Consult a qualified healthcare provider before acting on any information contained on our Platform. Using our Services or Platform does not create a doctor-patient relationship between you and Naba Health.

Acceptable Use Policy

All users must comply with our acceptable use requirements. We may suspend or terminate your access if you breach these terms or for any other reasonable cause. By accessing our Services, you agree to:

• Not use automated tools to access or manipulate the Platform.
• Not interfere with, disrupt, or compromise the Platform, servers, or networks.
• Not probe, scan, or test the vulnerability of our systems or networks.
• Not use meta-tags or hidden text with our trademarks, logos, URLs, or product names without written consent.
• Not post, distribute, or reproduce content that infringes on third-party rights.
• Not collect or store personal information from others without their consent.
• Not provide false or misleading information about yourself.
• Not share your account, username, or password with others.
• Not assist others in violating these terms.
• Comply with all applicable laws and regulations.
• Follow these terms and our policies and instructions.

Consent to Receive Communications

You agree that Naba Health may contact you and that you provided accurate contact information. Some communications are mandatory for service provision.

Consent to Electronic Signatures

You agree that by providing your electronic signature, or by clicking "I Agree" or similar buttons or links on any electronic agreements, consents, or notices, you are submitting a legally binding electronic signature and entering into a legal agreement. This electronic signature has the same legal effect as a handwritten signature.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NABA HEALTH AND ITS EMPLOYEES, OFFICERS, DIRECTORS, OR LICENSORS, AFFILIATES, AGENTS ARE NOT RESPONSIBLE FOR ANY LOSS OR DAMAGE, INCLUDING PERSONAL INJURY OR DEATH, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES OR FROM ANY CONTENT POSTED ON THE PLATFORM.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND. NABA HEALTH AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THAT FILES AVAILABLE FOR DOWNLOAD WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY MATERIAL OBTAINED THROUGH THE USE OF THE SERVICES IS ACCESSED AT YOUR OWN RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH MATERIAL. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY CONTENT.

IF YOU BELIEVE THAT YOU ARE SUFFERING A LIFE-THREATENING EMERGENCY OR OTHER CONDITION REQUIRING EMERGENCY TREATMENT, CALL 911 OR GO TO THE NEAREST EMERGENCY DEPARTMENT.

NO ENDORSEMENT OF THIRD-PARTIES

REFERENCES TO SPECIFIC PRODUCTS OR SERVICES ON OUR WEBSITE OR MOBILE APPLICATION DO NOT IMPLY RECOMMENDATION OR ENDORSEMENT BY NABA HEALTH UNLESS EXPLICITLY STATED.

OUR SERVICES MAY ALLOW YOU TO CONNECT YOUR ACCOUNT TO THIRD-PARTY APPLICATIONS OR LINK TO THIRD-PARTY WEBSITES. WE ARE NOT RESPONSIBLE, AND DISCLAIM ALL LIABILITY, FOR THE PRIVACY, SECURITY, PERFORMANCE, OR PRACTICES OF THESE THIRD PARTIES, NOR FOR ANY CONTENT, ADVERTISING, PRODUCTS, OR SERVICES AVAILABLE THROUGH THEM. THESE CONNECTIONS AND LINKS ARE PROVIDED FOR YOUR CONVENIENCE, AND IT IS YOUR DECISION WHETHER TO USE THEM.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NABA HEALTH AND ITS EMPLOYEES, OFFICERS, DIRECTORS, AFFILIATES, LICENSORS, OR AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THIS INCLUDES, BUT IS NOT LIMITED TO, LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE. THESE LIMITATIONS APPLY EVEN IF WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR LIABILITY TO YOU, WHETHER ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES, IS LIMITED TO THE GREATER OF $100 OR THE AMOUNT YOU PAID FOR ACCESS TO AND USE OF THE SERVICES.

Severability

If any part of these Terms of Service is found unenforceable or invalid, the remaining parts will remain in full force and effect.
