NOTICE TO ALL MEMBERS
Re: Purported General Meeting – 13 March 2026
The duly constituted Committee of the Chinese Language Teachers Association NSW (CLTANSW) hereby issues this formal notice to all members.
Status of the Association Governance
The Resumed Annual General Meeting of CLTANSW was lawfully convened and duly concluded on 17 February 2026 in accordance with the Association’s Constitution and the requirements of the Associations Incorporation Act 2009.
All office bearers and committee members were validly confirmed at that meeting. The Committee elected on 17 February 2026, led by President Ke Fan, is the lawful governing body of CLTANSW.
Under CLTANSW Constitution and NSW Association Incorporation Act (2009), the committee has started working with Community Justice Centre to arrange mediation with some members regarding the current governance dispute
13 March 2026 Meeting – Lack of Authority
The meeting scheduled for 13 March 2026 has NOT been convened by the duly elected Committee of CLTANSW.
Under the Associations Incorporation Act 2009:
- Only the Committee may convene a General Meeting (Model Constitution clause 28(3)).
- Any meeting convened without proper authority is invalid.
- Any resolutions passed at such a meeting have no legal effect.
Accordingly, the 13 March 2026 meeting holds no validity, is unauthorised and unlawful, beyond the power of those persons, and any business purportedly conducted at that meeting will be null and void.
Misleading Communications
Recent communications purporting to:
- deny entry to certain members,
- impose attendance restrictions,
- or claim regulatory justification,
have NOT been issued by the lawful Committee of CLTANSW elected on 17 February 2026. Members are advised that such communications may constitute:
- Misrepresentation of authority
- Interference with the governance of the Association
- Potential breaches of the Constitution and statutory obligations
Digital and Asset Interference
The Association is aware of ongoing attempts to:
- interfere with official communications,
- control digital assets,
- or represent the Association without authority.
Members are reminded that only communications authorised by the Committee elected on 17 February 2026 are valid. The official CLTANSW communication channels are the Association’s website, www.cltansw.org, and emails sent with an address suffix @cltansw.org.
Regulatory Position
The Association remains committed to full compliance with:
- the Association’s Constitution
- the NSW Fair Trading regulatory framework
- and the Associations Incorporation Act 2009
Any attempt to conduct parallel governance outside these requirements will be formally challenged.
Members are strongly advised not to rely on or participate in any meeting not convened by the duly elected Committee led by President Ke Fan
Further legal steps are being considered to protect the Association’s governance, assets, and members’ interests.
