Munchi Terms and Conditions for Restaurant Partners

1. Services Provided

Munchi offers an all-in-one order and payment solution, including self-ordering kiosks and additional software tools for restaurant partners. Partners are responsible for maintaining internet connections and providing up-to-date menu data.

2. Fees and Payments

Restaurant partners will pay subscription fees based on their chosen service tier.

Fees are billed monthly, with penalties for late payments. Munchi reserves the right to change pricing with prior notice.

3. Data Ownership and Privacy

Restaurant partners retain ownership of customer data. Munchi may collect anonymized data for performance and improvement purposes. Both parties must comply with applicable data protection laws, including GDPR.

4. Intellectual Property

Munchi retains all rights to its software, trademarks, and technology. Partners may not copy, modify, or reverse-engineer any part of Munchi’s system.

5. Device Responsibility and Replacement

Restaurant partners are responsible for safeguarding all Munchi-provided hardware. In the event of loss, theft, or damage, the restaurant will cover the full cost of replacement or repair. Munchi may provide new or replacement devices at an additional charge. If a device stops working due to natural causes (e.g., hardware failure not caused by misuse), Munchi will replace the device at no extra cost. Partners must notify Munchi immediately if a device is lost or stolen to prevent unauthorized access to the system.

6. Promotions and Gift Cards

Restaurants can issue their own promotions or gift cards, with Munchi providing the necessary software tools. Munchi is not responsible for the terms of these promotions or gift cards.

7. Liability and Disclaimers

Munchi provides its services on an "as-is" basis and is not liable for indirect or consequential damages, including loss of revenue or service interruptions.

8. Termination Period

The termination period will follow the terms outlined in the partner contract. Either party may terminate the agreement with a minimum of 30 days’ notice. In the case of early termination by the restaurant, an early termination fee may apply, including any outstanding payments due for the remaining contract term. Munchi reserves the right to terminate the agreement immediately if the restaurant violates any critical terms, such as misuse of hardware or non-payment.

9. Indemnification

Restaurant partners agree to indemnify Munchi against claims arising from their use of the system, including customer disputes and misuse of data.

10. Confidentiality

Both parties agree to keep confidential any business or personal information exchanged during the partnership.

11. Modifications

Munchi may update these terms from time to time with prior notice. Continued use of the service constitutes acceptance of any modifications.

12. Governing Law

This agreement is governed by the laws of Finland, and any disputes will be resolved in the appropriate courts of Finland.

13. Deliveries

Deliveries arranged through Munchi’s platform are handled by third-party providers. Munchi is not responsible for any issues arising from the delivery process itself. Munchi's responsibility is limited to ensuring that integrations with delivery service providers function correctly at all times.

14. Third-Party Payment Processing Fees

Payment processing services are provided by third-party payment providers. Any fees associated with these services are the responsibility of the restaurant, and Munchi is not liable for these charges. Munchi will disclose these fees before any transactions.

15. Data collection review, update, or deletion

Based on the applicable laws of your country, you may have the right to request access to the personal information we collect from you, change that information, or delete it.

16. Account Information

If you would at any time like to review or change the information in your account or terminate your account, you can:

Upon your request to terminate your account, we will deactivate or delete your account and information from our active databases. However, we may retain some information in our files to prevent fraud, troubleshoot problems, assist with any investigations, enforce our legal terms and/or comply with applicable legal requirements.
