This privacy policy (“Privacy Policy”) covers individuals who have a business relationship with Cloud Cover Media, Inc. d/b/a Pandora CloudCover (“Cloud Cover” or “we”), a wholly owned subsidiary of Sirius XM Radio Inc. (“Sirius XM”), in their business interactions with Cloud Cover, including any individual end users who use Cloud Cover’s products and services for business purposes (“you”).

This Privacy Policy for business-to-business clients describes our practices regarding the collection, use, and disclosure of information collected by Cloud Cover through or in connection with the CloudCoverMusic.com website, mobile apps, and any other services that post a valid link to this Privacy Policy (collectively, the “Service”). By accessing, using, or otherwise interacting with any part of the Service, you consent to this Privacy Policy and any additional applicable policies and terms you may agree to which govern your use of the Service.   1. The Personal Information We Collect

Cloud Cover provides its business clients the ability to play fully licensed commercial-free music as background music for their business.  We do not collect personal information from or about any customers of its business clients to whom music or other audio content is played.  In the course of the business-to-business transaction between Cloud Cover and its business clients, we collect certain types of information to conduct the transaction and provide ongoing support to clients.  Some of the data we or third parties collect through the Service may be considered “personal information” under applicable laws. Such information may include your name, business contact information, and if you conduct business through our website, your IP address and device identifier. Note that we may de-identify personal information. We maintain and use de-identified data without attempting to re-identify it except where permitted by applicable law, such as to determine whether our de-identification process satisfies legal requirements. We will treat de-identified information as non-personal to the full extent allowed by applicable law. If we combine non-personal information with personal information, then we will treat the combined information as personal information under this Privacy Policy.

Information You Provide Directly. For some activities, such as registering for an account, purchasing a subscription, personalizing a music station, creating promotional messages, or when contacting us, we may ask visitors to supply us with personal information such as their business contact information (name, email address, phone number, address), preferences (listening and music preferences), and non-precise geolocation. Our third-party payment processor may also collect billing and payment information directly from you.

Information We Receive from Third Parties. We may receive information, including personal information, about you from third parties, for marketing purposes. We may combine information received from third parties or through our Service. The information collected and stored by a third party is subject solely to the third party’s privacy practices, including, without limitation, whether the third party continues to share data with us, the types of data shared, and your choices with regard to what is visible to others on that third-party website or service. Additionally, please note that collection and use of payment information by third-party merchants and payment processors is subject to the privacy policy and terms of the respective third party.

Information We Collect Automatically. We and our third-party business vendors (including our service providers and third-party analytics providers) may automatically collect information such as your IP address, device identifier, browser type, mobile network, and what areas of the Service you interact with (“Usage Information”). Usage Information is used to help us create a better experience for you, including to determine the number of visits to different pages on the Service and to improve access to our content based on our visitors’ browser and operating systems.

  1. How We Use Personal Information

We may use information collected through the Service, including your personal information to enable you to use the Service, manage our business relationship with you, send you communications, provide service support, , and otherwise as disclosed to you in this Privacy Policy and/or at the time of collection. We may use non-personal information for any purpose allowable by law, including for research and marketing purposes, and to improve the design, experience, and content of our Service. We may also aggregate this information to analyze Service usage, as well as to offer products, programs, and other services.

  1. Disclosure of Personal Information to Third Parties

We share personal information we have collected about you as described in this Privacy Policy, as disclosed at the time you provide information, or otherwise with your consent. We do not share personal information with third parties for their own marketing purposes unless you have consented to such sharing.

Third Parties Providing Services on Our Behalf: We may use third-party service providers to perform certain services on our behalf, such as for payment processing, providing customer service, hosting the Service features, providing website usage analytics, sending communications, and other administrative services. We may give these service providers access to your information (including personal information) so that they can carry out the services that they are performing for you or for Cloud Cover.

Sweepstakes, Promotions, and Contests. We may offer sweepstakes, contests or other promotions (any, a “Promotion”), that may require registration. By participating in a Promotion, you are agreeing to the provisions, conditions, or official rules that govern that Promotion, which may contain specific requirements of you (including, without limitation and except where prohibited by law, allowing the sponsor(s) of the Promotion to use your name, voice, likeness or other indicia of persona in advertising or marketing materials). If you choose to enter a Promotion, personal information may be disclosed to third parties or the public in connection with the administration of such Promotion, including, without limitation, in connection with winner selection, prize fulfillment, as required by law or permitted by the Promotion’s terms or official rules (such as on a winners list).

Feedback, Questionnaires and Surveys. Our Service allows participation in surveys and questionnaires, which from time to time we may post on or provide through the Service. We also encourage our users to provide feedback to us about our Service. You are free to choose whether you participate in these activities. We may ask that, in addition to providing your responses, you also provide us with your contact information. In these instances, we use any personal information you choose to provide to us in connection with these activities for the purposes for which you submit the information. This includes using your personal information and the submitted feedback to display them on our Service or to contact you in response to your feedback.  We may aggregate data derived from survey and questionnaire information – with your personal information removed – for monitoring or improving the use and appeal of the Service (with no other obligation to you and, specifically, with no obligation to compensate you for these uses). You are not obligated to participate in any of these activities and, if you undertake these activities, you will have the ability to opt-out.

When You Agree to Receive Information from Third Parties or Direct That We Share Your Information: We may share information when you consent or direct us to do so. Please note that we are not responsible for the privacy practices of third parties. If you later decide that you no longer want to receive communications from a third party, you will need to contact that third party directly.

Parent, Affiliates, & Subsidiaries: We may share your information, including personal information, with our parent, affiliates, and subsidiaries for business, analytical, and operational purposes.

Administrative and Legal Reasons: We will disclose information (including personal information) we maintain when we believe in good faith it is required by law, for example, in response to a court order or a subpoena. We also may disclose such information in response to a specific law enforcement agency’s request, to protect the integrity of the Service, to fulfill your requests, to protect and defend the legal rights or property of Cloud Cover, our affiliates, subsidiaries, and shareholders, the Service or its users, or any other party, or in an emergency, to protect the health and safety of our users or the general public.

Business Transfers and Transitions: In the event Cloud Cover goes through a transition (such as a merger, acquisition, bankruptcy or sale of all or a portion of its assets, including without limitation, during the course of any due diligence process), we may transfer our operations or assets. In such transactions, personal information generally is one of the transferred assets. By providing your personal information, you agree that we may transfer such information to the acquiring entity without your further consent, except where otherwise required by law.

We will not use or transfer personal information in ways that are materially different from the ones described in this Privacy Policy without also providing notification of such practices and obtaining consent for any materially different uses.

  1. Third-Party Links and Content

Our Service contains links to other sites whose privacy and information practices may be different from ours. If you click a third-party link, you will be directed to that third party’s site. We strongly advise you to review these other third-party sites’ privacy notices since these sites are not governed by our Privacy Policy and may follow different procedures. Cloud Cover is not responsible for the privacy practices or business practices of any third party.

  1. General Audience Platform

Our Service is intended for a general audience and is not intended for use by or targeted to minors younger than the age of 18. We do not knowingly collect personal information from minors younger than the age of 18. If we learn that we have inadvertently collected personal information from a minor who is younger than 18, we will delete that information from our active databases. If you are the parent or legal guardian of a minor and believe that we have inadvertently collected personal information from your child, please contact us using the information in the “Contact Us” section below.

  1. Consent to Transfer

Cloud Cover is a United States company.  Please be aware that information we collect may be transferred to and processed in the United States and other countries. By using the Service, or providing us with any information, you fully understand and unambiguously consent to this transfer, processing, usage, sharing, and storage of your information in the United States and other jurisdictions, for which the privacy laws may not be as comprehensive as those in the country where you reside and/or are a citizen. As a result, this information may be subject to access requests from governments, courts, or law enforcement in the United States and other countries according to laws in those jurisdictions.

Cloud Cover takes commercially reasonable physical, electronic, and managerial procedures to safeguard the information we collect online and to help prevent unauthorized access to such information. Unfortunately, no data transmission over the internet can be guaranteed to be 100% secure. As a result, while we strive to protect your personal information, Cloud Cover cannot ensure or warrant the security of any information you transmit to us or from our Service, and you provide information at your own risk. You use the Service and provide us with information at your own initiative and risk.

To the extent permitted by applicable law, we reserve the right to change or modify this Privacy Policy in our discretion at any time and without prior notice. This California Privacy Notice is effective as of October 14, 2024. 

California residents have certain privacy rights with respect to the personal information we collect. If you are a California resident with whom we have a direct business or potential business relationship, this notice applies to you.  

This California Privacy Notice sets forth the disclosures and rights for California Consumers regarding their Personal Information, as required by the California Consumer Privacy Act of 2018, the California Privacy Rights Act of 2020, and any implementing regulations adopted thereunder (collectively, the “CCPA”). Terms (including defined capitalized terms) used in this California Privacy Notice have the same meanings given in the CCPA, unless otherwise defined.

  1. Exercising Your California Rights

California residents with whom we have a business relationship have the following rights:

All rights are subject to the meanings and exceptions set forth in the CCPA. More information on each of these rights is below. In your request, you must provide enough information to allow us to verify you are the person about whom we collected personal information, or their authorized representative. You must also describe your request with enough detail so that we can understand, evaluate, and respond to it. Please note, we can’t respond to your request if we can’t verify your identity. Making such a request does not require you to create an account with us, and we will only use the information you provide in a request to verify your identity.

California residents have the right to not receive discriminatory treatment for exercising CCPA rights. We will not discriminate against you for exercising your CCPA rights.

Verifying Your Requests

We will take reasonable steps to verify your identity based upon the information you provide and the type of request you are making.

When you exercise your Right to Know, Right to Delete, and/or Right to Correct, we may ask that you provide us with information, beyond your full name, in order to verify your identity and fulfill your request. If we are unable to verify that the individual submitting the request is the same individual about whom we have collected information (or someone authorized by that individual to act on their behalf), we will not be able to process the request.

Agents

Under the CCPA, you may exercise these rights yourself or you may designate an authorized agent to make these requests on your behalf.

If you are an authorized representative submitting a request on a California resident’s behalf, please complete the applicable request per the instructions below. We will follow up to request a written permission, signed by the individual who is the subject of the request, authorizing you to make the request on their behalf. The written permission must state your full legal name, the full legal name of the individual who is the subject of the request and needs to be clear about the permission granted. The California resident’s identity may need to be independently verified in order for us to be able to fulfill your request and we may also seek attestation of California residency. We may also ask the California resident to directly confirm with us that they provided you with permission to submit a request. Please keep in mind that if we do not receive adequate proof that you are authorized to act on the California resident’s behalf, we may deny the request.

Right to Know, Right to Delete, & Right to Correct

If you are a California resident with whom we have a direct business or potential business relationship and would like to exercise your Right to Know, Right to Delete, and/or Right to Correct please submit your request by emailing us at Privacy@CloudCoverMusic.com or by calling us at 844-422-6249. Please include “CCPA Request” in the subject line of your request.

In order to have us provide specific pieces of information, we may require a signed declaration under penalty of perjury that you are the California resident whose Personal Information is the subject of the request. Additionally, once you submit a request to delete, we may follow up and require you to confirm that you want your information deleted as part of the verification process.

Do Not Sell My Personal Information or Share for Cross-Context Behavioral Advertising

California residents with whom we have a business relationship have the right to opt-out of the “sale” or “sharing” of your Personal Information to a third party for cross-context behavioral advertising (i.e., targeted advertising), whether or not for monetary or other valuable consideration. Cloud Cover does not sell your personal information for monetary compensation but engages in certain advertising practices (and certain third-party analytics and similar activities), which may be considered a “sale” or “share” for cross-context behavioral advertising under the CCPA. To opt-out of the “sale” or “sharing” of your Personal Information, please submit your request by emailing us at Privacy@CloudCoverMusic.com.

Right to Limit The Use and Disclosure of Sensitive Personal Information

Under the CCPA Regulations, a business must only provide the Right to Limit The Use and Disclosure of Sensitive Personal Information when such information is collected or processed for the purpose of inferring characteristics about a consumer, or its use does not fall under certain statutory exceptions, pursuant to CCPA §1798.121. Our use and disclosure of Sensitive Personal Information is not used for such purpose and/or falls within the statutory exceptions, and we therefore do not offer this right at this time.  

  1. GPC/Do Not Track

Global Privacy Controls (“GPC”) and Do Not Track (“DNT”) offered by some web browsers are settings that automatically inform websites of your privacy preferences with regard to third-party online tracking including exercising your rights and requesting the web application to disable tracking you. When you choose to turn on the GPC/DNT setting in your browser, your browser sends a special signal to websites, analytics companies, ad networks, plug in providers, and/or other web services you encounter while browsing to exercise your privacy rights and stop tracking your activity. We comply with GPC as required under applicable law, but because there is not yet an accepted standard for how to respond to browser DNT signals, we do not currently respond to them.  

  1. Data Retention

We will keep all categories of your personal information for the period necessary to fulfill the purposes described in this Privacy Policy and California Privacy Notice, considering the time period reasonably necessary to: provide the Service to you; exercise the choices and rights you have requested; comply with our contractual obligations; enforce our terms for use of the Service; and comply with legal and regulatory requirements, including if a longer retention period is permitted or required by law. Except as noted differently on specific pages or apps, we retain your personal information while you have an account with us, or while you are using our Service or continuing to visit us.

  1. Notice of Financial Incentive

Under California regulation, certain programs we offer that provide benefits to consumers, such as coupons, may be considered financial incentive benefits.  We may collect personal information from you in connection with these benefits, e.g., contact information (name, email address, employer name) for a number of reasons, including to provide the benefit to you, to better serve you, and to fulfill your requests associated with the benefit.

To opt in to the benefit, you may need to provide certain information or otherwise follow the instructions associated with that applicable benefit. Participation in our benefits is voluntarily and you can withdraw at any time.

To the extent that we provide a benefit that may be considered a financial incentive because the benefit is directly or reasonably related to the collection, deletion or sale or retention of consumer personal information, the value is reasonably related to the overall value we receive from the personal information participants provide specific to the benefit minus the costs and expenses we incur in providing the benefit.

California Civil Code Section 1798.83 permits our clients who are California residents to request and obtain from us a list of what personal information (if any) we disclosed to third parties for their own direct marketing purposes in the preceding calendar year and the names and addresses of those third parties.  We do not disclose our clients’ personal information to third parties for their own direct marketing purposes.
