Pace University Digital Commons Contributor Agreement

To make your work(s) openly available on the web via the Pace University Digital Commons (DigitalCommons@Pace) you as a Contributor are asked to sign this Agreement.

I ______________________________ (the “Contributor”), am the creator of the following original works of intellectual property :_______________________________________________.(“Submission”).  For good and valuable consideration, the exchange, receipt, and adequacy of which I hereby acknowledge, I hereby grant Pace University permission to maintain and share copies of my Submission  pursuant to the following terms and conditions:

1. COPYRIGHT:

No copyrights are transferred by this Agreement.  Accordingly, Pace University acquires no rights in and to the Submission by virtue of this Agreement. If I am the copyright holder of a Submission, I represent that third-party content included in the Submission has been used with permission from the copyright holder(s), or falls within the fair use exception recognized by United States copyright law .

2. REPRESENTATION OF ORIGINAL AUTHORSHIP:

I represent and warrant that I am the original author of the Submission.

3. ACCESS AND USE:

I hereby expressly acknowledge and agree that:

1. My Submission will be maintained in an open access online digital environment via the Pace University Digital Commons.
2. The Submission is intended for educational purposes only.
3. This document neither endorses nor authorizes the commercial use of my work in the Pace University Digital Commons by Pace University or any other person or organization.
4. Because materials on the Pace University Digital Commons are openly available online to anyone with internet access, I hereby permanently and irrevocably release Pace University from liability for third-party use of the Submission.
5. Pace University may keep more than one copy of my Submission for preservation purposes.

4. WITHDRAWING WORKS:

I understand that I may request in writing to Pace University Libraries the removal of a Submission for any reason, and that Pace University Libraries will remove the Submission(s) described in my request. Such removal does not alter any other term or condition of this Agreement.

5. FERPA WAIVER:

If I am a student making a Submission, I hereby agree to waive any privacy rights granted by applicable law, including but not limited to the Family Educational Rights and Privacy Act of 1974 (“FERPA”) for the purpose of making the Submission available on the Pace University Digital Commons.

6. TERM:

This agreement will remain in effect unless permission is withdrawn by Contributor via written request to Pace University Libraries.

7. GOVERNING LAW:

Except as may be preempted by federal law, this Agreement is governed by the laws of the State of New York, without regard to any choice of law principles.  Litigation of all disputes between the parties arising from or in connection with this Agreement shall be conducted in a court of appropriate jurisdiction in the Borough of Manhattan, City of New York.
