Preamble to the Constitution and By-Laws of the Oscar Smith Band Boosters Club

Purpose

The Oscar Smith Bands Booster Club, hereinafter referred to as the boosters or booster club, is a tax exempt organization consisting of parents and supporters of students in the Oscar Smith High School Band Program.  The Oscar Smith High School Band Program consists of all activities, groups, and ensembles under the direction, supervision, and purview of the Oscar Smith High School Band Director.

The booster club operates under a constitution and by-laws approved by the booster club membership, the purpose  and duty of which is to support and enhance the welfare of the band program. These duties include but are not limited to the following.

Provide Financial Support: The booster club endeavors to raise funds to support various aspects of the band program, including but not limited to equipment, uniforms, transportation, competition fees, and other operational expenses.

Promote Student Participation: The booster club aims to encourage and facilitate student involvement in the band program by providing resources, organizing events, and fostering a supportive environment for student musicians.

Foster Volunteerism: The booster club encourages parent and community involvement by coordinating volunteer opportunities to assist with various aspects of the band program, such as chaperoning events, organizing fundraisers, managing logistics, and providing other forms of support as needed.

Constitution

Article I: Name

The name of this organization shall be the Oscar Smith High School Band Boosters Club, hereinafter referred to as "the OSBBC, Boosters Club, or the Boosters."

Article II: Purpose

The purpose of the OSBBC shall be to support and enhance the activities and needs of the Oscar Smith High School Band program. This includes but is not limited to providing financial support, promoting student participation, and fostering volunteerism. The OSBBC commits itself to cooperate with the school and support the Oscar Smith High School Band Program in ways that will not interfere with the administrators of the school and not to seek to control the school’s policies.  The OSBBC is organized exclusively for charitable and education purposes within the meaning of the 501(c)(3) of the Internal Revenue Code.

Article III: Membership

Members shall consist of legal guardians of any student enrolled or participating in any capacity of the Oscar Smith Band Program. The OSBBC does not discriminate due to race, religion, color, sex, national origin, disability, or any other basis prohibited under applicable law.

By-Laws

Article I: Executive Board

Section I: Roles and Responsibilities

President: The President shall oversee the operations of the Boosters Club, manage its activities, and coordinate committees.

Vice President: The Vice President shall serve as Co-Treasurer, lead fundraising efforts, and manage sponsor relationships.

Treasurer: The Treasurer shall manage financial matters and oversee student meals.

Secretary: The Secretary shall take minutes at all meetings and send those minutes to all parents. They shall handle communication from the booster club to the parents and manage social media accounts.  

Concessions Manager: The Concessions Manager shall handle logistics related to concessions during events.

Assistant Concession Manager: The Assistant Concession Manager shall oversee volunteer activities and provide oversight to concession operations.

Uniform Manager: The Uniform Manager shall be responsible for the maintenance and distribution of band uniforms. The Uniform Manager shall assist students in getting prepared for every game and competition.

Logistics Manager: The Logistics Manager shall oversee equipment, trailers, and volunteer coordination.

Section II: Term Limits and Requirements

Executive Board positions holders shall serve for one year with the possibility of infinite extensions upon a majority vote. They are no longer eligible for a position if they are not legal guardians of a student enrolled or participating in the band program.

The President and Treasurer shall be designated to manage the bank account of the Boosters Club.

A vote shall be held annually in the spring, prior to the end of the fiscal year, to elect new board members.

Section III: Standard Operating Procedures

The Executive Board must create, maintain, and update a set of standard operating procedures for each position.  These procedures will be passed down upon new Executive Board member elections.  

Article II: Budget and Financial Matters

The Boosters Club shall operate within a budget provided in the spring by the band director.

The Boosters Club shall vote on any purchases or spending that exceeds $3,000.  

Disbursements of funds shall be in accordance with legal requirements, and any surplus funds shall be directed to support the band program.

A yearly audit of the Boosters Club's finances shall be conducted.

Article III: Band Director's Role

The Oscar Smith High School Band Director shall serve in an oversight and advisory capacity and hold the power to veto any and all decisions made by the booster club or executive board.

The Boosters Club shall maintain a partnership with the Band Director to ensure alignment with the goals and needs of the band program.

Article IV: Legalization and Disillusion

The Boosters Club shall operate in accordance with all legal requirements and regulations governing nonprofit organizations.

In the event of dissolution, remaining funds and assets shall be directed to support the Oscar Smith High School Band program.

Article V: Amendments

These bylaws may be amended by a two-thirds majority vote of the Executive Board.

Article VI: Adoption

These bylaws shall be adopted upon approval by a majority vote of the Executive Board.
