IF THE INDIVIDUAL ACCEPTING THIS AGREEMENT IS ACCEPTING ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, SUCH INDIVIDUAL REPRESENTS THAT THEY HAVE THE AUTHORITY TO BIND SUCH ENTITY AND ITS AFFILIATES TO THESE TERMS AND CONDITIONS, IN WHICH CASE THE TERM “CUSTOMER” SHALL REFER TO SUCH ENTITY AND ITS AFFILIATES. This Agreement was last updated on March 31, 2026.

This BUZZBOLD PRINCIPAL SERVICES AGREEMENT (this “Agreement”) is effective between Buzzbold, LLC, a Missouri limited liability company (“Buzzbold”), and the Customer (each, a “Party,” and collectively, the “Parties”) as of the date of Customer’s accepting this Agreement (the “Effective Date”).

The Parties agree as follows:

  1. Work Scope.
  1. Statement of Work. Buzzbold will provide Services (as defined herein) to Customer on an as-needed project-by-project basis. “Services” are comprised of the services, work product, and/or deliverables set forth on the applicable SOW (as defined herein). Each project to be performed by Buzzbold at Customer’s request will be described in a statement of work (“SOW”) that must be signed by both Parties. Each SOW will be governed by and subject to the terms of this Agreement. In the event of any conflict or inconsistency between the terms of this Agreement and any SOW, the terms of this Agreement shall prevail. Each SOW will include, at a minimum, the following: (a) the start date, location, and scheduled completion date of the project; (b) a description of the project and the Services to be performed by Buzzbold; (c) project milestones or other project assessment points, if any; (d) the project rate or hourly rates, as applicable, for the project; and (e) such other information as may be agreed to by the Parties.
  2. Change Requests. Customer may, at any time, by written notice to Buzzbold, request changes to a SOW. Buzzbold will provide Customer with an estimate of the impact, if any, of such requested change on the payment terms, completion schedule, and any other applicable provision of the SOW. If the Parties mutually agree to such changes, a written description of the agreed change (a “Change Request”) will be prepared which both Parties must sign. In the event of any conflicts or inconsistency, the terms of a Change Request will prevail over those of the SOW. No verbal agreement will have any effect until a Change Request is signed by both Parties.
  3. Customer Responsiveness. Customer shall provide timely access, information, feedback, approvals, and resources reasonably requested by Buzzbold to perform the Services. If Customer fails to respond to a written request within ten (10) business days, the associated timeline, milestones, and fees will be deemed accepted as‑is and may be adjusted by Buzzbold in Buzzbold’s reasonable discretion. If Customer remains unresponsive for more than fifteen (15) business days after a written request, Buzzbold may suspend all or part of the Services upon written notice. During any such suspension, (a) all fees and expenses incurred to date become immediately due and payable, and (b) Buzzbold’s obligations under the suspended SOW(s) are tolled until Customer remedies the delay. Upon resumption of the Services, Buzzbold will provide a revised schedule and, if applicable, a change order for any additional effort required.
  1. Payment Terms. Customer shall pay Buzzbold as specified in the applicable SOW. Unless otherwise agreed upon by the Parties in writing, Customer shall pay to Buzzbold the amount of the fees invoiced by Buzzbold within thirty (30) days of Buzzbold’s invoice.
  1. For invoices Due on Receipt where work has not started, work is subject to cancellation if payment is not received with thirty (30) days of Buzzbold’s invoice.
  2. For subsequent invoices after work has started, Buzzbold may suspend Services on ten (10) days’ written notice if any undisputed invoice remains unpaid thirty (30) days after its due date. If services are suspended due to non-payment, Buzzbold may invoice a one-time restart fee of $500.

Work will resume only after full payment of outstanding amounts and any applicable restart fee.

  1. Third‑Party Expenses and Access. Customer may use third‑party software, websites, or products (the “Third-Party Products”), and the Parties acknowledge and agree that any expenses associated with the Third-Party Products are Customer's sole responsibility. Upon Buzzbold’s written request, Customer shall promptly grant Buzzbold with administrative access to the Third-Party Products in order for Buzzbold necessary to fulfill the Services. Customer acknowledges and agrees that Buzzbold has the agency to accept the terms of the Third-Party Products on behalf of Customer for Third-Party Products that Buzzbold (e.g., to enable Salesforce® Person Accounts in accordance with Nonprofit Cloud or Education Cloud setup instructions) and Customer have mutually agreed in writing are necessary for Buzzbold to perform the Services or any other obligations set forth in the SOW. Buzzbold shall notify Customer in writing of any Third-Party Products and associated agreements, and, upon written notification to Customer, Customer shall be responsible for such expenses and costs associated with the Third-Party Products.
  2. Term and Termination.
  1. Term. The term of this Agreement begins on the Effective Date and persists unless terminated in accordance with this Agreement (the “Term”).
  2. Mutual Termination Rights. Either Party may terminate this Agreement: (a) by joint written agreement; (b) for the other Party’s material breach of this Agreement which is not cured within thirty (30) days after the non-breaching Party notifies the breaching Party in writing of such breach; or (c) upon sixty (60) days’ prior written notice to the other Party. A particular SOW may also be terminated under the foregoing termination provisions or as otherwise set forth in the SOW. Termination of this Agreement shall not affect rights and obligations arising prior to the termination date.
  3. Buzzbold Termination Rights. If Customer’s non‑responsiveness (under Section 1.3) or non‑payment (under Section 2) continues for thirty (30) days after suspension, Buzzbold may immediately terminate the affected SOW(s) or this Agreement upon written notice to Customer.
  4. Effect of Termination or Expiration. Customer shall pay to Buzzbold all amounts payable in connection the Services provided or rendered prior to the termination or expiration of this Agreement.
  5. Survival. The following Sections shall survive termination or expiration of this Agreement: Sections 2, 4-6, and 8-13.

All concepts, works, information, patents, trademarks, processes, methods, procedures, data, computer programs, and other ideas and materials, including, without limitation all source code and executable code, developed, invented, prepared, or discovered by Buzzbold prior to or after the Effective Date shall be referred to herein as “Buzzbold IP”.
  2. Customer Pre-Existing IP. All concepts, works, information, patents, trademarks, processes, methods, procedures, data, computer programs, and other ideas and materials, including, without limitation all source code and executable code, developed, invented, prepared, or discovered by Customer prior to the Effective Date of this Agreement shall be referred to herein as “Customer Pre-Existing IP”. 4. License to Customer. Unless otherwise expressly stated otherwise in a SOW, Buzzbold hereby grants a limited, worldwide, and royalty-free license to Customer, during the Term, to use and internally distribute the Deliverables and the Buzzbold IP included in the Deliverables solely for Customer’s internal business purposes subject to the provisions in this Agreement or an applicable SOW. The Buzzbold IP and Deliverables shall be considered Confidential Information and subject to the terms of this Agreement. Other than as provided in this Agreement, Customer shall have no other rights in or to the Deliverables and Buzzbold IP.
  5. License to Buzzbold. Customer hereby grants a limited, worldwide, and non-transferable license to Buzzbold to use, reproduce, and incorporate the Customer Pre-Existing IP and Confidential Information into the Deliverables. The Customer Pre-Existing IP shall be considered Confidential Information and subject to the terms of this Agreement.
  6. Feedback. Customer may provide feedback to Buzzbold concerning information about the Services and Deliverables, as well as general feedback, suggestions, improvements, modifications, features, and functionality of the Services and Deliverables (the “Feedback”). If Customer provides Feedback to Buzzbold, all such Feedback (including all associated intellectual property and proprietary rights therein) will be the sole and exclusive property of Buzzbold. Customer hereby irrevocably transfers and assigns to Buzzbold and agrees to irrevocably assign and transfer to Buzzbold all of Customer’s right, title, and interest in and to all Feedback (including all associated intellectual property and proprietary rights therein). Except as otherwise explicitly provided herein, Customer will not earn or acquire any rights or licenses in the Services, Deliverables, or Buzzbold IP, even if Buzzbold incorporates any feedback into any of the foregoing.
  7. No Adverse Action. Customer acknowledges and agrees that except as provided herein, it does not have any rights in or to the Buzzbold IP, and Customer shall not at any time apply for registration of any copyright, trademark, or other designation or file any document with any governmental authority or take any action which would affect Buzzbold’s ownership of Buzzbold IP, Deliverables, or any derivative works based thereon.
  1. Mutual Confidentiality.
  1. Definition. “Confidential Information” means any confidential or proprietary information, systems, or data, including, but not limited to, trade secrets, know how, software programs, source code, executable code, object code, algorithms, business, products, technical data, documentation, specifications, activities, processes, technology, drawings, flow charts, diagrams, customers, suppliers, contracts, finances, personnel, research, plans, business strategies and plans, policies, inventions, confidential information of customers, or other intellectual property or proprietary information, that one Party (the “Receiving Party”) has received or will receive from the other Party (the “Disclosing Party”) and which concerns the Disclosing Party and its affiliates or any of their respective businesses, assets, products, services, employees, or customers, or of any third party in the possession of Disclosing Party or any of its affiliates, that is designated by Disclosing Party or any of its affiliates as confidential or proprietary or that is customarily or legally required to be protected from public disclosure, regardless of whether such information is provided to the Receiving Party orally, in writing or other tangible form, via email, or in electronic form, or is obtained through visual observation. Confidential Information includes, without limitation: the terms of this Agreement; access information, account data, end-user personal information, technical, financial, or business information or data; strategies and plans; research and development plans and results; pricing information; information regarding products and services or product or service models, prototypes, or samples; product schematics, documentation and manuals; proprietary methods, techniques, designs and processes; inventions, works of authorship, trade secrets and discoveries; software source code and object code; data, algorithms and flow-charts used by or for, or otherwise relating to, such software; lists of, or data regarding actual or potential customers or suppliers; and any information based on or derived from any Confidential Information.
  2. Non‑Disclosure. The Receiving Party agrees not to disclose any of the Disclosing Party’s Confidential Information to third parties without the prior written consent of the Disclosing Party; provided, however, that the Receiving Party may disclose the Disclosing Party’s Confidential Information to those of its employees and agents with a legitimate need to know such information provided that such employees and agents are bound to written agreements with confidentiality obligations no less stringent than those provided in this Agreement.
  3. Confidentiality Measures. Each Party shall employ the same measures to protect the other Party’s Confidential Information that it employs to protect its own Confidential Information, but in no event less than a reasonable standard of care.
  4. Return or Destruction. Upon termination or expiration of this Agreement or at the written request of the Disclosing Party, the Receiving Party shall return or, at the Disclosing Party's written request, destroy all of the Disclosing Party's Confidential Information in the Receiving Party's possession, and the Receiving Party shall provide to the Disclosing Party a written statement certifying such return or destruction, as applicable. Where Customer Personal Data is subject to the Data Processing Addendum, the data return and deletion provisions of the DPA shall apply.
  5. Exceptions. Notwithstanding anything to the contrary herein, the following will not constitute “Confidential Information” for the purposes of this Agreement: (a) information that the Receiving Party can show, by documented and competent evidence, was known by it prior to the disclosure thereof to it, or independently developed by it, in both cases, without using the Confidential Information; (b) information that is or becomes generally available to the public other than as a result of an unlawful disclosure directly or indirectly by the Receiving Party in breach of this Agreement; (c) information that is or becomes available to the Receiving Party on a non-confidential basis from a source other than the Disclosing Party, provided that such source is not known by the Receiving Party to be subject to any prohibition against transmitting the information to the Receiving Party; or (d) information for which the Disclosing Party has authorized the relevant disclosure or other use.
  6. Remedies. Each Party’s obligations set forth in this Section are necessary and reasonable in order to protect the Disclosing Party and its business. Due to the unique nature of the Disclosing Party’s Confidential Information, monetary damages may be inadequate to compensate the Disclosing Party for any breach by the Receiving Party of its covenants and agreements set forth in this Agreement. Accordingly, the Parties each agree and acknowledge that any such violation or threatened violation may cause irreparable injury to the Disclosing Party and, in addition to any other remedies that may be available, in law, in equity or otherwise, the Disclosing Party may be entitled to obtain injunctive relief against the threatened breach of this Section or the continuation of any such breach by the Receiving Party.

If Indemnitor assumes the handling, settlement or defense of any such claim or litigation, Indemnitee shall cooperate in the defense of such claim or litigation, and Indemnitor’s obligation with respect to such claim or litigation shall be limited to holding Indemnitee harmless from any final judgment rendered on account of such claim or settlement made or approved by Indemnitor in connection therewith, and expenses and reasonable attorney’s fees of the Indemnitee incurred in connection with the defense of such claim or litigation prior to the assumption thereof by Indemnitor and any reasonable out-of-pocket expenses for performing such acts as Indemnitor shall request. If Indemnitor does not assume the handling, settlement or defense of any such claim or litigation, Indemnitor shall, in addition to holding Indemnitee harmless from the amount of any damages awarded in any final judgment entered on account of such claim, reimburse Indemnitee for reasonable costs and expenses and reasonable attorney’s fees of Company incurred in connection with the defense of any such claim or litigation, and Indemnitee shall fully cooperate with the reasonable requests of Indemnitor in its participation in, and control of, any compromise, settlement, litigation or other resolution or disposition of any such claim.
