Voono Terms and Conditions

Voono is an sports entertainment platform where sports enthusiasts ("you," or "User") can engage with your favourite athletes and teams while connecting with the worldwide sports community. Voono offers digital trading cards backed by blockchain technology, featuring professional sports players ("Card Collectibles"). Users can purchase Card Collectibles on Voono, use their sports expertise to assemble their ideal team, and participate in fantasy rugby league tournaments based on the real-life performance of their chosen athletes. Additionally, users can list their Card Collectibles for sale or buy other users' Card Collectibles on the Marketplace.

These Terms and Conditions (“T&Cs” or “Terms”) govern your use of the Voono website located at voono.io (including any successor URLs) (“Voono Website,” “Website”) operated by Voono Ltd. and its affiliates (“Voono,” “we,” “us”). Additionally, the privacy policy (“Privacy Policy”) governs how we process any of the data that we receive through your use of the Website and Services.

These Terms and Conditions and any Additional Terms (where applicable) form a legally binding agreement between you and Voono – please read them carefully. For the purposes of these Terms, any capitalised terms shall have the meaning assigned. We invite you to reach out to our Support Team via the email address (help@voono.io) if you ever have any questions.

Acceptance of Terms

By accessing or using the Voono platform, including purchasing or selling Card Collectibles, participating in fantasy rugby league tournaments, or any other services provided by Voono (collectively, the "Services"), you acknowledge and agree that you have read, understood, and agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and Voono.

If you do not agree to these Terms, you may not access or use the Services. We reserve the right to modify or revise these Terms at any time, and we will provide notice of such modifications on our website or by other means so that you can review them. Your continued use of the Services following any such notice will constitute your acceptance of the changes.

The Voono Website

The Website and Services are owned and operated by Voono Ltd, a company incorporated and registered in England and Wales, with company number 13545853, whose registered address is at Asia House, 82 Princess Street, Manchester, M1 6BD.
The services include all products, offerings, games, and features, including the Marketplace, offered by Voono through the Website (“Services”). Through the Website, you can acquire, collect, exchange, and play Card Collectible digital cards that leverage blockchain technology and feature professional sports players from different, officially licensed teams. You can also compose teams of your Card Collectibles, enter the team into a tournament, and compete with other Users.
The Website may contain links or content from services not operated by Voono that provide additional content or features such as payment services, the purchase and sale of digital assets in legal tender, digital asset wallets as well as player data and third-party Card Collectible marketplaces (“Third-Party Services”). Whether or not integrated into the Website and/or these Third-Party Services are provided under the terms of use and privacy policy of the relevant third-party provider, under that provider’s sole responsibility. Voono is not responsible or liable for the availability or accuracy of the Third-Party Services, or the services, products, or content available from the Third-Party Services. Links to or use of any Third-Party Services are not an endorsement by Voono of such Third-Party Services. Please consult the relevant Third-Party Service’s terms and conditions and/or privacy policy for more information.

Account

Account Creation. Voono is free to use. To sign up for a User account, you must provide:

a first name;
a last name;
a username;
an e-mail address.

By creating a User account, you are indicating your agreement to these Terms. In doing so, you represent and warrant that you (i) are eighteen (18) years old or older; (ii) will use the Website, and/or Services in compliance with these Terms and any applicable laws, rules or regulations; and (iii) are not located in, nor a citizen or resident of, any country subject to a UK government embargo or that has been designated by the UK government as a ‘terrorist supporting’ country, nor are you listed on any UK government list of prohibited or restricted parties.

Account Use. The Website, User accounts, and Services are free for individual, non-commercial, personal use. You shall not sign up on behalf of or act in coordination with another individual, group of individuals and/or a company.
Username.

While creating a User account, you will be asked to pick a username that will be associated with any purchases and Game participation of your User account.
You shall not change your username more than once during a three-month period.
You shall not attempt to mislead, confuse and/or defraud other users via elements in your username. You may not include any abusive, harassing, offensive or otherwise malicious language or suggestions in your username.

Account Security.

Please choose a strong password, use a password manager, store your information securely, do not share your account information with third parties and observe other security best practices. We are not liable for the loss or theft of your password or other account information. It is your responsibility to take all measures to secure access to your login and account information, including your password. We strongly encourage you to set up two-factor authentication. You are responsible for the actions of any person using your User account, including without your prior consent.
You agree to report the theft of your information, login information, or password, unauthorised access to your account and/or any other fraudulent or unauthorised third-party use of your account, to us as quickly as possible, by contacting our Support Team via the help@voono.io.

Prohibited Account Uses.

Multiple Accounts. You may not create more than one User account and/or manage the User account(s) of other Users (even if given explicit permission by such Users). Only a natural person can create an account, and partnerships, joint ventures, and/or corporate accounts are prohibited.
Associating Accounts. You may not collude with or otherwise act in association or conjunction with other User accounts, whether formally or informally, in order to attempt to circumvent or circumvent these Terms; attempt to create or create an unfair competitive advantage and/or other unfair or artificial advantage in the Game; or attempt to unfairly or otherwise artificially influence Card Collectible value, including but not limited to through directing other Users regarding actions on such Users’ respective User Account, lending, trading, buying, repeatedly selling and/or selling Card Card Collectibles below market value.
Account Re-creation. You may not create a User Account if your User account has been temporarily suspended or if we have permanently deleted a User Account associated with you in the past.

Voono’s Wallet

Voono’s Wallet. All User accounts are connected to a central wallet owned and managed by Voono to be used in connection with the Services ("Wallet"). In the Wallet, Voono stores your Card Collectibles.

Voono ensures the security of the Wallet and takes all necessary measures to protect the Card Collectibles stored within it. However, it is your responsibility to secure access to your login and account information. If you suspect that a third-party has gained unauthorised access to your account, please contact us immediately at help@voono.io.

You may use your account in connection with the purchase or sale of Card Collectibles through the Services. If you decide to sell your Card Collectibles on another marketplace, you can request Voono to transfer the Card Collectibles to your personal wallet via help@voono.io. Upon such request, Voono will provide you with instructions on how to proceed.

Licence

Licence Grant. Subject to your compliance with these Terms and any applicable Additional Terms, we hereby grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable personal licence to use the Services. This licence is strictly for personal use.

Basic (Free-To-Play) Cards

License Grant. After signing up for an account, we provide you with free digital cards that are not non-fungible tokens ("Basic Cards"). Subject to your compliance with these Terms, we grant you a licence to collect and play with the Basic Cards within Voono. They are located in the "My Club" section of your User account.
Card Elements and Third-Party Rights. The player image, team branding (including trademarks and jerseys), and other elements featured in the Basic Cards are officially licensed from the relevant third-party rights holder ("Third-Party Card Elements"). This may include third-party patent rights, image rights, copyrights, trade secrets, trademarks, know-how, or any other intellectual property rights recognised in any country or jurisdiction in the world ("Third-Party Rights"). For the avoidance of doubt, you are only authorised to use and display Third-Party Card Elements as part of the use and display (as applicable) of the Basic Card incorporating such Third-Party Card Elements within the Voono platform only. Any other use or display of the Third-Party Card Elements is strictly prohibited.
Licence Restrictions. Under no circumstances and without Voono's prior written consent, may you carry out or attempt to carry out any of the following with respect to the Basic Cards, whether or not held by you: (i) use the Basic Cards and any of the Third-Party Card Elements for commercial purposes, advertising, or promotion of a third-party product or service; (ii) market merchandise, physical or digital, that represents the Basic Card; (iii) alter the image associated with the Basic Card, and/or alter, edit, or modify the Third-Party Card Elements in any other way; (iv) attempt to claim any additional intellectual property rights relating to the Basic Card or the Third-Party Card Elements; (v) violate any applicable Third-Party Right; and/or (vii) use the Third-Party Card Elements and/or the Basic Card in connection with images, videos, or other forms of media that depict hatred, intolerance, violence, cruelty, or anything else that could reasonably be found to constitute hate speech, defamation, or otherwise infringe upon the rights of others, including the image right(s) of the featured player.

Card Collectibles

Card Collectibles. Card Collectibles are unique digital trading cards featuring a professional athlete with a non-fungible token using Blockchain Technology and issued by Voono. The non-fungible token ensures the scarcity and authenticity of the Card Collectible and the transparency of the Services. Non-fungible tokens on the Voono platform are minted using Polygon.
Scarcity. Card Collectibles are classified based on a level of scarcity specified for each issuance. For instance, a Card Collectible may be Classic, Rare, Special Edition, One Of One, regarding the total number of items offered. The scarcity of a Card Collectible is guaranteed by the underlying non-fungible token.
Value. Card Collectibles serve as digital counterparts to traditional sports trading cards. Their primary purpose is not for investment or appreciation in value, even though they can be resold through the Marketplace or via a Third-Party Service or marketplace.
Ownership. Upon purchasing a Card Collectible, you become the definitive owner of the associated non-fungible token, as governed by these Terms. Unless explicitly stated otherwise, you possess the right to freely manage your Card Collectible, including selling, loaning, donating, transferring, etc., within the Marketplace or through a Third-Party Service or marketplace.
Card Collectible Elements and Third-Party Rights. The player image, team branding (including trademarks and jerseys) and other elements figuring in the Card Collectibles are officially licensed from the relevant third-party rights holder (“Third-Party Card Collectible Elements”). This may include third-party patent rights, image rights, copyrights, trade secrets, trademarks, know-how or any other intellectual property rights recognised in any country or jurisdiction in the world (“Third-Party Rights”).

Licence to Third-Party Rights in Card Collectible Elements. Subject to compliance with these Terms, you are hereby granted, on a non-exclusive basis, a worldwide licence to use, display and transfer the Third-Party Card Collectible Elements associated with the Card Collectibles incorporated into the non-fungible tokens that you legitimately own for the period that you own the relevant non-fungible token(s), for personal and non-commercial purposes only. For the avoidance of doubt, you are only authorised to use, display, and transfer Third-Party Card Collectible Elements as part of the use, display, and transfer (as applicable) of the Card Collectible embedding such Third-Party Card Collectible Elements. Any other use, display or transfer of the Third-Party Card Collectible Elements is strictly prohibited.
Licence Restrictions. You may not, under any circumstances and without Voono’s prior written consent, carry out or attempt to carry out any of the following to the Card Collectibles, whether or not owned by you: (i) use the Card Collectible and any of the Third-Party Card Collectible Elements for commercial purposes, advertising or promotion of a third-party product or service; (ii) market merchandise, physical or digital, that represents the purchased Card Collectible; (iii) alter the image associated with the Card Collectible, and/or alter, edit or modify the Third-Party Card Collectible Elements in any other way; (iv) attempt to claim any additional intellectual property rights relating to the Card Collectible or the Third-Party Card Collectible Elements; (v) violate any applicable Third-Party Right; and/or (vii) use the Third-Party Card Collectible Elements and/or the Card Collectible in connection with images, videos, or other forms of media that depict hatred, intolerance, violence, cruelty, or anything else that could reasonably be found to constitute hate speech, defamation or otherwise infringe upon the rights of others, including the image right(s) of the featured player.

Card Collectible Issuance.

You can purchase a Card Collectible through primary sales directly from Voono or via posts from other Users in Voono's Marketplace, or through a third-party marketplace.

When Card Collectibles are first issued, Voono offers them for sale as primary sales. You and other Users can buy these Card Collectibles at the set price. Users can also buy and sell Card Collectibles in Voono's Marketplace, where they can set their own prices for the Card Collectibles they own. Additionally, Card Collectibles can be bought and sold on third-party marketplaces.

Any transaction completed on the Website through a User account is deemed authentic and valid. Once you have made a purchase, it cannot be undone or modified.

Typically, under the UK’s Consumer Contracts Regulations, consumers have the right to withdraw from a contract within 14 days following its conclusion. However, exceptions to this right exist for certain types of goods and services, including digital content that has been provided with the consumer’s explicit consent, and with their acknowledgment that they will consequently forfeit their right to withdraw. Given that the Card Collectibles offered are digital and immediately accessible to the User upon purchase, you will be requested to provide explicit consent to the immediate supply of the Card Collectible. This means you acknowledge and accept that your right of withdrawal will be lost upon your agreement to the Terms. As a result, once a Card Collectible is purchased, it cannot be returned or refunded.

By purchasing a Card Collectible on the Website, you expressly consent to the immediate performance of the contract and acknowledge that you will lose your right of withdrawal from the contract. Voono will confirm your agreement to the provision of the digital content and your acknowledgement of the loss of your right of withdrawal by email.

Transfer and Exchange.

Through the Marketplace. You may sell your Card Collectibles to other Users or buy other Users’ Card Collectibles via posting the relevant Card Collectibles on the Voono marketplace (“Marketplace”). Upon a successful transaction, the total value will be reflected as credit in your Voono Wallet. To receive this credit, a request must be made via the site.

Voono charges a commission fee on all transactions conducted through the Marketplace, calculated as a percentage of the total transaction value. The current commission rate is 20%. Voono reserves the right to change this commission rate at any time, with changes effective immediately upon posting the updated rate on the Voono website or notifying users directly. The commission fee is automatically deducted from the total transaction value at the completion of the transaction. By using the Marketplace, you agree to this commission structure and authorise Voono to deduct the commission fee from your transactions.

Through a Third-Party Service. You may withdraw your credit from your Voono Wallet and transfer to and/or sell the Card Collectibles through a Third-Party Service or marketplace. To withdraw your credit or transfer your Card Collectibles to an external wallet or Third-Party Service or marketplace, you will need to request a transfer via help@voono.io and pay the fees associated with transferring the Card Collectibles from Voono. Any sales or exchanges on Third-Party Services and/or marketplaces will be subject to the terms and conditions provided by such Third-Party Service or marketplace.
Disclaimer. To the extent allowed by applicable law, Voono is under no circumstances responsible or liable for any loss or damage that may occur during the transfer, withdrawal, sale, or exchange of Card Collectibles or withdrawal of credit through the Marketplace or outside the Website, except in cases of wilful misconduct or gross negligence on the part of Voono

Token Maintenance

Maintenance and Upgrades: Voono reserves the right, in its sole discretion, to conduct maintenance on, upgrade, or otherwise modify the blockchain network that supports the Card Collectibles, or to transition the Card Collectibles to a different blockchain network. Such maintenance or upgrades may result in temporary or permanent disruptions to the availability or functionality of the Card Collectibles.
User Responsibility: It is your responsibility to ensure that you have taken appropriate measures to safeguard your Card Collectibles, including but not limited to maintaining secure and updated digital wallets.
No Liability: Voono shall not be liable for any losses, damages, costs, or expenses incurred by you as a result of any maintenance or upgrades to the blockchain network, or the transition of the Card Collectibles to a different blockchain network, except to the extent such losses, damages, costs, or expenses are directly caused by our gross negligence or willful misconduct.
Notice of Changes: Whenever practicable, Voono will provide advance notice of any planned maintenance, upgrades, or transitions that could affect the availability or functionality of the Card Collectibles.

Digital Asset Risk

Understanding Digital Assets: The Card Collectibles offered by Voono are digital assets that exist on a decentralised blockchain network. By purchasing, selling, or otherwise transacting with these digital assets, you acknowledge and agree that you understand the nature of this technology and the associated risks.
Value Fluctuation: The value of digital assets can be extremely volatile and unpredictable. The price or value of Card Collectibles may increase or decrease rapidly, or even fall to zero. You should carefully consider whether you are in a financial position to accept the risk of losing the entire amount you spend on Card Collectibles.
No Legal Tender: Card Collectibles are not legal tender and are not backed by any government entity or other legal entity. They are not subject to protections or guarantees.
Risk of Loss: The loss of necessary private keys associated with your digital wallet containing Card Collectibles will result in loss of such Card Collectibles. Voono does not have the ability to restore or recover lost Card Collectibles.

Marketplace Risk: Prices for Card Collectibles in the Marketplace are subject to change due to the supply and demand from other users. Voono does not control and is not responsible for the prices users set for Card Collectibles in the Marketplace.
Regulatory Risk: Changes in applicable laws, regulations, or rules, or a governmental authority cracking down on the use of blockchain assets, may affect your ability to buy, sell, or use Card Collectibles.
No Guarantee: Voono makes no representations or warranties about the suitability or potential value of any Card Collectible. The decision to purchase Card Collectibles is solely your own and should be made based on your own independent judgement.

Payment

When you make a payment in connection with the Services, your payment will be processed by one of our trusted, Third-Party Service payment providers “Payment Provider.”
In order to process your payment, the relevant Payment Provider may ask you for additional information in order to verify your identity or validate the transaction, in compliance with that Payment Provider’s terms of service and privacy policy.
You acknowledge and agree that due to the nature of Blockchain technology, once a transaction has been processed, the associated transaction data will be irreversibly associated with the relevant Card Collectible and documented on the Blockchain.

Referral Program

Occasional referral programs will be made available to Users. When available, you may refer other users to the Voono website by participating in the referral program (the “Referral Program”), governed by the Referral Program Terms provided by Voono.
Your Information, Content, and Feedback

Your Information. Please keep your User account information up to date. Note that pursuant to legal and/or regulatory requirements, we might request more information from time-to-time. We will contact you via your User account or the email associated with your User account if this is the case.
Your Content. You hereby grant and/or agree to grant to Voono the transferable, sub-licensable, free of charge, global right to exclusively use, copy, distribute, adapt, create derivative works, reproduce, distribute, modify, translate, and otherwise exploit, any content you produce when using the Services (including but not limited to username, comments, team composition, team name, etc.) (“Content”), by any present or future process and by any means of distribution on the Website, social networks, or media (such as TikTok, Facebook, Twitter, Instagram, Reddit, Youtube, etc.) or platforms (such as YouTube), e-banners and promotional emails or newsletter and on Voono intranet or in its internal documentation, whether in whole or in part, and whether as provided or as modified, for commercial or promotional purposes.
Your Feedback. We invite you to send us any feedback, comments, suggestions or ideas you have regarding the Website and/or the Services (“Feedback”) via Facebook, Twitter, Instagram or other social media platform, and/or by email to our team. When you send us Feedback, you agree to grant Voono a transferable, sub-licensable, free of charge, worldwide and for the legal duration of the potential property rights in your Feedback, right to use, copy, distribute, adapt, create derivative works, reproduce, distribute, modify, translate, make publicly available or publicly display your Feedback, by any present or future process and by any means of distribution on the Website, social networks or media (such as TikTok, Facebook, Twitter, Instagram, Reddit, etc.) or platforms (such as YouTube), e-banners and promotional emails or newsletter and on Voono intranet or in its internal documentation, whether in whole or in part, and whether as provided or as modified, for commercial or promotional purposes.

Voono’s Content

Proprietary Content. The Website and the Services, including but not limited to its proprietary content, information, design (including the “look and feel” of the Website or Services) logos, text, graphics, images, icons, data, software, algorithms and scripts are and will remain the proprietary property of Voono and our affiliates (and licensors, where applicable) (“Proprietary Content”). Any unauthorised extraction or reproduction of the Voono database is prohibited.
Nothing in these Terms should be construed as granting you any property, patent, or other right in the Proprietary Content. You may not copy, imitate, or use, in whole or in part, any of the Proprietary Content without prior written permission from Voono.
For the avoidance of doubt, purchase of a Card Collectible does not confer any ownership or other rights in the Proprietary Content, Third-Party Card Collectible Elements, content, code, data or other materials or over Voono’s rights and/or Third-Party Rights that may be associated with the Services.

Modifications of the Service

We reserve the right to modify, suspend, or discontinue, in each case temporarily or permanently, part or all of the Services, products, offerings, promotions and/or features of the Website, or Services, or we may introduce new features and/or Services if we have another valid reason. Valid reasons include improvement of the Website or the Services (such as offering new, modified or updated services, offering different content or services), necessary modifications for technical reasons, an increased or decreased number of users, a change in the Website, or Services, and/or other operational reasons, intellectual property obligations or claims, changes in licences we hold from third parties or other third-party compliance requirements, significant changes due to specific and verifiable open market costs, necessary enhancements of the safety of users or third-parties or other material legal, regulatory, technical, marketing, product, or security reasons. This list of valid reasons can be unilaterally modified by Voono when such modification reflects a mere technical improvement of the Website or the Services, which does not result in a price increase or quality decrease. We will give you notice reasonably in advance, via your User account or other designated method, when we make a material change to the Services. Such modification will be made without additional cost to you.
If the modification adversely affects your access to or use of Website or the Services, you will have the right to terminate these Terms and User account and such termination will be effective within a maximum of thirty (30) days or if you refuse the modification and continue using the Website, and/or the Services as before.
Beta Tests. In the event a beta feature, product, service, or offering (each a “Beta Test”) is made available, we reserve the right to modify, suspend, or discontinue the Beta Test, in each case temporarily or permanently, at our sole discretion and without any liability to you.

Prohibited Website and Services Use

Voono wants the Website and Services to be inclusive places where fans of all sports and teams across the globe can engage with their favourite sports and each other. In connection with the Website and Services, including your User account, the Game and/or the Marketplace, you shall not:

post or otherwise create material that is misleading, suspicious and/or that intends to defraud or confuse other Users;
post or otherwise create material that is abusive, obscene, pornographic, defamatory, harassing, offensive, vulgar, threatening, or malicious or infringing on privacy or publicity rights, inciting violence, racial or ethnic hatred or which may be described as gross indecency or incitement to commit certain crimes or offences.
interfere with, disrupt, or attempt to gain unauthorised access to any other Users’ accounts, other Users’ Wallets and/or computer networks;
use or attempt to use or access another User’s account;
use a Voono username to represent that you work for the company and/or for the purpose of selling Card Collectibles;
impersonate any person or entity or misrepresent your affiliation with another person or entity;
use the Marketplace and/or your or other Users’ Account(s) and/or Wallet(s) to buy, sell or transfer fraudulently obtained or stolen Card Collectibles;
conduct transactions that are suspicious, fraudulent, or otherwise disruptive of the normal functioning of the Services;
use the Services and/or effectuate transactions in the Marketplace in an effort to engage in price manipulation, fraud or other deceptive activity;
use any non-public information in connection with the Services and/or any transactions you effectuate via the Marketplace.

Additionally, and in order to maintain the integrity and proper functioning of the Website, and the Services, there are certain restrictions regarding what you can do when visiting the Website or while using your User account. In connection with the Website, the Services, your user account, the Game and/or the Marketplace, you shall not:

access (or attempt to access) any non-public areas of the Website;

interfere with any access or use restrictions, or prevent (or attempt to prevent) another User from accessing or using the Website, or Services, or disrupt, interfere and/or overburden the Website, or the Services;

use any robot, spider, or other automated means to access, scrape or scan the Website in violation of these T&Cs, and/or the Services or frame or mirror any part of the Website, and/or the Services;

use any data mining or data gathering or extraction methods, or otherwise collect information about Voono, and/or the Services in violation of these T&Cs and/or its Users;
send viruses, worms, malware, ransomware, junk email, spam, chain letters, phishing emails, unsolicited messages, promotions or advertisements of any kind and for any purpose;
attempt to probe, scan, compromise or test the vulnerability of the Website, the Services, system or network or breach any security or authentication;
modify, adapt, translate, reverse engineer, disassemble or decompile any part of the Website, and/or the Services or create derivative works;
decompile, disassemble or reverse engineer, or determine any source code, algorithms, methods, or techniques of the Website, and/or the Services;
resell, sublicense, rent, lease, offer or otherwise commercialise any Voono offering, product and/or feature or infringe Voono’s intellectual property rights on the Website, and its components;
use data collected from the Services for any commercial activity; violate any applicable laws, regulations or rules (including these Terms and Conditions and any applicable Additional Terms);
remove or alter any copyright, trademark, confidentiality or other proprietary notices, designations, or marks from the Website, and/or Services;
use the Services for money laundering or other illicit financial activities;
use the Website, and/or the Services for any illegal or unauthorised purpose.

Exceptions. Except where explicitly stated by these Terms and Conditions or Additional Terms, or as expressly permitted by a contractual agreement between you and Voono, you may not derive or extract data, content and/or any other information from the Website, Services, Game and/or the Marketplace.

Suspicious Activity and Violations

Suspicious Activity.

Reporting Suspicious Activity. We encourage you to report any fraudulent or illegal activities of other Users. Voono, at its sole discretion, reserves the right to investigate account activity deemed suspicious and limit access to the Services or Game and/or temporarily suspend the User account during such investigation. If you wish to report suspicious activity, please contact the Support Team via help@voono.io. Any reporting will be kept strictly confidential and not disclosed to a third party, unless (i) required by applicable law or regulation, (ii) pursuant to a subpoena or order of a court or regulatory, self-regulatory or legislative body of competent jurisdiction, (iii) in connection with any regulatory report, audit, or inquiry, or (iv) requested by a regulator.
Investigations. Voono reserves the right to investigate account activity considered suspicious and limit your access to the Services or Game and/or temporarily suspend your User account during such investigation, including when such activity has been flagged by other Users. If Voono contacts you regarding suspicious activity, you will provide any requested information.

Violation of these Terms and/or Any Applicable Additional Terms. You shall not use the Website, Services, including the Game and/or the Marketplace, and/or your User account in any way that violates these Terms or any applicable Additional Terms. Voono reserves the right to limit a User account from accessing parts of the Services, temporarily suspend a User account, and/or permanently suspend a User account if such User is suspected of violating or has violated these Terms and/or any other applicable Additional Terms.

Service Limits.

Game Ineligibility. We reserve the right to temporarily exclude you from a Tournament and/or remove you from any Tournament(s) you are participating in if you are suspected of violating or have violated these Terms and Conditions, and/or any other applicable Additional Terms.
Reward Ineligibility. We reserve the right to withhold any prize(s) you have won in the event you are suspected of violating or have violated the Terms and Conditions and/or any other applicable Additional Terms.

Account Suspension. We reserve the right to suspend a User account temporarily or permanently. Your User account will be suspended, including but not limited to cases where you violate or are suspected of violating this section or any part of these Terms and/or other applicable Additional Terms. We will promptly notify you following such suspension or limit.
Permanent Suspension. In the event of permanent suspension, we will inform you by sending an email to the email address associated with your User account. You will then have a period of thirty (30) days to transfer any Card Collectibles from your Wallet to an external wallet. You agree and acknowledge that if you do not make such transfer within the thirty (30) day period, any and all Card Collectibles in the Wallet will be permanently irretrievable. Voono shall not be responsible for any related loss.

Appeal Process. If we take any action pursuant to this Section, you may have the right to appeal. For further information, you may contact the Support Team via help@voono.io by providing us with the following information: your name, username, email address, full details of the issue, and, if applicable, Voono's previous response to your complaint and why you disagree with the outcome. We will ensure to investigate your complaint and get back to you as soon as reasonably possible.

Indemnification

To the fullest extent permitted by applicable law, you will indemnify and hold harmless Voono, its affiliates, officers, agents, consultants, vendors, equity holders, employees, successors, and assigns against any claims, liabilities, damages, awards, judgments, losses, liabilities, obligations, penalties, fees, expenses (including, without limitation, attorneys’ fees) and costs in connection with:

Your violation of these Terms and/or other applicable Additional Terms;
Your use or misuse of the Services;
Your violation of any third-party rights or your obligations to any third party, including the Third-Party Rights of any relevant Third-Party Card Collectible Elements and/or other Users;
Your violation of any applicable law, regulation, or rule; and/or Your negligence, gross negligence, and/or willful misconduct.

Disclaimer

You expressly understand and agree that access to and use of the Services is at your own risk, and that the Website and Services are provided on an "as is" and "as available" basis without warranty of any kind, either express or implied, to the extent permitted by applicable law.

To the fullest extent permitted by applicable law, we make no representation or warranty that (i) access to, or use of the Services will be uninterrupted, timely, secure, or error-free; (ii) usage data provided by the Services or on the Website will always be accurate; and/or (iii) the Services are free of malware or other harmful components.

To the fullest extent allowed under applicable law, Voono disclaims all other warranties, representations, and/or conditions except to the extent that they are expressly set out in the Terms, express or implied, including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, title, and/or non-infringement. Voono will not be responsible for any loss or action taken or taken in reliance on the Website, the Services, information, or data presented therein or in connection with, or on any third-party website. Voono disclaims all responsibility for any and all losses that may be incurred by Users as a result of using blockchain and/or digital asset wallets. Additionally, no advice, data, or information, whether presented in writing or orally and/or whether presented by Voono, associated parties, or through the Website or Services, will create any warranty or representation.
Where applicable law does not allow the exclusion of implied warranties in consumer contracts, parts or all of the above clauses do not apply to the relevant Users. IF THE LAW OF THE COUNTRY IN WHICH YOU RESIDE DOES NOT PERMIT THE EXCLUSIONS OF LIABILITY SET OUT IN THIS SECTION, THESE EXCLUSIONS DO NOT APPLY.

Liability

General. To the fullest extent permitted by applicable law, Voono disclaims all liability arising out of or in connection with the Website and/or Services. We shall not be held liable for:

Your reliance on any statement, information, and/or data made available on the Website, the Service, and/or any social media platform or blog operated by Voono;
Loss of Users’ Content, data, Basic Cards, Card Collectibles, or credit;
any event at Auction, including but not limited to the price, the Card Collectible, scarcity level, etc.;
temporary or permanent account suspensions;
direct or indirect damage resulting from the use of the Services;
interruptions in the Website or Services, and/or any losses caused by errors, bugs, breaches, and/or malfunctions;
technologies provided by third parties;
a malfunction or cyberattack;
the actions of any third party or by a User’s use of the Website and/or Services;
any case of force majeure, including a failure of the blockchain protocol used to run the Services not caused by Voono.

You understand and accept the risks inherent in the provision of information, online internet exchanges, and experimental technologies such as the blockchain and non-fungible tokens and agree that Voono shall not be liable for any failure of the foregoing technologies and/or breach of the security of the Website and/or Services unless caused by gross negligence on the part of Voono, except in relation to any liability that cannot be excluded or limited by law. Voono's maximum, aggregate liability to Licensor under and in connection with these Terms is limited to direct damages in an amount not to exceed the sum(s) actually paid by the individual, relevant User to Voono in the twelve (12) months prior to the claim giving rise to such liability.

User Content. Voono is a hosting provider of the content released by the Users and or any content exchanged between Users. Such content is neither attributable to Voono nor does it represent Voono’s opinion. Voono cannot be held liable for any third-party content such as the content released by Users and/or any content exchanged between Users. Voono disclaims all responsibility for any and all content as well as the nature of such content exchanged between Users.

Account Deletion and Termination

Account Deletion.

You may terminate these T&Cs at any time by requesting the deletion of your User account and discontinuing your use of the Website and Services.
The deletion of your account will result in the irreversible deletion of all User data associated with the account. You must save any Card Collectibles stored on the Wallet to an external wallet before any deletion request. Any Card Collectibles stored on your Wallet that have not been transferred out of your account at the date of deletion will be permanently irretrievable. Voono will not be responsible for the permanent loss of any Card Collectibles that was not saved prior to a deletion request.
Voono may, upon notice to you, terminate your User account at any time if you are in breach of these Terms or any applicable Additional Terms. Where your User account is terminated, we will provide the reasons for the termination. We may suspend your User account prior to sending the communication if we need to take immediate action. We will not be liable to you or to any other person as a result of any such suspension or termination.
Voono may at any time, for any reason and in its sole discretion, terminate these Terms and suspend and/or discontinue all or part of the Services without notice. Users agree, to the fullest extent permitted by law, that any suspension or termination of access to the Services may be without notice, and that Voono shall not be liable for the consequences of any such suspension or termination.
In case of termination of these Terms, Voono will provide you with the opportunity to withdraw your Card Collectibles, unless the termination or suspension of the account was decided due to a violation of these Terms, the Terms of Use, and/or any applicable Additional Terms, particularly in the case of a fraudulent, abusive, or illegal activity. To the fullest extent permitted by applicable law and notwithstanding anything to the contrary, the termination and/or suspension of a User account will be without prejudice to any other legal action that Voono may take against the User.

Amendment

We reserve the right to modify or amend these Terms, and/or any Additional Terms at any time. If we make material changes to any of the foregoing terms, we will notify you about these amendments in advance, via a dedicated communication method (such as an email sent to the email address associated with your User account) and allow for a reasonable period for you to review the updated terms. If you do not want to agree to any updated terms, you may terminate the present Terms by requesting deletion of your User account and automatically discontinuing your use of the Services. If you do not terminate the Terms before the expiry of the period of time specified following the update notification, your continued use of the Services shall constitute acceptance of the revised terms.
The applicable version of the Terms is the latest version published on the date of use of the Services.

Miscellaneous

Failure by Voono at any time to exercise its rights under these Terms shall not constitute the waiver of such right.
If any term, provision, or section of these Terms is held invalid or unenforceable, then that term, provision or section will be deemed removed from these Terms and will not affect the validity or enforceability of any remaining part of such provision, section or any other term, provision or section of these Terms, provided that the essential provisions of these Terms remain in effect.
All obligations which by their nature should or are intended to survive the termination or expiration of these Terms shall continue in full force and effect, regardless of the termination of these Terms by you or Voono.

Issue Resolution, Jurisdiction and Applicable Law

Issue Resolution.

If you are having an issue or would like to raise a concern, you should contact us at legal@voono.com to attempt to resolve the issue informally through negotiation.. Please include your contact details and provide any additional information and relevant context.
If the issue is not resolved through negotiation, you agree to attempt to resolve the dispute through mediation, administered by the Center of Effective Dispute Resolution (CEDR). The Mediation shall be conducted in English in London, United Kingdom. The costs of the mediator and the mediation facility shall be borne equally by the parties.
If the dispute is not resolved through mediation, the parties agree to resolve the dispute through binding arbitration in accordance with the Arbitration Rules of the International Chamber of Commerce (ICC) in effect at the time of the arbitration. The arbitration shall be conducted in English in London, United Kingdom. The arbitrator shall be appointed by mutual agreement of the parties or, failing such agreement within 30 days of the initiation of the arbitration, by the ICC. The arbitrator shall have the power to grant any relief that could be granted by a court of law, except for punitive damages. The costs of the arbitration, including the fees and expenses of the arbitrator and any other costs of the arbitration shall be borne by the parties as the arbitrator determines.

Governing Law & Jurisdiction.These Terms and any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be governed and construed in accordance with the laws of England and Wales.

Referral Program Terms

Referral Program

Users can participate in the referral program (the "Referral Program") to invite other individuals to sign up for a User account on our website. The Referral Program allows Users (the "Referrer") to earn rewards by inviting others (the "Referee") to use the Services.
Participation in the Referral Program is subject to the Terms and Conditions and these Referral Program Terms ("Referral Terms"). To participate, you must accept the Terms and Conditions and these Referral Terms.

Referrer Eligibility

To be eligible for the Referral Program, you must:

Have a valid account on the Website that complies with the Terms and Conditions and Terms of Use;
Abide by these Referral Terms;
Generate a referral link from the Website (the "Referral Link").

Qualified Referrals

A referral is considered valid (a "Qualified Referral") if:

The Referee is an individual, at least 18 years old, who has never created a User account and was not in the process of creating one.
The Referee must:

Create an account by accessing the Website through the Referrer's Referral Link;
Verify their account;
Accept the Terms and Conditions.

If the Referral Link used by the Referee was promoted through or with the help of paid advertising, any referrals created via that promoted link will not be eligible for rewards under this Section.
Referral Rewards

Users can participate in the Referral Program to invite other individuals to sign up for a User Account on our website. The Referral Program allows Users (the “Referrer”) to earn rewards by inviting qualified individuals (the “Qualified Referee”) to use the Services. A Qualified Referee is an individual who (i) has never previously created an account with Voono, (ii) registers for a User Account using the unique referral link provided by the Referrer, and (iii) complies with all the terms and conditions applicable to the Services.Participation in the Referral Program is subject to the Terms and Conditions and these Referral Program Terms (“Referral Terms”).
In the case of five (5) Qualified Referrals, the Referee will receive five (5) randomly chosen Card Collectibles as a reward (the "Referral Reward"). Referrals that do not qualify as Qualified Referrals are not eligible for any reward.
Referral Rewards are delivered to the Referee’s Rewards Centre within seven (7) days of the date on which the Referee purchased their fifth Card Collectible on the primary market, except for delays due to technical reasons.

Violations of the Referral Terms

In cases of actual, suspected, or attempted fraud (particularly where the Referee is suspected of operating multiple accounts or has carried out fraudulent activity), violation of the Terms and Conditions and/or these Referral Terms, we reserve the right to limit the relevant User from accessing the Services and/or participating in the Referral Program. We may also undertake other actions in connection with the relevant User account(s) pursuant to the Terms and Conditions, without prejudice to any legal action that may be taken against the relevant User.

Miscellaneous

We may unilaterally update the conditions and benefits set out in these Referral Terms at any time and without prior notice. Continued participation in the Referral Program following an update constitutes acceptance of the updated term(s).
We reserve the right, in our sole discretion, to modify, limit, or discontinue the Referral Program at any time, without penalty or further obligation to you.
