Terms of Service

These Terms of Service (these "Terms") govern the terms and conditions by which you may access and use the AI Home Design mobile application and any associated online services provided by Soulz AI Inc. (including its subsidiaries, affiliates, successors, and assigns, "Soulz AI," "we," "our," or "us"). Together, these offerings are referred to as the "Service."

By downloading, installing, accessing, browsing, or using the Service, or by clicking a button or checking a box marked "I Agree" (or similar acknowledgment), you:

1. Confirm that you have read, understood, and agreed to these Terms in their entirety.
2. Acknowledge that you have reviewed and understood our Privacy Policy, which outlines how we collect, use, and protect your data.
3. Represent and warrant that you meet the eligibility requirements set forth in Section 2 (Eligibility) and that you have the authority to enter into these Terms.

Your use of the Service is conditioned upon your acceptance of these Terms without modification or reservation. If you do not agree to these Terms or the Privacy Policy, you must not access or use the Service.

1. Scope and Applicability

1.1. Binding Agreement

These Terms constitute a legally binding agreement between Soulz AI and all individuals and entities accessing or using the Service, whether as visitors, registered users, or in any other capacity (collectively referred to as "Users," and, as applicable to you, "you" or "your").

These Terms apply to:

• The creation, upload, and modification of content within the Service
• The purchase and use of subscriptions, premium features, or other services provided by Soulz AI
• All interactions on our platform, including customer support and feedback

1.2. Updates and Modifications to Terms

We reserve the right to update, modify, or amend these Terms at any time to reflect changes in our practices, technologies, regulatory requirements, or other relevant factors. Material changes to these Terms will be communicated to you via push notification, email (if applicable), within the Service itself, or through other reasonable means, prior to such changes taking effect.

1.3. Consent and Binding Effect

By accessing or using the Service, you affirm that:

• You are entering into a binding legal agreement with Soulz AI, governed by these Terms and any other supplemental agreements that may be explicitly referenced herein
• You have the legal capacity and authority to agree to these Terms, either on your own behalf or on behalf of an entity or organization you represent
• If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and all references to "you" or "your" shall include that organization

1.4. Third-Party Services and Links

The Service may include links to third-party websites, applications, or services that are not owned or controlled by Soulz AI. Your interactions with these third parties are subject to their respective terms of service and privacy policies, and we are not responsible for their content, practices, or performance.

1.5. Governing Language

These Terms are written in English, and any translated version is provided for convenience only. In the event of any conflict or inconsistency between the English version and a translated version, the English version shall prevail.

2. Eligibility and User Accounts

2.1. Eligibility Requirements

This agreement constitutes a contract between you and Soulz AI. You must read, understand, and agree to these Terms before accessing or using the Service. If you do not agree, you are prohibited from using the Service.

You may use the Service only if:

• You are capable of forming a legally binding contract with us under applicable laws and regulations
• You comply with these Terms and all relevant local, state, national, and international laws, rules, and regulations ("Applicable Law")
• You are at least 13 years of age (or the minimum age required in your jurisdiction)

Important: Use of the Service by individuals under 13 years of age is strictly prohibited and constitutes a violation of these Terms.

2.2. User Account Management

a) Your User Account

Your account on the Service ("User Account") grants you access to features and functionalities as determined by Soulz AI. The availability and scope of these features may vary based on your subscription plan, and we may update or modify these features at our sole discretion.

• You do not own your User Account or any data stored by or on behalf of Soulz AI on the Service's servers
• Soulz AI reserves the right to manage, modify, or delete User Accounts at its discretion, without liability to you
• We may offer different types of User Accounts tailored to various use cases or user categories

b) Account Security

You are solely responsible for maintaining the security of your User Account. This includes:

• Ensuring your credentials (passwords or other authentication methods) are strong and secure
• Keeping your account information accurate and up to date
• Protecting your account from unauthorized access
• Not sharing your account credentials with others

You agree to notify us immediately of any breach of security or unauthorized use of your User Account. We disclaim liability for any losses or damages arising from unauthorized account access.

c) Account Settings and Communications

You may configure your User Account and preferences through the account settings page. By providing your email address or phone number, you consent to receive Service-related communications, including:

• Notices required by Applicable Law
• Security alerts and account notifications
• Service updates and feature announcements
• Marketing communications (which you may opt out of)

3. Access to the Service and Restrictions

3.1. License Grant

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, limited, and revocable license to download, install, and use the AI Home Design mobile application on your personal mobile device. This license is provided solely for your personal use or internal business purposes.

This license is conditional upon:

• Your adherence to these Terms and all Applicable Laws
• Your use of the Service in accordance with its intended purpose and functionality
• Maintaining an active account in good standing

3.2. Service Restrictions and Prohibited Activities

To maintain the integrity and security of the Service, you agree that you will not, and will not assist, permit, or enable any third party to:

3.2.1 Technical Restrictions

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the mobile application
• Use automated tools, bots, or scripts to access the Service beyond normal user interaction
• Attempt to bypass or circumvent any security measures or access controls
• Introduce malicious software, viruses, or harmful code into the Service
• Interfere with or disrupt the Service's functionality or infrastructure

3.2.2 Content and Usage Restrictions

• Use the Service's content or AI-generated designs for training competing AI models or machine learning systems
• Copy, distribute, or create derivative works of the Service or its content without authorization
• Use the Service for any illegal, fraudulent, or harmful purposes
• Upload content that violates intellectual property rights or contains inappropriate material
• Impersonate others or misrepresent your identity or affiliation

3.2.3 Commercial Restrictions

• Resell, rent, lease, or sublicense access to the Service without explicit written permission
• Use the Service to create competing products or services
• Extract or harvest data from the Service for commercial purposes without authorization

3.3. Mobile Application Specific Terms

• The Service is designed for mobile devices and may not function properly on all devices or operating systems
• You are responsible for any data usage charges from your mobile carrier
• Automatic updates may be downloaded and installed to ensure optimal performance and security
• You may need to provide certain device permissions for the Service to function properly (camera, photo library, etc.)

4. User Content and Intellectual Property

4.1. Your Content Ownership

You retain ownership of all content you upload, create, or submit through the Service, including photos, images, and design preferences ("User Content"). However, by using the Service, you grant us certain rights to use your content as described below.

4.2. License to Use Your Content

By submitting User Content to the Service, you grant Soulz AI a worldwide, non-exclusive, royalty-free, sublicensable license to use, copy, modify, and process your User Content solely for the purposes of:

• Providing the AI home design services you request
• Improving our AI algorithms and service quality
• Developing new features and capabilities
• Complying with legal obligations

4.3. AI-Generated Content

The Service uses artificial intelligence to generate home design suggestions and visualizations ("AI Output"). You acknowledge that:

• AI Output is generated based on your input and our AI algorithms
• Similar or identical outputs may be generated for other users
• You are responsible for evaluating the suitability and accuracy of AI Output for your purposes
• Soulz AI makes no warranties regarding the accuracy, completeness, or suitability of AI Output

4.4. Soulz AI Intellectual Property

The Service, including the mobile application, AI algorithms, user interface, and all related technology, is owned by Soulz AI and protected by intellectual property laws. You acknowledge that:

• No ownership rights in the Service are transferred to you
• You may not copy, modify, or create derivative works of the Service
• All rights not expressly granted are reserved by Soulz AI

4.5. Content Standards

You agree that your User Content will not include:

• Copyrighted material you don't have permission to use
• Personal information of others without their consent
• Inappropriate, offensive, or harmful content
• Content that violates any applicable laws or regulations

5. Subscription Plans and Billing

5.1. Subscription Services

Certain features of the Service may require a paid subscription ("Premium Features"). By subscribing to Premium Features, you agree to pay the applicable subscription fees and comply with the payment terms.

5.2. Payment Terms

• Subscription fees are charged in advance and automatically renew unless canceled
• All fees are non-refundable except as expressly provided in these Terms or required by law
• You are responsible for all applicable taxes
• Prices may change with notice for future billing periods

5.3. Free Trial

We may offer free trials of Premium Features. Free trials will automatically convert to paid subscriptions unless canceled before the trial period ends. It is your responsibility to cancel before the trial expires to avoid charges.

5.4. Cancellation and Refunds

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• Refunds may be available within 30 days of initial purchase, subject to our refund policy and applicable law

5.5. Payment Processing

Payments are processed through third-party payment providers. By providing payment information, you authorize us and our payment processors to charge your selected payment method.

7. Disclaimers and Limitations

7.2. No Warranties

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.3. Limitation of Liability

To the fullest extent permitted by law, Soulz AI's total liability for any claims arising from or relating to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim, or $100, whichever is greater.

7.4. Exclusion of Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

8. Termination

8.1. Termination by You

You may terminate your account at any time by following the cancellation procedures in your account settings or contacting our support team.

8.2. Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms.

8.3. Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account and associated data
• Certain provisions of these Terms will survive termination

9. Dispute Resolution
