Terms and Conditions

THIS TERMS AND CONDITIONS AGREEMENT (“Agreement”) forms a binding contract between the team at Witnet Foundation (“Company”) and you or any other person or entity ("You") that participates in the Witnet Testnet Program Phase 2 (“Program”), and uses or installs any program, application, software, documentation and all other materials related to the Program, including any Witnet Testnet or Witnet Mainnet software (including but not limited to wallets, nodes, “sheikah” desktop app, witnet bridge node, witnet-rust, RADON) released by the Witnet Community or the Company (“Witnet Technologies”). The Program will commence on the date prescribed by the Company and continue until the end of the Term (See definition of "Term" in Clause 1.4) or express termination by the Company as announced across any of the following official Witnet communication channels (“Witnet Community Channels”): Twitter (https://twitter.com/witnet_io), Telegram (https://t.me/witnetio, https://t.me/witnettools, https://t.me/witnetdocgroup), on official Witnet websites (witnet.io, testnet.witnet.io), and email campaigns from testnet@witnet.foundation or info@witnet.foundation. Such termination is within the Company’s sole and absolute discretion (“Program Period”).

Please note that the Protocol upon which this Agreement is based is a partially audited release of what may be the Mainnet launch of the Witnet Protocol and related infrastructure, built by a network of independent, unaffiliated contributors, of which the Company is one (“Witnet Community”). The Program is designed to support the community in building the node operator experience, establishing security best practices and improving the design of the Witnet Technologies which may be incorporated into the Mainnet launch of the open source Witnet Protocol if the independent community of contributors decides to do so. Because the Witnet Protocol is decentralized, the Program is important to expose potential issues and to improve participant experiences with the Witnet Technologies so that the Witnet Community may address potential issues before the Mainnet launch of the Witnet Protocol.

As used herein, “WIT” refers to the native token on the Mainnet Witnet Protocol, “tWIT” refers to the native token on every version of the Testnet Witnet Protocol,  and “DAI” refers to the native stablecoin token of the Maker Protocol (makerdao.com).  If, as part of your voluntary participation, you are deemed eligible by the Company, you may be eligible to receive a certain amount of WIT tokens (allocated from the Witnet Foundation Community Development Fund) and/or DAI upon the mainnet launch of the Witnet Protocol. You agree that any WIT token received by you will be for your services in testing and contributing to the Witnet technologies and documentation as defined as part of the Program.

The Company makes no guarantee that the blockchain proposed by the Company, and which will include the tokens awarded by the Company during the Program, will be the blockchain adopted by the Witnet Community, and additionally, the blockchain adopted by the community may not include the WIT designated by the Company for the Program.

YOUR PARTICIPATION IN THE PROGRAM IS ENTIRELY VOLUNTARY, BUT IF YOU ARE PARTICIPATING IN THE PROGRAM, YOU AGREE TO THE TERMS OF THIS AGREEMENT. THE COMPANY RESERVES THE RIGHT TO BLOCK ANY AND ALL ACCESS YOU MAY HAVE TO THE PROGRAM, TO REMOVE OR REALLOCATE ANY WIT OR DAI MINED OR EARNED, AND WITHHOLD OR NOT PAY ANY OR ALL WIT OR DAI IF YOU HAVE VIOLATED ANY OF THE TERMS AND CONDITIONS OF THIS AGREEMENT (AS DETERMINED SOLELY BY THE COMPANY) OR IF YOU DO NOT PROVIDE ALL NECESSARY INFORMATION OR PASS THE REVIEW PROCESS, IN EACH CASE TO BE DETERMINED BY THE COMPANY IN THE COMPANY’S SOLE AND ABSOLUTE DISCRETION TO ENABLE THE DELIVERY OF WIT AND/OR DAI TO YOU.

YOU AGREE TO COMPLY WITH ALL APPLICABLE NATIONAL, INTERNATIONAL AND LOCAL LAWS, ORDINANCES AND REGULATIONS IN CONNECTION WITH YOUR PARTICIPATION IN THE PROGRAM. NOTHING HEREIN SHALL CONSTITUTE AN EMPLOYMENT, CONSULTANCY, JOINT VENTURE, OR PARTNERSHIP RELATIONSHIP BETWEEN YOU AND THE COMPANY.

1.4        Rewards: APPLYING TO OR PARTICIPATING IN THE PROGRAM DOES NOT GRANT YOU ANY RIGHTS OR ENTITLEMENTS AND SPECIFICALLY DOES NOT GUARANTEE THAT YOU WILL RECEIVE ANY PAYMENT, COMPENSATION, REWARD OR OTHER VALUE, INCLUDING WIT AND DAI TOKENS.

As part of the Program, the Company intends to deliver up to a total of 25,000,000 (twenty-five million) WIT tokens and up to 30,000 (thirty thousand) DAI at Mainnet launch and during approximately the initial 6 months of the existence of the Mainnet Witnet Protocol Network (the “Term”). The Company makes no guarantee that the blockchain proposed by the Company will be the blockchain adopted by the Witnet Community, and additionally, the blockchain adopted by the community may not include the WIT designated by the Company for the Program.

The Company may take contributions into consideration, when determining whether you qualify for rewards (including, but not limited to; being a testnet node operator, creating documentation including explanatory documents and blog posts, stress-testing the protocol, creating tooling for the protocol or applications that use the protocol, translating documentation into different languages, providing help and support to users and other participants, including creating and moderating chats, forums, social media channels and meetups, reporting bugs and issues in the Witnet Protocol) as outlined in section 2 of this Agreement (“Program Specifics”). However, contributions do not guarantee eligibility for the Program or receipt of any rewards, and all rewards are not redeemable for fiat currency, cash or any other value asset.

The Company shall have no obligation to provide you with WITs and DAI rewards as a result of any fraudulent, abusive, tortious, in bad faith, or unlawful activities, or any activities which otherwise fail to meet the Program’s standards and requirements (“Bad Conduct”).. The Company reserves the right to request information about, review and investigate all Program activities, and you agree to cooperate with any such investigation or review. You agree that if the company determines, in its sole and absolute discretion, that you have engaged in Bad Conduct, that the Company has the right to disqualify you from participation in the Program and not distribute any tokens which may have accrued to you under the Program’s terms.

All rewards, including WIT and DAI tokens, will only be distributed following the Mainnet launch of Witnet Protocol, in accordance with procedures to be determined by the Company in its sole discretion, and may be subject to certain lock-up periods. You will have no entitlement to WIT or DAI tokens in the reward pool  until the time that you both satisfy all eligibility requirements and actually receive the reward in a wallet address that you control (including but not limited to wallets for WIT and DAI tokens). The Company makes no guarantee that the blockchain adopted by the Company will be the blockchain eventually adopted by the Witnet Community, and additionally, the blockchain adopted by the community may not include the WIT designated by the Company for the Program.

1.5        Liability: YOU ACCEPT AND ACKNOWLEDGE THAT THERE ARE RISKS ASSOCIATED WITH USING ANY CRYPTOCURRENCY NETWORK, INCLUDING, BUT NOT LIMITED TO LOSSES, DAMAGES OR CLAIMS ARISING FROM: (I) USER ERROR SUCH AS FORGOTTEN PASSWORDS, LOST OR MISSING PRIVATE KEYS, INCORRECTLY CONSTRUCTED TRANSACTIONS, OR MISTYPED ADDRESSES; (II) SERVER FAILURE; (III) CORRUPTED WALLET FILES; (IV) UNAUTHORIZED ACCESS TO SOFTWARE; OR (V) ANY UNAUTHORIZED THIRD PARTY ACTIVITIES, INCLUDING WITHOUT LIMITATION THE USE OF VIRUSES, PHISHING, BRUTE FORCING OR OTHER MEANS OF ATTACK. YOU ACKNOWLEDGE AND ACCEPT THE RISKS OF FUTURE ATTACKS ON OR NETWORK FAILURES RELATING TO THE WITNET PROTOCOL AND AGREE THAT THE COMPANY IS NOT RESPONSIBLE FOR SUCH OPERATING CHANGES AND IS NOT LIABLE FOR ANY LOSS OF VALUE YOU MAY EXPERIENCE AS A RESULT OF SUCH CHANGES IN OR DEVIATIONS FROM EXPECTED OPERATING RULES. YOU ACCEPT THAT THE COMPANY MAKES NO GUARANTEE THAT THE BLOCKCHAIN PROPOSED OR USED BY THE COMPANY WILL BE THE BLOCKCHAIN ADOPTED BY THE WITNET COMMUNITY, AND ADDITIONALLY, THE BLOCKCHAIN ADOPTED BY THE COMMUNITY MAY NOT INCLUDE THE WIT DESIGNATED BY THE COMPANY FOR THE PROGRAM AND AWARDED TO ITS PARTICIPANTS.

You must ensure that your wallet credentials are secure. If they are not, third parties may compromise and take action using your wallet. You should avoid copying scripts into your browser address bar, and avoid clicking on links, opening attachments or visiting Internet resources you do not trust. You are responsible for maintaining adequate security and control of any and all IDs, passwords, hints, personal identification numbers (PINs), or any other codes that you use to access your wallet or in relation to the Program. The Company assumes no responsibility for any losses resulting from any compromise of your wallet(s) during the Program Period or thereafter.

You take full responsibility for ensuring you have a sufficient understanding of the functionality, usage, storage, transmission mechanisms, and other material characteristics of cryptographic tokens, token storage mechanisms (such as token wallets), distributed ledger technology, and decentralized software systems to understand the terms of the Program and to appreciate the risks and implications relating to the Program, Witnet WITs and DAI.

All Witnet Technologies built by the Witnet Community are provided on an "as is" and "as available" basis without guarantee that they are free of viruses or errors, will be uninterrupted, or that defects will be corrected, and without any representation or warranty, whether express, implied or statutory. To the maximum extent permitted by applicable law, the Company specifically disclaims any implied warranties of title, merchantability, fitness for a particular purpose and/or non-infringement. The Company does not make any representations or warranties that access to any part of the Witnet Protocol or any of the materials contained therein, will be continuous, uninterrupted, timely, distortion-free or error-free. You acknowledge and accept that the Company does not control the content of the Witnet Technologies, which are built and maintained by the Witnet Community, and will not be responsible for any harm occurring as a result of such risks.

In no event will the Company, or its shareholders, directors, officers, employees, contractors or service providers (together, the “Released Parties”), be liable to user or any third party for any use, interruption, delay or inability to use the software, lost revenue or profits, lost rewards, delays, interruption or loss of service, business or goodwill, loss or corruption of data, loss of cryptocurrency loss resulting from system or system service failure, malfunction or shutdown, failure to accurately transfer, read or transmit information, failure to update or provide correct information, system incompatibility or provision of incorrect compatibility information or breaches in system security, or for any direct, indirect, consequential, incidental, exemplary, special or punitive damages, whether arising out of or in connection with this agreement, breach of contract, tort (including negligence) or otherwise, and regardless of whether such damages were foreseeable and whether or not the Company was advised of the possibility of such damages. In no event shall the Release Parties be liable for any claim, damages or other liability, whether in an action of contract, tort or otherwise, arising from or in any way related to your access, use or installation of the software. Some jurisdictions prohibit the exclusion or limitation of incidental or consequential damages, thus this limitation of liability may not apply to you. If you are dissatisfied with the software, your sole and exclusive remedy shall be for you to discontinue participation in the Program.

TWIT, WIT, DAI OR ANY OTHER TOKENS OR ASSETS  THAT YOU MAY ULTIMATELY RECEIVE AS PART OF THE PROGRAM ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, THE COMPANY EXPLICITLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, VALUE, QUIET ENJOYMENT AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

The Company makes no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness or reliability of any information or materials offered in connection with the Program on any Witnet website or social media channel or in any other materials maintained by the Company, the Witnet Community, or any other party.

YOU ASSUME ALL RISK AND LIABILITY FOR THE RESULTS OBTAINED BY THE USE OF WITNET TECHNOLOGIES AND ANY RECEIVED WIT, TWIT, DAI AND REGARDLESS OF ANY ORAL OR WRITTEN STATEMENTS MADE BY THE COMPANY, BY WAY OF TECHNICAL ADVICE OR OTHERWISE, RELATED TO WIT, TWIT AND/OR DAI. ANY WIT, OR TWIT THAT YOU ULTIMATELY MAY RECEIVE AS PART OF THE PROGRAM DO NOT HAVE A MARKET; THEY ARE EXCLUSIVELY INTENDED FOR THEIR USE WITHIN THE WITNET NETWORK AND HAVE NO INTRINSIC VALUE OUTSIDE OF THE WITNET NETWORK.

1.6        Indemnification: YOU WILL INDEMNIFY AND HOLD HARMLESS THE RELEASED PARTIES FROM AND AGAINST ANY CLAIMS, DISPUTES, DEMANDS, LIABILITIES, DAMAGES, LOSSES, COSTS AND EXPENSES, INCLUDING, WITHOUT LIMITATION, REASONABLE LEGAL AND ACCOUNTING FEES, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR PARTICIPATION IN THE PROGRAM.

1.7        Taxes and Fees: It is your sole responsibility to determine whether, and to what extent, any taxes apply as a result of your participation in the Program, including as a result of acquiring WIT or DAI tokens, and to withhold, collect, report and remit the correct amounts of taxes to the appropriate tax authorities. The Company does not provide investment, tax, or legal advice. You may suffer adverse tax consequences as a result of your participation in the Program. You hereby represent that (i) you have consulted with a tax adviser that you deem advisable in connection with your participation, or that you have had the opportunity to obtain tax advice but have chosen not to do so, (ii) the Company has not provided you with any tax advice with respect to your participation, and (iii) you are not relying on the Company for any tax advice. You agree to be fully responsible for any taxes resulting from your participation in the Program.

All currency conversion charges, third party fees, sales, use, value-added, personal property or other tax, duty or levy of any kind, including interest and penalties thereon, whether imposed now or hereinafter by any governmental entity fees incurred by you by reason of your access, use or installation of the Witnet Technologies, or participation in the Program, shall be the sole responsibility of you.

1.8        Termination: This agreement shall continue in full force for the Term so long as you engage in any access, use or installation of the Witnet Technologies related to the Program. The Company reserves the right, in its sole discretion and without notice, at any time and for any reason, to: (a) remove your eligibility or to receive rewards for your participation in the Program (b) remove or disable access to this program (c) suspend the program for an indefinite amount of time, and (d) terminate or change this Agreement.

1.9        Amendment: The Company shall have the right, at any time and without notice, to add to or modify the terms of this Agreement. Any changes to these Terms will be made available to you online. For clarity, once the Company posts an updated Agreement online, the online version of such Agreement will supersede any prior versions provided to you. By continuing to participate in the Program, or access, test or use the Witnet Technologies,  you agree to be bound by the updated Agreement.

The Company may, with or without prior notice and at any time, modify or terminate, temporarily or permanently, any part or all of the Program, except for distributions of WIT that have been confirmed in the first block of the Witnet Mainnet Blockchain (“Genesis Block”). Once distributions have been included in the Genesis Block, neither the Company nor any other party has the ability to cancel or change them. The Company makes no guarantee that the blockchain proposed by the Company will be the blockchain adopted by the Witnet Community. Additionally, the blockchain adopted by the community may not include the WIT designated by the Company for the Program. Any notices or other communications provided by the Company under the Agreement, including those regarding modifications to the Agreement, will be posted at testnet.witnet.io.

1.10        Severance: If any provision or part-provision of this Agreement is, or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this paragraph shall not affect the validity and enforceability of the rest of this Agreement.

1.11        Entire Agreement – Disclaimer of Reliance: This Agreement comprises of the General Terms which are applicable to you and Special Terms which are applicable to you when you download, utilize, or operate specific products or services related to the Program. This Agreement constitutes the entire agreement between you and the Company with respect to the subject matter hereof and supersedes all prior agreements or understandings.

1.12        Governing law: This Agreement is subject to binding arbitration. This Agreement and any action related thereto will be governed by the laws of the Kingdom of Spain without regard to its conflict of laws provisions. The exclusive jurisdiction for all disputes will be in Madrid, Spain, and you and the Company each waive any objection to such jurisdiction and venue.

1.13        Dispute Resolution: THIS AGREEMENT IS SUBJECT TO BINDING ARBITRATION.  YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.  Furthermore, unless both you and the Company agree otherwise, the arbitrator may not consolidate more than one person's claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this Dispute Resolution section shall be null and void.

To the extent permissible by law, all claims must be brought in a party’s individual capacity, and not as a plaintiff or class member in any purported class, collective action, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or engage in any class arbitration. YOU ACKNOWLEDGE THAT, BY AGREEING TO THESE TERMS, YOU ARE WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

1.14        Language: This Agreement is made in the English language. In case of discrepancy between the English version and translations in other languages, the English version will prevail.

1.15        Waiver of Rights: The Company’s failure to enforce any right or provision of this Agreement will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of the Company. Except as expressly set forth in this Agreement, the exercise by either party of any of its remedies under this Agreement will be without prejudice to its other remedies under this Agreement or otherwise.

1.16        Feedback: The Company (and the larger Witnet community) welcomes feedback, comments and suggestions for improvements to the Witnet Technologies and the ultimate Mainnet launch of the Witnet Protocol. You can submit feedback by emailing testnet@witnet.foundation, and submit codebase or documentation suggestions or feedback on the Witnet Community GitHub (https://github.com/witnet). You grant to the Company and the ultimate, open source Mainnet launch of the Witnet Protocol and the larger Witnet Community, a non-exclusive, transferable, worldwide, perpetual, irrevocable, fully-paid, royalty-free license, with the right to sublicense, under any and all intellectual property rights that you own or control to use, copy, modify, create derivative works based upon and otherwise exploit the Feedback for any purpose, in any form, format, media or media channels now known or later developed or discovered.

1.17        Contact Information: If you have any questions about this Agreement or the Program, please contact testnet@witnet.foundation

2. Operation of the Program

2.1        Program Parts: The Program is split into 3 parts, each of which has its own terms and requirements. These parts consist of “Running Nodes”, “Find Bugs and BUIDL” and “Contribute to Witnet", as summarized from time to time on testnet.witnet.io

2.2        “Running Nodes”: During the course of the program, there will be one or more test instances of the Witnet network ("Testnets") in which the participants will be able to operate nodes, propose blocks and mint “test tokens” as provided by the Witnet Protocol. Under this part of the Program, WITs will be allocated to node operators that have their proposed blocks accepted into the Testnets between an initial date and a final date (“Counting Period”) chosen by the Company, and publicly announced not necessarily at the same time nor before the start of the Program. The WITs allocated to each identity will be calculated pro-rata, based on the percentage of qualifying blocks that a participants’ node/s consolidate onto the Testnet(s) during the Counting Period, in relation to the total allocated WITs for this part of the Program (up to a maximum of 12,500,000 WITs). The Company fully reserves the right to suspend this part, or any part of the Program for an indefinite period of time, halt or suspend counting at any point during the Counting Period, and ignore blocks proposed by any node operator (for example, in the case where a manipulation or attack is performed on the network, or the Witnet Testnet or Program or Witnet Technologies are not working as intended), and revoke eligibility for the allocation of WITs.

In order to be eligible for Running Node allocations, node operators must follow these requirements (and any other requirement announced by the Company on communication channels during the Program):

Tokens allocated to the “Running Nodes” part of the Program will be subject to a lock-up period after Mainnet. The lock-up period will be as follows:

2.3        “Find Bugs and BUIDL”: Up to 30,000 DAI have been allocated as rewards for this part of the Program. Rewards will be allocated for:

Each bug, dApp, tool, request and/or attack will only be considered for one type of reward, and will only be rewarded once.

2.3.1        Bugs and Attacks: All allocations for bugs and attacks are made at the sole discretion of the Company, using the guidelines as outlined by OWASP. By participating in this part of the program, you agree to responsibly investigate and report bugs and create applications in accordance with (but not limited to) the following:

Generally speaking, any bug that poses a significant vulnerability, either to the soundness of protocols and protocol/implementation compliance to network security, to classical client security as well as security of cryptographic primitives, could be eligible for reward. In addition, security issues with certain services that the Company offer are in scope as well, see below. Please note that it's entirely at the Company’s discretion to decide whether a bug or attack is significant enough to be eligible for reward.

These (and any others as decided by the Company) bugs and attacks will be ineligible for any reward:

2.3.2        How to report a bug or attack:

Try to include as much information in your report as you can, including a description of the bug or attack, its severity level (detailing the identified risks and the estimated impact and likelihood), and steps for reproducing it or proof of concept.

Once the issue has been submitted, the Company will review the information, assign a severity level (that may or may not be similar to your choice) and redirect this to one member of the Stampery Labs team, who will contact you with more details on the next steps. You may be asked to send proof of identity and an Ethereum address to be rewarded in DAI.

2.3.2        DApps: All allocations for building dApps are made at the sole discretion of the Company. DApps can be built alone or as part of a team, and the rewards will be equally split between all those that contributed to the dApp. DApps will be judged by the Company on the following criteria:

2.3.4        How to submit a dApp / tool:

2.4        “Contribute to Witnet”: Up to 12,500,000 WIT have been allocated for contributions made to the Company, Witnet Technologies, and the Witnet community. Reward eligibility and amount for each contribution will be decided at the sole discretion of the Company.

The Company may take certain types of contributions into account when allocating WIT, at the sole discretion of the Company, such as:

The Company will aim to send out rewards for contributions in 4 batches (the Company retains the right to change this schedule at any point and may - in its sole discretion - choose to not send rewards):

  1. at the Witnet Mainnet Token Generation event
  2. 60 (sixty) days after the Witnet Mainnet Token Generation event
  3. 120 (one hundred and twenty) days after the Witnet Mainnet Token Generation event
  4. 180 (one hundred and eighty) days after the Witnet Mainnet Token Generation event
