Terms of Service

This agreement comprises these Terms of Service and the Data Processing Addendum (DPA) attached as Schedule 1, Acceptable Use Policy as Schedule 2 and the Inactivity policy. By signing or accepting these Terms, the Customer also agrees to be bound by the DPA. In the event of any conflict between these Terms and the DPA on data protection matters, the DPA prevails.

Where a Customer holds both a Wordology licence and another Lexonic product licence, these Terms govern Wordology exclusively. In the event of any conflict between these Terms and the main Lexonic Terms and Conditions in respect of Wordology, these Terms prevail.

1. What Is Wordology

Wordology is a cloud-based reading and vocabulary online service provided by Lexonic (Sound Training for Reading Limited), available at wordology.lexonic.org.

2. Agreement and Commencement

These Terms take effect on the date of invoice to the Customer (the Effective Date), acceptance being deemed to have been given when Lexonic is permitted to commence its obligations under these Terms.

Lexonic is not obliged to provide access to Wordology until it has received both a valid Purchase Order covering the total licence cost and an IT contact from the Customer. Both must be submitted before the Effective Date..

3. Your Licence

We grant you a licence to access and use Wordology for educational purposes during the Licence Period. This licence is personal to your organisation, non-transferable, and limited to the number of Nominated Staff specified in the Order Form  document. Nominated Staff may be substituted freely within that number.

Academy Trusts may only use Wordology at the schools expressly named in the Contract documentation.  Use across additional schools within the Trust requires a Licence Upgrade.

4. What You Can and Cannot Do

You may use Wordology for internal educational purposes only. You must not:

• Share login credentials between Nominated Staff or with any other individual
• Copy, scrape, or reverse-engineer any part of Wordology
• Use AI tools to extract or reproduce Wordology content
• Record our training sessions without our written consent
• Resell or share access with any third party

Lexonic shall be entitled to suspend the Customer’s rights under this Clause 4 if it has any reason to believe that the terms of this Clause are  not being complied with by the Customer.

5. Availability and Support

We aim to keep Wordology available 99.5% of the time each month. We will give at least 48 hours notice of planned maintenance and try to schedule it outside school hours (08:00-18:00, Monday-Friday, term time).

Support is available at support@lexonic.org during UK business hours. Critical issues (online service down or data loss) receive an initial response within 1 hour.

6. Data Protection

Both parties shall comply with all applicable data protection legislation including UK GDPR and the Data Protection Act 2018. The full terms on which Lexonic processes personal data on the Customer's behalf are set out in the Data Processing Addendum at Schedule 1, which forms part of this agreement and satisfies the requirements of Article 28 UK GDPR.

In summary: you own your data; we process it only to deliver Wordology; and on termination we will return or securely delete it within 30 days at your election.

7. Security

We encrypt all data in transit and at rest, run annual penetration tests by an independent third party, and maintain Cyber Essentials certification. Evidence is available on request. Full details of our technical and organisational security measures are set out in the DPA at Schedule 1.

8. Intellectual Property

All content and software in Wordology belongs to Lexonic. You keep ownership of your own data. You must not use Wordology content with any AI system without our written consent.

Duty of Cooperation:

The Licensee shall provide all reasonable assistance and access to relevant employees or former employee contact details where a suspected breach of the Licensor’s Intellectual Property Rights has occurred, to the extent permitted by the Data Protection Act 2018.

9. Charges, Pricing and Payment

Charges are set out in your Quote document and are exclusive of VAT. VAT will be charged at the rate applicable on the date of invoice. Changes to the VAT rate imposed by law will be reflected in invoices immediately and without prior notice, as these are outside Lexonic's control.

Charges are fixed for the duration of your current Licence Period and will not increase mid-term. Any charge change will take effect only at renewal.

At renewal, Lexonic will give no less than 30 days written notice of any proposed increase in charges. Where the proposed increase exceeds 5% above the UK Consumer Price Index (CPI) rate published in the month preceding the renewal notice, the Customer may elect to terminate the agreement without penalty by giving written notice within 21 days of receiving the renewal notice, with termination taking effect at the end of the current Licence Period. Where the proposed increase is at or below CPI plus 5%, the renewal charges will apply automatically unless the Customer gives the 28-day non-renewal notice required under clause 10.

The Customer shall pay each invoice submitted by Lexonic in full within 30 days of receipt by BACS transfer to the bank account specified on the invoice. If the Customer disputes an invoice in good faith, they must notify Lexonic in writing within 14 days of receipt, setting out the basis of the dispute. Lexonic will not charge late payment interest on any genuinely disputed amount while the dispute is being resolved in good faith. Undisputed amounts remain payable by the original due date.

Late payment interest on undisputed overdue amounts accrues at 4% per annum above the Barclays Bank plc base rate, calculated daily and compounded quarterly. Lexonic reserves the right to suspend access to Wordology if any undisputed invoice remains unpaid for more than 14 days following written notice of non-payment.

If Lexonic removes a material feature or functionality from Wordology during a Licence Period, the Customer may either claim a pro-rata reduction in charges proportionate to the impact of the removed functionality, or terminate the agreement with immediate effect and receive a pro-rata refund of prepaid charges for the unexpired portion of the term.

10. Licence Period, Renewal and Cancellation

The Licence Period shall be as specified in the Quote document.

Lexonic will advise the Customer by notice in writing no later than 60 days before the expiry date of the Wordology Licence of any offer to renew the Customer's participation for a further period, setting out the renewal charges and any updated terms.

Lexonic will no later than 7 days prior to the expiry date issue an updated Quote document providing information relevant to the renewal, including confirmation of current Nominated Staff.

To cancel, the Customer must give written notice at least 28 days before the renewal date. If written notice is not received by that deadline, the Licence will automatically renew for a further 12 months and the full charges for that renewed period will become due. This applies regardless of whether the online service has been actively used.

11. Academisation and School Rebrokering

If a Customer school becomes an academy, joins a Multi-Academy Trust, or transfers proprietorship to a new Academy Trust, the benefit and obligations of this agreement transfer to the new proprietor on the date that change takes effect, provided that:

• Lexonic is released from any future liability to the predecessor organisation; and
• the new proprietor confirms adoption of the agreement by issuing a Purchase Order in their name expressly referencing this agreement.

If the new proprietor does not comply with the above, Lexonic may suspend access to Wordology until they do.

12. Termination

Either party may terminate immediately if the other materially breaches these Terms and fails to fix it within 30 days, becomes insolvent, or persistently breaches these Terms. The Customer may also terminate if Wordology fails to meet its availability commitment for three consecutive months.

On termination, all access ceases immediately, all outstanding undisputed charges become due, and the data return and deletion provisions of Schedule 1 apply.

13. Liability

Lexonic's total liability is capped at charges paid in the 12 months before any claim. Neither party is liable for indirect or consequential losses. Nothing limits liability for death, personal injury, or fraud caused by negligence.

Lexonic is not responsible for any data loss, corruption, or failure to store content uploaded, transmitted, or maintained through the online service. You are solely responsible for creating backups of your data.

14. Notices

Notices required under these Terms must be in writing and delivered by hand, commercial courier, or pre-paid first-class post to the address in the Quote document. A notice required to be given under these Terms shall not be validly served if sent by email, except that notices relating to support requests, service incidents, and day-to-day operational matters may be sent by email to the address in the Quote document and will be deemed received on the next business day.

15. Disputes and Governing Law

Disputes will be resolved by good-faith negotiation first, then mediation via CEDR if needed. These Terms are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.

SCHEDULE 1 - DATA PROCESSING ADDENDUM

By signing or accepting these Terms of Service, the Customer confirms it has read and agrees to be bound by the DPA in the form current at the date of signing. Lexonic will notify the Customer of any material updates to the DPA with no less than 30 days prior written notice.

The DPA covers: subject matter and duration of processing; categories of personal data and data subjects; security obligations; sub-processor arrangements; data subject rights; breach notification (within 24 hours); data deletion and return; international transfers; audit rights; and governing law.

SCHEDULE 2 - ACCEPTABLE USE POLICY

By signing or accepting these Terms of Service, the Customer confirms it has read and agrees to be bound by the AUP in the form current at the date of signing, and shall ensure that all Nominated Staff are made aware of and comply with it. Lexonic will notify the Customer of any material updates to the AUP with no less than 30 days prior written notice.
