1. Acceptance of Terms

By accessing or using Alt.town, you agree to these Terms of Use (“Terms”). If you do not agree, you must not use our services. For matters not specified in these terms, the company’s specific guidelines, notices, or operational policies shall apply. In case of a conflict between these terms and other documents, the provisions in those other documents shall take precedence for the conflicting parts.

2. Overview of Services

“Services” refer to all functionalities, features, and resources provided by Alt.town (“Alt.town”, “we”, or “Company”) through its digital platform. By using the Service, Users can purchase, trade, and interact with digital assets known as DNA tokens, which represent the value and support of virtual influencers (“Alts”), through the platform’s virtual trading space, “Town.” Services enable Users to engage in transactions involving DNA tokens, KEY utility tokens for platform-specific purchases, and $TOWN governance tokens for participating in decision-making processes within the Alt.town community.

3. Eligibility

You must be at least 18 years old to use Services. By using Services, you confirm that you meet this age requirement.

4. User Accounts and Security

Account Creation: Users are required to create an account using a valid email address. Users must provide accurate information and keep their accounts secure.
Security: Users are responsible for securing their accounts, including safeguarding their password and avoiding unauthorized access. Alt.town is not responsible for losses due to compromised account credentials.
Wallet Security: Users must take personal responsibility for setting up and maintaining secure wallet access. This includes using strong passwords, enabling two-factor authentication, and protecting private keys. Users are solely responsible for any losses resulting from inadequate security practices.

5. Digital Assets

5.1. DNA

Description: DNA tokens represent the value of Alts on Alt.Town. Users can buy and sell DNA tokens on Alt.Town’s on-chain platform, where trades occur through a pre-sale or on order-book system. When a DNA token trade occurs, the revenue is shared between the Alt and the Company.
Allocation: DNA tokens issued by each Alt are divided into allocations for the Alt, Pre-Sale, Ecosystem Development and Community Events.
Pre-Sale: This allocation is designated for the early access sale of DNA tokens, allowing Users to purchase tokens at a fixed rate.
Ecosystem Development: This portion of DNA tokens is reserved to fund initiatives that support the growth and sustainability of the Alt.town platform.
Community Events: This allocation is dedicated to rewarding and engaging the Alt.town community through various events, incentives, and promotions.
Transfer Restrictions: DNA tokens cannot be transferred between Users or moved outside the Alt.town platform. If a contract between Alt.Town and an Alt ends, relevant DNA transactions will cease, and any DNA held by the subject Alt will be voided.

5.2. KEY

KEY tokens are the primary utility tokens on Alt.town, which can be used for exchanges with $TOWN tokens, purchasing DNA, and covering transaction and exchange fees. KEY tokens are only usable within the Alt.town platform and cannot be transferred externally.

5.3. Mile

Mile is the only off-chain currency in Alt.town. It is a free point awarded through event participation and can be converted into KEY tokens; however, it cannot be used for DNA purchases or exchanged for $TOWN. Mile, as a free token, has a validity period of one year, with any accumulated balance expiring in a lump sum on the 15th of the same month in the following year.

5.4. $TOWN

$TOWN is a governance token that can be transferred externally and is used to support the maintenance of the Alt.town ecosystem, which can be exchanged for KEY tokens. Its price is initially based on the value set at the first accessible exchange, and if traded on multiple exchanges, its valuation follows the reference price from a digital asset price provider platform.

5.5. Ownership and Limitations

All tokens, including DNA, KEY, and $TOWN, are stored in wallets and cannot be transferred outside the platform. Users may buy and sell DNA tokens within the Alt.town marketplace, but DNA, KEY, and $TOWN tokens are non-transferable.

5.6. Transaction

Pre-Sale: DNA tokens are initially offered in a 3-round pre-sale at a fixed price.
Order-book Trading: After the pre-sale, DNA tokens can be freely traded through an on-chain order-book system.
Order Rejection: Orders below the minimum or above the maximum amounts may be rejected, as well as any exceeding 10,000 DNA per Alt across the pre-sale period. Market orders may be rejected if they exceed the top 15 buy or sell levels in volume.
Order Execution and Cancellation: Orders are completed upon clicking 'Buy' or 'Sell' but can be canceled by the user before completion. Orders may also be canceled if DNA trading support ends, Alt names change, or during service maintenance.
Unfilled Order: Orders may be partially filled or remain unfilled depending on order conditions. Unfilled orders will persist until canceled by the User, although order cancellations may be initiated by us for security reasons such as server maintenance.

5.7. Wallets and Transactions Securities

In the event of security issues, such as hacking incidents or mainnet disruptions, Alt.town will strive to provide timely guidance to affected Users. However, Users acknowledge that Alt.town cannot guarantee recovery of lost assets due to unauthorized access or external disruptions. We recommend that Users frequently monitor their account for suspicious activity and contact Alt.town support immediately upon detecting any irregularities.

6. Fees and Payments

Alt.town charges transaction fees for certain activities on the platform, including DNA trading. Fees are detailed within the platform and may change periodically subject to the decision of Company. All fees are non-refundable.

7. User Conduct

You agree not to:

Use Services in violation of any law or regulation,
Attempt to manipulate the market or engage in fraudulent activities,
Impersonate others or create multiple accounts for malicious purposes,
Interfere with or disrupt the platform’s operations, including hacking or introducing harmful software,
Exploit platform vulnerabilities to gain unauthorized access or advantages,
Share, transfer, or sell your account or account credentials to others,
Engage in behavior that negatively impacts the Alt.town community or other users, such as harassment, spamming, or spreading false information.

8. Responsibilities of Alts

Content Integrity: Alts are responsible for ensuring the quality, accuracy, and consistency of content and interactions related to their virtual persona on Alt.town.
Compliance with Policies: Alts are required to adhere to Alt.town’s platform guidelines, policies, and terms of service. Any violation of these standards may result in suspension or termination of the Alt’s privileges on the platform.
Notification of Changes: In the event of any significant changes to the Alt’s virtual persona or activities that impact Users or their DNA token value, Alts are obligated to notify Alt.town promptly for appropriate updates and notifications to the community.

9. Intellectual Property

All content, logos, and assets provided by Alt.town are protected by intellectual property laws. You are granted a limited, non-exclusive license to use Alt.town's services for personal, non-commercial use only.

10. Disclaimers and Limitation of Liability

Alt.town provides the Service "as is" and "as available." To the maximum extent permitted by law, Alt.town disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Alt.town makes no guarantees of uninterrupted service and is not liable for damages arising from service use, data loss, or external disruptions affecting blockchain network operations.

11. Privacy Policy

Your use of Services is subject to our Privacy Policy, detailing how we collect, use, and protect your data.

12. Changes to Terms

We may update these Terms periodically. Continued use of Services following any changes constitutes your acceptance of the new Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Panama. Any disputes arising from these Terms or Services shall be resolved in the courts of Panama.
