This includes, but is not limited to, providing, maintaining, and improving our Services, personalizing user experiences, offering customer support, and developing new features and functionalities. Additionally, we are not responsible for breaches that result from user negligence, such as weak passwords, failure to enable two-factor authentication, sharing login credentials, falling victim to phishing scams, or unauthorized access due to compromised personal devices. Users are solely responsible for maintaining the security of their accounts and should take appropriate steps to safeguard their credentials and personal data. Furthermore, Karma Card Corporation disclaims liability for any data leaks, unauthorized access, or breaches occurring within third-party service providers that process, store, or manage data on our behalf, including cloud hosting providers, payment processors, and identity verification partners. While we conduct due diligence on these third parties and require them to adhere to industry security standards, we cannot be held responsible for their independent security failures.

In the event of a data breach, Karma Card Corporation will take all legally required steps, including notifying affected users and regulatory authorities where applicable. However, users acknowledge and agree that their use of the Services is at their own risk, and Karma Card Corporation shall not be held liable for damages resulting from any security incidents, breaches, or unauthorized disclosures beyond our reasonable control.

Data Storage, Processing, and Cross-Border Transfers

Karma Card Corporation operates globally and may process, store, and transfer your personal information across multiple jurisdictions where we or our third-party service providers maintain facilities. - Authorized Agents. California residents can empower an “authorized agent” to submit requests on their behalf. We will require the authorized agent to have a written authorization confirming that authority.

Indemnification and Limitation of Liability

Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Karma Card Corporation, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, service providers, and business partners (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, costs, and expenses (including but not limited to reasonable attorneys' fees and court costs) arising from or related to your use of the Services. This includes any breach of this Privacy Policy, the Terms of Use, or any other applicable agreements between you and Karma Card Corporation. You further agree to indemnify us against any claims that arise due to your unauthorized, improper, or illegal use of the Services, including fraudulent transactions, financial misrepresentation, or activities that violate applicable laws and regulations.

Additionally, you agree to indemnify Karma Card Corporation for any third-party claims that arise due to your actions, including disputes with financial institutions, users, or merchants. Any violation of financial regulations, tax laws, data protection laws, or consumer protection laws attributable to your use of our Services shall also be covered under this indemnification. Furthermore, if unauthorized access occurs due to your failure to maintain security over your login credentials, two-factor authentication, or account recovery mechanisms, you shall be responsible for any resulting damages.

Karma Card Corporation reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with our defense of such claims. You may not settle any claim without our prior written consent.

Limitation of Liability

To the maximum extent permitted by law, Karma Card Corporation and its Indemnified Parties shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of data, loss of business, financial losses, reputational harm, or system failures resulting from your use or inability to use the Services. This limitation applies regardless of the form of action, whether in contract, tort, negligence, strict liability, or any other legal theory.

We shall not be liable for any unauthorized access, hacking, security breaches, phishing attacks, or any other cyber incidents that compromise your personal or financial information beyond our reasonable control. Furthermore, we are not responsible for errors, delays, or service disruptions, including those caused by system maintenance, technical failures, or third-party service providers. If a third-party payment processor, identity verification service, or cloud storage provider experiences an outage or security breach, Karma Card Corporation disclaims liability for any resulting losses or damages.

Additionally, we shall not be held liable for regulatory enforcement actions, fines, penalties, or operational restrictions that arise due to your non-compliance with applicable laws or policies. Any financial losses, chargebacks, or disputes related to transactions conducted through our Services are solely your responsibility, and we do not guarantee transaction completion or uninterrupted access to financial services.

In the event of force majeure, including but not limited to natural disasters, government actions, pandemics, labor strikes, war, terrorism, or power failures, Karma Card Corporation shall not be responsible for service failures, operational delays, or damages resulting from such circumstances beyond our control.

Maximum Liability Cap

In no event shall Karma Card Corporation’s total cumulative liability for any claims, losses, or damages, whether in contract, tort, negligence, strict liability, or otherwise, exceed the greater of (a) the total fees paid by you to Karma Card Corporation in the twelve (12) months preceding the event giving rise to the claim, or (b) $10000 USD. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of these exclusions and limitations may not apply to you. However, in such cases, Karma Card Corporation’s liability shall be limited to the maximum extent permitted by applicable law.

You acknowledge that your use of the Services is at your own risk, and you assume full responsibility for any damages resulting from your reliance on the Services. Additionally, we do not control, endorse, or assume liability for any third-party services linked to our platform, including external websites, applications, or service providers.

By continuing to use the Services, you acknowledge and agree to the Indemnification and Limitation of Liability clauses outlined in this section. If you do not agree, you must immediately discontinue use of our Services.
