Publishing Agreement

This will be meaningful and substantial because of the talent of those involved and their willingness to work towards success.

This document is a written notice of the interest of Bootstrap Publications (Publisher) a DBA of Chibur registered in the State of Florida, to support the Work of

__________________________ (Author). Bootstrap Publications believes that Author is in alignment with their mission and sees an opportunity to support the growth of Author and their Work. The items below are intended to clarify the roles of Bootstrap Publications and the Author so that a mutually beneficial partnership can be agreed on.

This agreement is being made on ____________ between the Publisher and the Author who are entering into a mutually beneficial working partnership with the goal to publish the written work by Author tentatively titled

_____________________________________ (hereinafter called “work(s)”).

SECTION 1: PUBLISHER DUTIES & AGREEMENTS

Publisher agrees to:

  1. Contact, connect, communicate, and negotiate with potential partners, contractors, agencies, artists, writers and publishers etc on behalf of Author.
  1. Format work(s) for publishing on the following platforms and/or mediums when applicable: KDP Amazon as a printed and/or digital work(s), Alphabet (Google Books), Barnes & Noble as a printed and/or digital work(s), Audio work(s), Publisher Partner Platforms, Graphic Novel Adaptations.
  1. Take pre-orders for work(s).
  2. Brainstorm, consult, and strategize marketing ideas related to sales and promotion.
  3. Make themselves available to meet with the Author on a regular basis at a minimum once per month until work(s) is/are published.
  4. Foster an environment conducive to the Author to be able to provide honest and open feedback.
  5. Support and represent the Author to the best of their ability properly and in alignment with Author mission, vision, and values with the intention of driving sales, and exposure of the Author digitally and otherwise.
  6. Update the Author regularly, via email, phone, text and other channels on the progress and status of work(s).
  7. Connect and introduce Author to contacts that may support the Author independently or jointly with Publisher.
  8. Provide Author with a digital platform to document their journey.
  9. Provide open and honest feedback to Author.
  10. Maintain a full, true, and accurate accounting record of online works.
  11. Provide a sales report, and distribute payments to Author once per year by April 15th for the prior calendar year. In addition sales reports can be requested by Author at any time by email, and a report will be provided within seven business days.

SECTION 2: AUTHOR DUTIES AND AGREEMENTS

Author agrees to:

  1. Allow Publisher to be the main point of communication with contacts related to the work(s). This may include but is not limited to potential partners, contractors, agencies, artists, illustrators, writers and publishers on behalf of Author.
  2. Connect Publisher with contacts related to the work(s). This may include but is not limited to potential partners, contractors, agencies such as artists, illustrators, writers and publishers.
  3. Provide open and honest feedback to Publisher.
  4. Approve content or communicate changes to content submitted by publisher within 14 days of content being received.
  5. Send all draft content of the work(s) to Publisher within 72 hours of this agreement being signed.
  6. Attend events related to the marketing and sales of the work(s). This includes podcast bookings that are coordinated by Publisher.
  7. Provide Publisher biographical information or their plan to acquire biographical information including, images and written biography within seven days of this agreement being signed.
  8. Meet with Publisher on a regular basis at a minimum once per month until work(s) are published and provide periodic updates on progress.
  9. Document their process on the Bootstrap Publications digital platform(s).
  10. Cover all costs related to publishing works such as, but not limited to: artist fees, marketing ads, copyright fees etc.
  11. Reimburse Publisher for agreed expenses within seven days.
  12. Place a minimum order of five books once published for Publisher to use as promotional distribution material.
  13. Respond in a timely manner (three business days) to Publisher communications through email, phone, online project management system, or messaging.
  14. Commits to the following writing schedule and notify the Publisher immediately if any issues arise that may affect the schedule:
  1. Work one first draft 6 months from the date of signing this agreement
  2. Work two first draft 6 months from the date of publication of work one
  3. Work three first draft 6 months from the date of publication of work two

SECTION 3: AUTHOR ACKNOWLEDGEMENTS, GRANTS, AND POWER

  1. Author Acknowledges all the work(s)  submitted to Publisher is theirs, original and not previously published.
  2. Author certifies the work(s)  do(es) not infringe on or violate any intellectual property rights of another party, including copyrights and patents.
  3. Author has legally authorized, exclusive ownership and copyright of the work.
  4. Author has full power and legal right to execute and perform this agreement.
  5. Author grants the Publisher permission to unlimited non-exclusive rights to publish, print, reproduce, distribute, and translate (or allow others to translate) work throughout all forms of media that are now known and later developed.
  6. Author grants the Publisher creative control and decision making for works(s). This includes but is not limited to: title, pricing, cover design, book content and marketing angle.
  7. Author grants the Publisher the right to release the Authors contact information to inquiring parties requesting copyright permission.
  8. Author grants the Publisher, the Publishers Associated Partners, Publisher, and any and all other Affiliates of the Publisher the right to use, and to license others to use, the Author name, image, likeness and biographical material in published and public form for advertising, and promotion of the Work.
  9. MEDIA RELEASE: Author gives permission to Publisher for use of their biographical information work, logo, bio, and photos. Unlimited use is granted for use on websites, social media, other forms and mediums and with partner organizations negotiated and associated with Publisher.

SECTION 4: AUTHORS RETENTION OF RIGHTS

This is a non-exclusive agreement. Author has every right to negotiate agreements and contracts on their own, or joint with Publisher,  with additional publishing companies, brands, or book events not organized by Publisher, but those agreements do not replace this agreement.

If Author wants Publisher to negotiate or organize on their behalf, agreements will be made on a case by case basis.

Author owns all content provided to Publisher for purposes of publishing book.

Copyright will remain with the Author and the Author reserves all other rights. Thus, the Author retains the right to reproduce, distribute, perform, and display the work, as well as produce derivative works, by any means and can authorize others to do the same. However, the Author hereby acknowledges that future publishing of the work may require a transfer of the Authors exclusive rights and that by signing this agreement the Publisher has the shared right to publish the work and consequently, the Author forfeits exclusive publishing rights.

SECTION 5: 360 RIGHTS GRANTED FROM AUTHOR TO PUBLISHER

In 2022 Bootstrap Publications decided to add what is known as “360 language” to our standard agreement. When crafting our 360 agreements we consider the following:

  1. Author potential: We consider your existing fan base, and the Work’s potential for growth. We evaluate your potential for success in other areas like merchandise sales, speaking engagements, movies, podcasts, digital media and endorsements.
  2. Length of the agreement: While your book may come out quickly, other opportunities in the agreement will take longer to execute and complete.
  3. Financial arrangements: Determine the percentage of revenue that we will receive from each revenue stream. Ensure that the Author receives a fair share of revenue from all activities.
  4. Distribution and marketing: Determine how distribution and marketing will work. Consider our expertise and connections in each of these areas and what resources we have available to support the Author.
  5. Exit clauses: Include provisions that allow the Author and Publisher to exit the agreement if certain performance criteria are not met

360 Example Options

  1. Merchandise: In addition to book sales, we reserve the right to sell merchandise related to the author's work, such as t-shirts, mugs, and other branded items for a percentage of the revenue generated from merchandise sales.
  2. Author appearances and speaking engagements: We reserve the right to a percentage of the fees paid to the author for public appearances and speaking engagements.
  3. Film, television, and other digital medium adaptations: If the author's work is adapted for film, television, or other mediums, we reserve the right to a share of the revenue generated from these adaptations.

SECTION 6: PAYMENT AND FINANCIAL ARRANGEMENTS

In payment for this agreement Publisher will pay Author an in kind advance, payment in goods or services as opposed to money, valued by Publisher at $70,805 per year.

Author agrees to pay Publisher 20% of profits associated from work(s) sales, and specified amounts outlined below for 360 initiatives.

360 Example Payment Amounts

Podcast: Author agrees to pay Publisher revenue from sponsorships 50% to Publisher

YouTube Playlist: Author agrees to pay Publisher revenue from playlist(s) 50% to Publisher

Merchandise: Author agrees to pay 50% to Publisher

Speaking Engagements: Author agrees to pay 50% to Publisher

Payment Schedule and Method

Payments for work(s) and 360 initiatives are distributed once per year by April 15th for the prior calendar year from the Publisher to the Author through PayPal.

Audit Rights

The Author has a right to audit Publisher books themselves or by an agent, accountant or other representative, upon a 14 day written notice. Author is responsible for any audit expense.

SECTION 7: AUTHOR COPIES

Copies of the works that the Author can use for their own selling and marketing purposes can be purchased at any time from the Publisher for:

  1. The cost of creating, printing and shipping the works
  2. 10% of potential profit
  3. Plus a flat rate of $20 per order

SECTION 8: ACQUISITION, MERGER OR END OF BUSINESS

When and if The Publisher is presented with an acquisition or merger opportunity of their brand, complete or partial business portfolio which changes the agreement, the Author reserves the right to exclude themselves from the acquisition or merger.

If The Publisher decided to close business, agreed payments will continue to be made in perpetuity for the works and for triple the amount of time from the date of this agreement being signed to the date of the close of the Publishers business, for 360 rights granted.

SECTION 9: TERMINATION & CHANGES OF AGREEMENT

  1. This agreement commences on the date stated above and can be terminated at any time by either party upon written notice to the other party. The Author will be responsible for payment of in kind services performed by the Publisher up to the date of termination, except for in the case of the Publisher’s breach of this agreement. The Publisher reserves the right to adjust deadlines as needed and to discuss any necessary changes with the Author. Consistent failure to meet writing deadlines without prior agreement from the Publisher may lead to renegotiation of terms or termination of the agreement, and payment of in kind services will be due upon termination.
  2. The Publisher reserves the right to make changes to this agreement at any time. For example, The Publisher may add, delete or amend terms or services. The Publisher will notify the Author of such changes by electronic mail. If the Author does not agree to changes the agreement may be canceled. If The Author decides to cancel this agreement due to changes to the agreement made by Publisher prior to the works publication, the Author will not be responsible for payment of in kind services performed by the Publisher. If the Author decided to cancel this agreement after the works publication due to changes of agreement made by Publisher, agreed payments will continue to be made in perpetuity for the works and for triple the amount of time from the date of this agreement being signed to the date of agreement cancellation, for 360 rights granted.

SECTION 10: CONFIDENTIALITY

During the term of this agreement, it may be necessary for the Author and Publisher to share information and materials with each other. Both parties agree to not share any of these materials of information with other parties outside of the agreement. This section remains in full force even after termination of this agreement.

SECTION 11: CONFIRMATIONS INDEMNIFICATION AND HOLD HARMLESS

By signing this agreement, the Author hereby grants Bootstrap Publications a non-exclusive license to use, create, reproduce, reformat for other deliveries including online delivery, market, promote, transmit, distribute and display the work.

Bootstrap Publications may advertise, market, and promote, in any and all media (whether now known or hereafter devised), the availability of Titles on the Service using the Delivery Materials and any images, trailers, logos, artwork, publicity materials, and metadata provided by Author as it deems appropriate.

By signing this agreement, the Author agrees to indemnify and hold harmless the Publisher, the Publishers Associated Partners, Publisher, and any and all other Affiliates of the Publisher as they are not responsible for protecting the work from misuse or copyright infringement by others.

By signing this agreement, the Author agrees to the terms specified above. In addition, the author agrees to cooperate with the Publisher and to respond promptly to all communication by Publisher during the process of preparing the Work.

By Bootstrap Publications presenting you with this agreement it does not indicate that work may commence immediately. It is entirely dependent on our current projects already in flux. We strongly suggest and appreciate potential clients requesting services with as much advance notice as possible.

Typically our calendar is set 12 months in advance. We will always make an effort to accommodate schedules. If we cannot complete work in your needed timeline we are proud to review our list of connections, and are more than happy to connect you with an agency who we feel will meet your needs. We request that you think of us for future services should we not be able to accommodate you.
