INDEPENDENT CONTRACTOR  

NON-COMPETE AGREEMENT

For good and valuable consideration the receipt of which is hereby acknowledged, by ____________________________________________ , the undersigned Independent

(Independent Contractor Name)

Contractor hereby agrees not to directly or indirectly compete with the business of Tie 1 On NWA LLC and its successors and assigns during the period of employment and for a period of  1 year following termination of Independent Contractor of Tie 1 On NWA LLC and notwithstanding the cause or reason for termination.

Contractor shall not own, manage, operate, consult or to be employed and or contracted in a business substantially similar to, or competitive with, the present business of Tie 1 On NWA LLC or such other business activity in which may Tie 1 On NWA LLC substantially engage during the term of employment.

Contractor acknowledges that Tie 1 On NWA LLC may, in reliance of this agreement, provide Independent Contractor access to trade secrets, customers and other confidential data and good will. Independent Contractor agrees to retain said information as confidential and not to use said information on his or her own behalf or disclose same to any third party.

Contractor agrees not to solicit work while being contracted with Tie 1 On NWA LLC at any time. If Independent Contractor is approached to do private work not through Tie 1 On NWA LLC Contractor will forward such requests Tie 1 On NWA LLC for scheduling through the company. Doing so will terminate your contractor status and possible legal action may be taken. You may do private work as long as it is not initiated/ scheduled, discussed or planned while being at any Tie 1 On NWA LLC event. And you get it approved with the owner before you work. (All or some requests may not be approved)

This non-compete agreement shall extend for a radius of 50 miles of Company's present location and shall be in full force and effect for 1 years, commencing with the date of contractor termination.

This agreement shall be binding upon and inure to the benefit of the parties, their successors, assigns, and personal representatives.

I understand the terms of this agreement and agree to follow them, Should I break my agreement with Tie 1 On NWA LLC I understand I will no longer be a contractor and may face legal proceedings for breaking the terms of the Non-Compete Agreement.
