What's in these terms?

These restaurant terms (the “Restaurant Terms”) set out terms and conditions applicable to restaurants, caterers or other providers of food, who agree to be affiliated with DeliverAid C.I.C. ("We", “Us” or “Our”) through Our website at or through any other medium made available or used by Us (collectively, the “Platform”).

These Restaurant Terms are between you and us. You must be aged 13 years or over to agree to these Restaurant Terms.

By registering to be affiliated to DeliverAid, you confirm that you accept these Restaurant Terms and that you agree to comply with them.

If you do not agree to these Restaurant Terms, you must not register with the Platform [or, if already registered with Us, you must notify Us immediately upon you no longer agreeing to comply with these Restaurant Terms].

We recommend that you print a copy of these Restaurant Terms for future reference and refer back to for any updates to the Restaurant Terms.

We may make changes to these Restaurant Terms

We amend these Restaurant Terms from time to time. Please check these Restaurant Terms as made available on Our website at to ensure you understand the terms that apply at that time.

Your role

By agreeing to sign up to become a restaurant partner of Us, in consideration of the receipt of donations via the Platform to be paid following completion of your Services (as defined below), you agree to (at your cost):

(collectively, the “Services”).

For the avoidance of doubt, all costs and expenses involved in the provision of the Services shall be your responsibility.


In order to sign-up to feed the NHS workers via the Platform, you must be registered with the Platform by completing the registration form or have emailed Us at to confirm your willingness to become a restaurant partner (“Registration”). After we have verified your application, we will be in touch via email or telephone to discuss the next steps.

We may decline any application for Registration at our full discretion without explanation. We will carry out all checks that it deems necessary to verify a restaurant’s identity.

Following a successful Registration, the Registration will continue until it is ended either by you or Us in accordance with the Ending your Registration section below.

Ending your Registration

You may end your Registration by emailing Us at

We may end your Registration by contacting you using the details you provided when registering.

We may end the Registration and terminate the arrangement with you if you commit an act of default under these Restaurant Terms. An “act of material default” shall be considered to have occurred if:

a) you are wound up, become insolvent or, in the case of an individual, become bankrupt;

b) you commit any act, or threatens to do any act, that in the Our sole discretion, directly or indirectly damage, or may damage, the Our reputation;

c) We believe, in our sole discretion, as a responsible provider of the Platform and related services that it is necessary to end your Registration (for example, We become aware that you have not used the money you have received for its stated purpose, or We reasonably suspect that you have been involved in activity which We consider to be misaligned with Our charitable objectives).

Subject to the following paragraph, if your Registration ends in accordance with this section you will no longer be able to receive donations or take part in the delivery of food to the Hospitals via the Platform.

If you have received money but not delivered the corresponding order (see ‘Meal order process’ section below) at the time of termination by:

Meal order process

If your Services are required, We will issue a meal production request (the “Meal Request”) to you as soon as practicable prior to the date on which your Services are required. If the Meal Request is accepted, you will then be required to fulfill the Meal Request pursuant to its terms.  Following completion of the Meal Request as determined by Us in our sole discretion, we will then issue funds to you in settlement of the Services rendered pursuant to the terms of the Meal Request.

Your obligations

You undertake, represent and warrant that you shall:

Receiving and utilising donations

When We receive a donation via the Platform, We will hold it on trust, until We pay it to affiliated Restaurants to enable them to prepare and deliver Meals to affiliated Hospitals in accordance with these Restaurant Terms The allocation of donations received via the Platform shall be at Our sole discretion.

All donations allocated by Us to you shall be sent to your nominated bank account by BACS. This means your bank will receive them by the end of the third business day after We send the payment. We may arrange for the payment to be sent to you by a different method providing that it does not take longer for you to receive the payment than if it was sent by BACS.

Once you have provided your bank details to Us, they will be used for all future payments to you unless you inform Us otherwise or the payment is rejected by the recipient bank. You are responsible for ensuring that We are kept informed of the correct and up-to-date details. Any changes to the details must be notified to Us in good time before a transfer is due to be made and, in any event, no later than 09:00 on the day of the intended date of transfer.

You represent, warrant and undertake to Us that any donations received from Us will be utilised by you to provide your Services in accordance with the Meal Request (if any) issued by Us to you from time to time.

We will not make a payment of any kind to you if We are not reasonably satisfied that:

If a payment to your account is unsuccessful because you did not tell Us that your nominated bank details changed, We will hold onto the money for two months and make reasonable efforts to contact you. Following this, We will make reasonable attempts to return the money to source. In the event that this is not possible, We will donate it to another charitable or community organisation at its full discretion

We only accept money in pounds sterling and payments to you will only be made in pounds sterling to your nominated bank account.

Refunding donors

If a donor notifies Us that a donation or event fee that appeared to be intended for you is an unauthorised payment or was made by mistake, you agree that if We have:

If you do not repay the money to Us after 30 days in accordance with this section, We can (acting reasonably) deduct the amount you have not repaid from future payments due to you.


You shall keep Us indemnified in full against all costs, expenses, damages and losses (whether direct or indirect), including any interest, fines, legal and other professional fees and expenses awarded against or incurred or paid by Us as a result of or in connection with any claim made against Us by a third party (including, without limitation, Hospitals) arising out of, or in connection with, the supply of the Services and/or Meals, to the extent that such claim arises out of the breach, negligent performance or failure or delay in performance of the Restaurant Terms by you, your employees, agents or subcontractors.

Limitation of liability

The limitations of liability contained in the Terms of Use shall apply to these Restaurant Terms.

You accept and acknowledge that We shall have no responsibility for the actions or omissions of the Hospitals (including, without limitation, in accepting delivery of Meals and ensuring that the correct individuals receive them).

Is there anything else you need to know

No one other than you and Us will be able to enforce any part of these Restaurant Terms.

Which country's laws apply to any disputes?

These Restaurant Terms, including all matters concerning these Restaurant Terms including any dispute, claim or difference (including any non-contractual disputes, claims or differences) arising out of or in connection with these Restaurant Terms, its subject matter, its existence shall be governed by and construed in accordance with English law. We both agree to the exclusive jurisdiction of the courts of England in relation to any dispute, claim or difference.
