TREMPEALEAU YOUTH SPORTS CLUB

BYLAWS

ARTICLE I

Name and Purpose

A.  The corporate name shall be TREMPEALEAU YOUTH SPORTS CLUB, a Wisconsin not-for-profit corporation (the “Club”).

B.  The purposes of the Club are to provide physical, recreational and competitive sports experiences for youth in Trempealeau and surrounding municipalities.

ARTICLE II

Membership

A.  Membership shall be defined as any parent or legal guardian of an eligible participant enrolled in an activity sponsored by the Club or any adult of legal age with an expressed interest in the business of the Club residing in the primary communities of the Club.  The primary communities include the Village of Trempealeau, the Town of Trempealeau, the Town of Caledonia and the Town of Dodge.  

B.  Membership responsibilities include adhering to the Club By-Laws, Philosophy of Participation and Code of Conduct. During the annual Club meeting members will elect individuals to serve on the Club’s Executive Board (every 2 years) and Team Directors (annually). If a director is needed following the annual meeting, the Executive Board shall be the voting body.

C. Participants are required to adhere to the Player Code of Ethics and Philosophy of Participation. Participation of specific sponsored activities are as follows, based on the age as of spring enrollment year:

  1. Tee Ball: any child in 4k, or age equivalent or in kindergarten.
  2. Rookie Ball: any child in first grade.
  3. Rookie Softball: any child in first or second grade.

D. Participants are required to adhere to the Player Code of Ethics and Philosophy of Participation. Participation of specific sponsored activities are as follows, based on the age as of January 1, of the enrollment year:

  1. Baseball: any child 8-14 years of age. Participants age eligibility shall be determined by standards set by the sports league in which Trempealeau Youth Sports Club is a member.
  2. Softball: any child 9-14 years of age. Participants age eligibility shall be determined by standards set by the sports league in which Trempealeau Youth Sports Club is a member.

E. Participants are required to adhere to the Player Code of Ethics and Philosophy of Participation. Participation of specific sponsored activities are as follows, based on the age as of June 1st enrollment year determines age for the swimming season:

  1. Swim Team: any child between the ages of 5-18 years of age who can swim at least one length of the Trempealeau Municipal Pool.

ARTICLE III

Board of Directors

  1. The Executive Board shall manage and govern the affairs of the Club, shall exercise its powers and shall control its property.  It shall determine compliance with the Club’s stated purpose and shall have the power and authority to do and perform all acts or functions not inconsistent with these bylaws or the Club’s articles of incorporation.

B. The Executive Board shall consist of no less than five (5) and no more than seven (7) voting members.

C. Terms are two (2) years for Executive Board members. Executive Board members must be voted in by a majority of Club members present at the annual meeting of the Club.

D. Individuals seeking a position as a member of the Executive Board must be a recognized Member of the Club and shall express intent to run at the annual meeting either in person or via written intent.

  1. Executive Board members shall not be a coach for TYSC.

E. Each Executive Board member shall have only one (1) vote on any voting matter.

F. Any Executive Board member vacancies that occur at any time during the two (2) year term shall be filled at the discretion of the remaining Board members.

G. The annual meeting shall be held at the end of the summer season of each year at such time and place as shall be designated by the Board provided it occurs by August 31st of each year. The purpose of the annual meeting shall be to elect Executive officers (2 years) and Team Directors (yearly) of the Club for the coming year and to transact such other business as may be desirable.

  1. New season meetings shall begin as of September 1st and end August 31st.

H. The Executive Board shall hold regular meetings at least ten times during a calendar year. The annual meeting may be counted as one of the ten meetings. Meetings are open to the public. Executive Board members must be notified at least seven calendar days prior to a meeting of the date, time and location.  Notification may be made via one or more of the following methods:  electronic distribution, posting on the TYSC website, posting at the Club’s primary concession stand, United States Postal Service, facsimile, telephone, or in person.

I.Special meetings of the Executive Board may be called by the Secretary provided he or she has received a request in writing (electronic formats are acceptable) from at least three (3) directors, or the President.

J. Fifty-one percent (51%) percent of board members must be present to achieve quorum.

K. Members of the Executive Board shall make all reasonable efforts to attend scheduled meetings of the Board. Failure to make at least eight (8) meetings per season to address the business operations of the Club may result in dismissal of the Board member and loss of volunteer hours completed.

ARTICLE IV

Officers of the  Executive Board

The Officers of the Executive Board shall be President, Vice President, Secretary, Treasurer, Baseball Representative, Softball Representative, and Swim Team Representative. Officers shall be elected by the membership at the annual meeting of the Club. No individual shall hold more than one (1) position on the Executive Board.

  1. Duties of the President
  1. The President shall provide general supervision, direction and control of the business and affairs of the Club.
  2. The President shall preside at all meetings of the Executive Board and the annual meeting.
  3. The President shall present as the spokesperson for communication with Municipality Board Members (Village of Trempealeau), Town of Trempealeau, Town of Caledonia, Town of Dodge.
  4. The President shall be a member of the Fundraising committees, to include Catfish Days and Concessions.
  5. The President shall be a member of the Hiring committee.
  6. The President shall help maintain Club website.

  1. Duties of the Vice President
  1. The Vice President shall, in the absence of the President, perform the duties of the President.  When so acting, he/she shall have all the power of and be subject to all the restrictions of the President.
  2. The Vice President shall, in the absence of the Treasurer or Secretary, perform the duties of the Treasurer or Secretary.
  3. If the President is unable, the Vice President shall present as the spokesperson for communications with Municipality Board Members.
  4. The Vice President shall facilitate the Coaches Orientation and Coordinate the Umpire Clinic.
  5. The Vice President shall be the keeper of the Club’s facility keys.
  6. The Vice President shall oversee all Club sponsorship.
  7. The Vice President shall be a member of the Hiring committee.

  1. Duties of the Secretary
  1. The Secretary shall keep a record of all minutes of all meetings.  The minutes shall include the following: 1) time and place of meeting; 2) names of those Board Members present and absent; and 3) all proceedings of the meeting including any motions and results of votes taken.  Copies of minutes shall serve as formal record of all meetings and shall be submitted to the Executive Board for approval. Upon approval of minutes, the Secretary will post the minutes and post to Board of Directors within one day of approval.
  2. The Secretary shall be the custodian of the Club By-laws and shall have said By-laws at all meetings of the Board and annual meeting.
  3. The Secretary shall be the contact person with all League Coordinators for the purpose of registering the Club and teams involved with the league and in verifying all teams are registered accurately, updated as needed and to provide information regarding team tournaments.
  4. The Secretary shall maintain club website and post all employment listings.
  5. The Secretary shall maintain an accurate yearly list of participants by municipalities and team.
  6. The Secretary shall be a member of the Registration committee.

  1. Duties of the Treasurer
  1. The Treasurer shall maintain accurate accounts of the properties and business transactions of the Club including accounting of its assets, liabilities, receipts, disbursements, gains, losses, capital and all income of any sort derived by the Club from its activities.  
  2. Upon the demand of any regular member to inspect any or all of the books of accounts, the Treasurer shall within two (2) days present accounts for inspection in the presence of the President or Vice President and one other Board member.
  3. The Treasurer shall promptly deposit all monies of the Club in the name of the Club and to the credit of the Club with such depositories as shall be designated by the Board of Directors.
  4. The Treasurer shall promptly disburse the funds of the Club in such a manner as may be ordered by the Board of Directors.  The Treasurer shall be empowered to disburse funds without Board approval provided the sum does not exceed $500.
  5. The Treasurer shall render to the Board of Directors at all meetings of the Board and Annual meeting a report of the current status of the Club along with an accounting of transactions as Treasurer.
  6. The Treasurer shall receive all time cards from Coaches, Lifeguards, Umpires, and others hired for TYSC staff and process payroll on a designated schedule.
  7. The Treasurer shall prepare an invoice for the municipalities of Village of Trempealeau, Town of Trempealeau, Town of Caledonia, Town of Dodge by July 15th to be submitted for payment per participant from municipality of residence.
  8. The Treasure shall be a member of the Fundraising committee.

  1. Baseball Representative
  1. The Baseball Representative shall help with finding directors for teams that need a director, hiring coaches, for all baseball teams, coordinate field time with all, coordinate with TYSC Secretary for team registrations as needed per League expectations, assist with any problems had with their teams and seeking additional help from the President and Vice President as needed.
  2. Works with directors on home tournament dates, etc. Coordinates home tournaments with TYSC Secretary with home tournament dates for flyer/advertisement.
  3. Representatives can not be directors.
  4. The baseball Rep shall track and monitor all required Volunteer hours.

  1. Softball Representative
  1. The Softball Representative shall help with finding directors for teams that need a director, hiring coaches, for all softball teams, coordinate field time with all, coordinate with TYSC Secretary for team registrations as needed per League expectations, assist with any problems had with their teams and seeking additional help from the President and Vice President as needed.
  2. Works with directors on home tournament dates, etc. Coordinates home tournaments with TYSC Secretary with home tournaments dates for flyer/advertisement.
  3. Representatives can not be directors.
  4. The softball Rep shall track and monitor all required Volunteer hours.

  1. Swim Team Representative
  1. The Swim Team Representative shall help with finding directors for the team, hiring coaches, coordinate practice times and meet with the Village of Trempealeau Pool Manager, assist with any problems had with their team and seek additional help from the President and Vice President as needed.
  2. Coordinate home swim meet with the TYSC Secretary with home meet date for flyer/advertisement.
  3. Representatives can not be directors.

ARTICLE V

Directors

  1. All Club Directors are voluntary for one (1) term and do not have a vote during Board meetings. The exception is the annual meeting.

  1. There will be no more than one (1) Director for each team, except for the following:
  1. Tee ball shall have one (1) and no more than two (2) Directors.
  2. Swim Team will have one (1) and no more than two (2) Directors.
  3. If current Director is training in a replacement there can be two (2).
  4. Failure to recruit and elect a director for an age group or swim team will result in a suspension of that age group until a director is elected.

C. Each Team Director will Co-Chair a Committee.

D. Team Directors shall not be a coach for TYSC.

E. Weekly communication with families regarding practices, games, and any changes/issues needed.

F. Failure to meeting the requirements may result in volunteer check being cashed.

ARTICLE VI

Amendments

  1. These Bylaws may be amended by a 51% vote of regular members present a general meeting of members provided changes are presented to the membership at least seven calendar days prior to the vote via any one or combination of the following communication methods: electronic distribution, posting on a website, posting at the Club’s primary concession stand, United States Postal Service or other method of wide distribution such as handing out at games or practices.
