This Statement of Work is entered into pursuant to the terms and conditions of that certain Master Services Agreement (the “Agreement”) dated as of DATE_OF_AGREEMENT by and between Field Creative Inc. having its principal place of business at Molson's Bank #300, 116 8 Avenue SW, Calgary, Alberta, T2P 1B3 (“Contractor”) and CLIENT_NAME having its principal place of business at CLIENT_ADDRESS  (“Client”).

1. Services

1.1. Acknowledgement

Client understands that in order to commence the work described and set forth in this Statement of Work, Contractor and Client must have negotiated and executed the Agreement.

 

1.2. Description of Services

The Contractor team will provide website development to Client based upon mutually agreed upon deliverables and goals. Contractor will provide services on a time and materials basis at a rate of $175 per hour for the creation of a new website and updated visual brand for Client that reflects a reasonable industry standard in relation to the agreed-upon estimated total fees between $low range and $high range. Contractor will make a reasonable effort to complete the project for approximately $mid range pending specific scope and requirements determined with Client during the course of the project.

Notwithstanding the foregoing, Contractor's scope of work is subject to the limitations imposed by the Client’s budget and the standards of the brand design, web design and development industry. Contractor is committed to delivering a website and updated visual brand that meets Client's requirements to the best of its abilities within these constraints. However, Contractor cannot guarantee the ability to accommodate requests or specifications that are significantly beyond the reasonable industry standards for a project of this size and budget.        

Contractor will maintain open communication with Client regarding the progress of the project, and any necessary adjustments to the project scope or specifications due to budgetary or industry standard constraints will be discussed and agreed upon in advance. If additional work is required beyond the specified maximum budget due to changes in the project scope or unforeseen complexities, Client will be notified promptly and additional budget approval will be sought before such work is undertaken.                                        

This agreement does not obligate Contractor to perform any tasks or services not explicitly included in the agreed-upon project scope or that exceed the maximum budget without additional compensation agreed upon in writing by both parties.                                

In the event that Client requires additional hours beyond the agreed upon maximum project scope or budget, then it shall request an increase to Contractor’s monthly hours in writing. Contractor may agree to provide additional hours based upon its resource inventory, and Client hereby agrees to pay for such hours at a rate of $175 per hour. Additional hours shall be billed in arrears, in the invoice for the following month’s hours.

3.1. Acceptance Criteria

“Acceptance” of Services and/or Deliverables by Client shall be deemed to occur upon achievement of all of the following: 1) each Deliverable conforms to the relevant requirement specifications as agreed upon by Contractor and Client; 2) each Deliverable has documented 100% of all acceptance test cases (as per agreed requirements) passing, testing is Contractor’s responsibility; and 3) each Deliverable is approved in writing by Client. Notwithstanding the foregoing, Client shall be limited to two (2) rounds of revisions per Deliverable, after which such Deliverable shall automatically be deemed accepted, absent a separate, written agreement between the parties.

4. Payment

4.1 Fees

Time and Materials.​ Contractor shall send an initial invoice Client in the amount of $[xxxx] to be paid on or before the Project Start Date. Thereafter, Contractor shall invoice Client on or before the first day of each subsequent month in the amount of $[xxxx]. All invoices are due upon receipt, and must be fully paid in order for Contractor to commit its agreed upon resources for the applicable month.   

4.2 Expenses

Client will not reimburse expenses unless Contractor has received Client's written approval prior to incurring such additional expenses. Contractor shall adhere to all Client expense policies received as of the Project Start Date.  Contractor shall submit expenses within thirty (30) days of incurring them and shall include receipts for amounts greater than $100.

 

5. Term and Termination

This Statement of Work shall remain effective until terminated by either party. In the event that Contractor desires to terminate this Statement of Work, it shall provide Client with thirty (30) days notice.

In the event that Client desires to terminate this Statement of Work, it shall provide Contractor with thirty (30) days notice. All outstanding fees and expenses shall be due upon termination.

6. Acceptance

EACH PARTY ACKNOWLEDGES THAT IT HAS READ THIS STATEMENT OF WORK, UNDERSTANDS IT AND AGREES TO BE BOUND BY ITS TERMS AND CONDITIONS. FURTHER, EACH PARTY AGREES THAT, ALONG WITH THE APPLICABLE MASTER SERVICES AGREEMENT, THIS STATEMENT OF WORK AND APPLICABLE CHANGE ORDERS ARE THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN THE PARTIES RELATING TO THE SERVICES DESCRIBED HEREIN, WHICH SUPERSEDES ALL PROPOSALS OR PRIOR AGREEMENTS, ORAL OR WRITTEN, AND ALL OTHER COMMUNICATIONS BETWEEN THE PARTIES RELATING TO THE SUBJECT MATTER HEREOF. CUSTOMER AGREES THAT THESE TERMS WILL CONTROL OVER ANY CONFLICTING TERMS ON ANY CUSTOMER PURCHASE ORDER.
