The Judge Foundry Bylaws Committee is pleased to announce that four amendments have been proposed for consideration at the upcoming and first Annual General Meeting (AGM). These proposed changes are aimed at enhancing the governance and functionality of our organization, ensuring our bylaws continue to serve the best interests of our members.
Below is a brief overview of the proposed amendments:
We strongly encourage all members to review these amendments in advance of the AGM. The full text of each amendment, along with detailed explanations, will be available on the Elections website for your convenience.
Importance of Your Participation: During the AGM, we will present these amendments for discussion. This is your opportunity to provide feedback, ask questions, and ultimately vote on whether these changes should be adopted. Your input is vital in ensuring that our bylaws reflect the collective voice of our community.
During the meeting, each of these proposals can be amended on the floor during debate. However, any amendments need to fit within the scope of this notice. This means parts of the bylaws that are not under consideration cannot be amended at this time.
In this notice, Amendments 1 and 2 are shown in a three-column format to help visualize where and how the text in the bylaws will change. Text that doesn’t have a strikethrough or underline in the middle column can’t be changed. Likewise, for Amendments 3 and 4, text outside the new sections to be added can’t be changed.
Changes need to be within the idea or concept given in the notice. The classic example is changing a number in the bylaws from 10 to 20. On the floor, the proposal could be changed to any number between 10 and 20 but not outside that range. These proposals do not strictly require an up-or-down vote; they can be improved on the floor, but any improvements must fit within the scope of the changes shown in this notice.
