Board of Directors Job Description

Director

The members of the Board of Directors are members of the club who are approved by the membership to serve on the club’s Executive Board. In that role, they have voting responsibilities, and may provide valuable guidance to the club’s leadership team by virtue of their executive experience with FSRC. As an all-volunteer organization, FSRC operates effectively through the significant volunteer contributions of its members. From that perspective, the members of the Board of Directors are expected to set a good example by serving as active volunteers for FSRC.

Board responsibilities are recognized in Maryland law.  These responsibilities are: Care, Loyalty, and Obedience.  Board members are expected to know how these responsibilities apply to them as individuals and as members of the board.

The following duties are performed by a member of the Board of Directors:

  • Participate in discussion and vote on items affecting club budget, policy and reputation
  • These votes can include legal obligations as well as best interest items for the club and its members
  • Most of the discussion and voting on the aforementioned items take place at board meetings
  • Attendance of at least two board meetings per year will be expected.
  • attendance at all board meetings is suggested
  • Although attendance is not mandatory, directors who are absent are nevertheless legally bound by actions taken at those meetings and will be held responsible if any such actions are considered negligent. Lack of knowledge of an issue due to failure to attend meetings is not considered a defense in a court action.
  • Occasionally, due to timing and urgency, some of the discussion / voting of aforementioned items take place electronically (i.e., via email)
  • Participation in electronic discussions is expected
  • recusal is required if conflict of interest or possible perception of conflict of interest for a particular topic
  • voting in electronic discussions is expected
  • abstention is allowed
  • no vote required if recused
  • Volunteer for club activities or operations
  • preference is that director holds a leadership position within the club such as committee chair, race director, etc.
  • suggested level of volunteer commitment is a minimum of 20+ hours / year, in addition to board meeting attendance
