Dolphins Foundation (“MDF”), and provide to Sponsor, or otherwise cause Sponsor to

receive, the following Benefits:

50/50  Raffle MDF shall recognize Sponsor as the presenting sponsor of MDF’s

charitable  50/50  raffle  (the  “Raffle“)  during  the  Term,  which  reco gnition  shall  include, at a minimum, the following benefits:

Sponsor name  and/or  logo  recognition  in  connection  with:  (a)two  (2) videoboard  features  on the  Stadium LED  video  boards  during  Raffle announcements, (b) two (2) public announcements in Hard Rock Stadium in connection   with   the   Raffle,

(c)   the   Raffle   official   webpage,   (dapproximately fourteen (14) branded kiosk

s and ambassador apparel, and (e Raffle ticket receipts provided to purchasers.

MDL shall provide, or otherwise cause Sponsor to receive:i. Official  Designation  and  Use  of  Team  Marks The right  to  refer  to  itself  as  an “Official Cryptocurrency of the Miami Dolphins.”  Such use shall include the limited right to use the Team Marks, subject to the limitations as described hereunder.

Benefits MDL shall recognize Sponsor as a presenting sponsor of MDL’s in stadium Team trivia (the “Trivia“) held during  each  Team preseason  and  regular season  home  game  played  at  the  Stadium which  recognition  shall  include,  at  a minimum,  the  following  benefits:  (1)

one  (1)  video  board  trivia feature  to  be broadcast on the in

Stadium video boards prior toeach Team preseason and regular season home game played a

t the Stadium during the Term, which broadcast time for each such feature shall be determined by Stadium LLC; (2) subject to applicable laws

and user consent/approval, one (1) cobranded Trivia push notification to users of the

Team’s official mobile application within the Stadium; and (3) Sponsor name or logo

recognition on the official Trivia landing page/hyperlink.  

Email  Blasts

Sponsor  name  and/or  logo  recognition  in four  (4MDL  email newsletters  with  the  content, timing  and  recipients  of  such  email  blast  to  be determined by MDL.

Twitter

Sponsor  name  or  logo  reco gnition  in  a  total  of  eight  (8)  posts  from  the Team’s official Twitter account (currently, @miamidolphins) promoting the Raffle

The nature, content, and timing of such posts shall be determined by MDL in its sole discretion.

 

Banner  Advertisement

Five  (5) rotating  banner  advertisements  on  the  Team’s official   website  (c

Urrently www.miamidolphins.com),   which   shall   collectively deliver  a  total  at  least  one  million  (1,000,000)  impressions.

Sponsor  shall  be responsible  for  the  design  and  production  of  such  banner advertisements  in accordance  with  the  specifications  provided  by  MDL, which  shall  be  subject to MDL’s prior written approval. The dates of such advertisements shall be determined

by MDL, following consultation with Sponsor.

 

Sponsor/Member Events

Two (2) tickets to three (3) Team partner and/or member events each Contract Year

.Sponsor acknowledges that separate  admission tickets are required for entrance to the Stadium on dates when Team home games or other events  are  scheduled  to  take  place  at  the  Stadium  and  that  Sponsor  shall  be exclusively  responsible  for  purchasing  and providing  such  tickets  to  any  Sponsor attendees.  All aspects of such events, including, without limitation, dates, times, and locations, shall be determined by the Dolphins Parties in their sole discretion.

Stadium LLC shall provide, or otherwise cause Sponsor to receive:

StadiumVision

Four (4) fifteen second (:15) banner advertisements (no audio) to run on  the  StadiumVision  in

stadium  television  network  during  each  Team preseason and regular season home game played at the Stadium.

Sponsor shall be responsible for the  production and  delivery  of  such  advertisements  in the  format requested  by Stadium LLC, which advertisements shall be subject to Stadium LLC’s prior written approval.

The broadcast time for such banner advertisements shall be determined by Stadium LLC.

 

Litecoin Sponsorship Agreement

One minute (1:00) of Sponsor corporate trade name or corporate logo recognition on the Stadium’s 300 level  fascia  LED  scoreclock  during  each Team  preseason  and  regular  season  home  game  played  at  the  Stadium  during  the

Term.

Sponsor shall be responsible for the production and delivery of such rotations in the format requested by Stadium LLC, which advertisements shall be subject to Stadium LLC’s prior written approval.

The broadcast time for such recognition shall be determined by Stadium LLC.

Term

Unless terminated earlier pursuant to the Terms and Conditions, the term of this

Agreement

shall be for two (2) Contract Years (as hereafter defined) commencing as of the Effective Dat e and terminating March 31, 2021 at 11:59 p.m. (EST) (“Term ”). “Contract Year” shall mean each twelve (12) month period commencing on April 1 (except for the first Contract Year, which shall commence upon the Effective Date) and ending on the

Immediately following March 31 during the Term and when used with a year, shall refer to the Contract Year starting in such calendar year (e.g., the 2019 Contract Year shall commence on the Effective Dat e and conclude on March 31, 2020; and the 2020 Contract Year shall commence upon April 1, 2020 and conclude on March 31, 2021
