Article I - Name
This Organization shall be known as ALVIRNE - HMS FRIENDS OF MUSIC, herein after referred to as “FOM” or “Friends of Music”. Any reference to masculine pronouns in this document shall be intended to refer to either male or female gender.
Article II - Location
The Friends of Music organization shall use the address of: Alvirne High School

Article III - Objectives
- To support and promote the education, growth, and development of music within the Alvirne High School and Hudson Memorial School Music Departments.
- To cooperate with the Director(s) of the Music Department, School Administration and the Hudson School Board by building and maintaining an organization of parents and interested adults which will help to promote the general activities of the Music Department.
- To enhance the learning experience of the entire Music Department by contributing financial support for the maintenance, expansion and transportation of said Department.
- To make every endeavor possible to ensure that no student is denied the opportunity to participate in the program activities due to financial need. All financial information shall be kept confidential with access to said information being limited to those who have a need to be knowledgeable of said information.
- To provide opportunities for scholarship(s) for post-secondary education of Alvirne High School students involved in the Alvirne High School music program.
- To organize, raise funds, and/or promote such concerts, competitions, or performances as deemed appropriate by the Music Department Director(s).
Article IV - Membership
- Eligibility for membership shall be open to anyone, 18 years or older, interested in promoting the purpose of this organization and willing to share in its work. Alvirne High School and Hudson Memorial School students may not be voting members.
- Membership provides the right to vote and hold office.
- Membership shall not be denied to any person based upon race, creed, religious, or sexual preference.
- The membership year runs from July 1st to June 30th.
Article V - Officers
The officers of the FOM shall be known as the “Executive Board” and shall include the following positions: President, Vice President of Operations, Vice President of Fundraising, Secretary, Treasurer, Assistant Treasurer and Director of Music.
Article VI – Committees
Committees shall be established for the purpose of operating the functions associated with the objectives of this constitution. The Music Director shall have oversight and authority over all committees in order to safeguard the rules and regulations of Alvirne High School and Hudson Memorial School
Committee Chairs
Committee Chairs appointed by the Executive board will adhere to the requirements of this Constitution, the By-Laws and the applicable Alvirne High School and Hudson Memorial School regulations in conduct of their designated tasks.
These committees may include but are not limited to:
- Public Relations
- Volunteer Recruiting
- Photography/History
- Cabaret
- Uniform Management
- Social Media
- Fundraising
- Scholarship
Article VII - Revenue
The Executive Board shall determine whether annual membership dues are required and the specific amount.
No member of FOM shall be denied membership due to financial need.
All fund raising activities shall be for the advancement of Music Education, performance and Community enjoyment and will be defined and/or limited by Section 501 (c)(3) of the Internal Revenue Code.
Funds and fund raising activities will be accounted for in categories such as:
- General Fund: Any activity that is performed by adult volunteers.
- Deleted Corporate/Business Fund: Donations received in the name of Friends of Music for the support of the Alvirne High School and Hudson Memorial Music Departments.
Article VIII - Conflicts of Interest
No individual registered member may profit or be paid a wage or stipend for performance of volunteer work associated with the Friends of Music organization. Only "out of pocket" expenses may be reimbursed as approved by the Executive Board.
Any possible conflict of interest on the part of any Executive Board member of the Friends of Music organization shall be disclosed in writing to the Executive Board.
Article IX - Appropriations
Operating Budget:
The Music Department’s objectives and goals for the following school year will be presented to the Executive board in June of each year. Based on this information an operating budget will be developed by the Executive board. The proposed budget will be approved by a simple majority of the registered members present at the June general meeting.
Article X - Limitations
- The Friends of Music organization shall work with the Music Director(s) in the Alvirne High School and Hudson Memorial Music Departments and will in no way interfere with the Music Program.
- Not withstanding any other provisions of these articles, the organization shall not carry on any other activities not permitted to be carried on (1) by an organization exempt from Federal income tax under section 501(c)(3) of the Internal Revenue Code of 1988 (or the corresponding provision of any future United States Internal Revenue Service), or (2) by a organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code of 1986 (or corresponding provision of any future United States Internal Revenue Service).
Article XI - Dissolution
Upon the dissolution of this organization assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code (or corresponding section of any future tax code), or shall be distributed to the federal government, or to a state or local government, for public purpose. Any such assets not so disposed of shall be disposed by the Court of Common Pleas of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
Article XII - Amendments
- Proposed changes and amendments to the constitution must be made in writing and presented to an Executive board member at least 30 days prior to any general meeting.
- The Executive board will ascertain if any additional changes might be required in order to meet the intent of the proposed change.
- The Executive Board is empowered to summarily reject any and all proposed changes that directly oppose the spirit of the FOM Constitution or school regulations.
- Upon approval by the Executive Board the proposed changes will be provided to the registered membership at least 10 days prior to the next scheduled general meeting.
- A two-thirds (2/3) vote of the registered membership present and voting shall be required to approve proposed changes.
- Once approved, the changes will be incorporated into the Constitution and made available to registered FOM members.
Article XIII – Execution
The intent of this constitution will be executed through implementation and enforcement of the Alvirne - HMS Friends of Music By-Laws.
