GOVERNANCE AND MANAGEMENT POLICY
- PURPOSE
This policy is to outline the systems and process by which Green Umbrella OSHC Inc. (Green Umbrella) is held accountable to make sure the right decisions are made. We view good governance and management as essential to our provision of quality education and care.
- POLICY STATEMENT
Green Umbrella is committed to ensuring a high standard of governance and accountability to its stakeholders by:
- Conducting our affairs legally, ethically and with integrity, ensuring compliance with all funding, regulatory and legislative requirements placed on Green Umbrella,
- Remaining solvent and complying with all our financial obligations,
- Identifying organisational risks and legal obligations and managing these,
- Ensuring mechanisms are in place for fair and transparent governance.
- PRACTICE
Green Umbrella OHSC Inc. has a legally constituted Board who have the overall responsibility to educate and support the rights of children, its members and staff.
- Strategic Direction
The Board sets the strategic direction of the Out of School Hours Care program and monitors performance. In consultation it articulates the philosophy,vision and focus. The current focus is to provide:
- A high quality service
- Good governance
- Financial sustainability and
- Ongoing environmental sustainability
- Policy Management
A comprehensive set of policies are in place that comply with relevant legislation. They are updated as required.
- Policies are generally reviewed every 2-3 years by staff, the nominated supervisor, and signed off by the Board.
- Copies of relevant policies are distributed to staff and families as needed. Policies are also available on the webpage and in the policy book at the Centre.
- Compliance
The Board will:
- Provide effective governance to ensure overall management of Green Umbrella’s business and financial objectives.
- Delegate the responsibility of implementing the strategic plan and day-to-day management of Green Umbrella to the nominated supervisor.
- Review, ratify and monitor systems of risk management and internal control, codes of conduct, and legal compliance.
- Authorise appropriate delegations within Green Umbrella.
- Monitor the nominated supervisor’s performance and implementation of strategy.
- Approve and monitor financial and other reporting.
- Approve and monitor the progress of major capital expenditure.
- Risk Management
The Board will:
- Ensure the organisation operates with and to a valid Constitution and that all governance and management practices of the Board and staff align with the Constitution,
- Demonstrate achievement of this through accessible meeting minutes,
- Assist Board members to receive ongoing support and professional development in the implementation of effective and evidence based governance practice,
- Commit themselves to ethical, businesslike, and lawful conduct, including proper use of authority and professional decorum when acting as Green Umbrella Board members,
- Demonstrate un-conflicted loyalty to the interests of Green Umbrella,
- Avoid or state conflicts of interest with respect to their role,
- Respect the confidentiality of all information obtained during meetings or through their role.
