Labsuit Terms of Service,

These Terms of Service constitute a binding agreement between Labsuit Project, Ltd. (“Labsuit”) and yourself.

While the preamble to these terms is not considered a part of these terms and shall not be used to interpret them, we wish to bring you the essence of Labsuit’s terms in order for you to understand the rights and responsibilities that are a part of these terms.

Labsuit is a web based service which allows you to manage your laboratory’s inventory, share it with other laboratories, manage your purchase orders from suppliers, search for materials you need that are located nearby and browse our laboratory index.

Labsuit does not share your identity with other users, nor does it reveal the substances in your lab. However, Labsuit does information in an aggregated, non-identifiable, manner.

Labsuit is provided free of charge, where some additional or premium features may be offered to you, and billed after obtaining your explicit consent.

Labsuit specifically disclaims any warranties and/or promises as to the full and uninterrupted nature of these services, and shall never be liable to any damage.

  1. Registration / Eligibility: In order to register to the services, Labsuit may perform several actions to verify your identity, including the authentication of your email account, or validation of other information.
  1. Eligibility: Who Can Register? By accepting these terms, you hereby warrant that you are entitled to Labsuit's eligibility terms (stated below) and that, if you are operating on behalf of a corporation (such as a university or an institute), that you are a designated agent of the corporation and that all its end-users and employees adhere to these terms as well.
  1. Age: You are over 18 years of age, or if you are a corporation, the corporation is valid and allowed to enter into this agreement. If you are under 18, you obtained your parents consent to these terms of service.
  2. Position: You are a designated agent of a laboratory, university, research institute or any other private entity which is the proprietor of a chemical substance laboratory. Currently, you are required to have a .ac or .edu email address to register. if you do not have such email address, please contact Labsuit.
  3. Solvency: You are solvent and have not filed for bankruptcy, liquidation, debt arrangement or otherwise lost your ability into entering into agreements such as these terms.
  4. Residence: You do not reside in any proscribed state nor in any state that is embargoed by the United States department of commerce.
  1. How To Register: When you provide Labsuit with your electronic mail, then it may send you an email to authenticate your email address and send a notification email to the address you provided it. In the said email, Labsuit may include information or a link to authenticate your email account as the proprietor of the said address.
  2. Information You Provide: When registering to the services, you shall be required to provide Labsuit with some information, such as the identity of your lab, the institute where the lab is located in, your phone number, your email and your first and last name.
  3. Securing Your Account: Security: Due to the sensitivity of information stored on your behalf on service and the potential risk, you may be required to enter a password for your account. Please do not allow others to use your account. You are required to inform Labsuit, immediately, upon any case where you believe that your account was breached and in any case you are in knowledge of any unauthorized use of any Labsuit account. Such notification shall be by email to support@labsuit.com.
  1. One Account for One User: Labsuit’s policy is to have one account for one person, and one person for one account. You cannot hold more than one account, and you cannot allow others to access your own account. If you are a corporation, then you can grant other users access to your account though the service’s features, but you will be the one held liable for any damage which they may cause.
  2. Passwords: Labsuit strongly encourages the use of strong accounts (such as, ^e6usrh$@V&K% or correcthorsebatterystaple , but don't use these two) and that using the same password for more than one user or in more than one website is considered a bad practice.

  3. Providing your Password to others: You are specifically prohibited from sharing your password with any 3rd party.
  4. Labsuit’s Liability: Labsuit shall not be liable in any case where you did not adhere to these security guidelines and shall not be able to assist you in any manner should you refrain from using Labsuit’s best practices as published from time to time.
  1. Adding Other Users to the Lab: It is Labsuit’s policy that Labs can have up to 50 users; if you have more than 50 users, please contact Labsuit for a premium account.
  1. Services: For the purpose of these terms, the following shall be construed as Labsuit's services.
  1. Manage Inventory: Labsuit shall avail you to a web-based apparatus to manage your lab’s inventory, add items, remove them and track their inventory.
  2. Sharing Inventory: Labsuit shall allow you to share your inventory with others, within your institute. You could specify with whom and what to share on lab basis, and substance basis.
  3. National Search: Labsuit operates the “National Search” program which allows you to find out whether an item exists in a nearby lab. The identity of the lab with the item, and its name, shall remain confidential unless it agrees to disclose it.
  4. Import and Export: Labsuit allows you to import and export your inventory through excel files. You may either upload them in a specific format, or request that Labsuit’s personnel do this manually.
  5. Search Inventory: Labsuit may allow you to search your inventory either by chemical parameters, CAS number or lab. The search parameters based on information imported from public sources and may not be always accurate.
  6. Creating Purchase Orders and Price Comparison: Labsuit shall provide you with a web based panel to create purchase orders and to compare pricing from different vendors which signed deals with Labsuit. Please note that the prices in purchase orders are provided by 3rd parties and that Labsuit cannot ensure that they are accurate.
  7. Order Management: Labsuit shall provide you with a web based panel to manage your purchase orders.
  8. Lab Management: Labsuit shall provide you a web based index for laboratories, and may allow lab managers to manage the users in their Lab.
  9. Export drawings: Labsuit shall allow you to export your chemical structures (or chemicals) through its web interface.
  10. Invite Friends to open an account: Labsuit shall allow you to invite your friends to set up an additional account.
  1. Payments and Fees: Labsuit’s basic service is free of charge. Labsuit may charge for additional features and premium services, such as labs with more than 50 users or manual import of excel files. In such cases, as the services are tailor made for you, there will be no refunds.
  2. No Malicious Activity: You shall not use Labsuit’s services for any malicious activity, including the management and planning of any illegal activity, warfare, conspiring against any lawful regulatory authority or regime, and/or any activity which requires licenses. You acknowledge that if you use Labsuit’s services in a manner which Labsuit may suspect that you plan any such activity, then it is Labsuit’s duty to notify the applicable authorities.
  3. Privacy Policy:  Privacy Policy: Labsuit values your privacy, and therefore has set up this extensive privacy policy to inform you of your rights. Please take into consideration that Labsuit may disclose some information to 3rd parties as a part of its services, and shall obey local regulations if required by law.
  1.  What Personal Information Does Labsuit Retain? Labsuit may retain some personal information that you provided it, including your name, institution, lab, phone number, address, your IP address, and other information such as your payment apparatus and other information you provide it.
  2.  What Non-Personal Information Does Labsuit Retain? Labsuit may also retain some non-personal information about you, such as information relating to your use of the services, pages you viewed, information about your browser type, devices and other information.
  3. How Will Labsuit Use The Information? Labsuit uses the information in order to provide you and other users the services, as well as to improve the services. Moreover, Labsuit will send you timely updates, which you can always opt-out of. Labsuit will also use aggregated, non-personally identifiable information for statistical purposes and monitoring.
  4. Who Has Access To Your Information? Labsuit’s employees and contractors, which are under strict confidentiality obligations, have access to your data. Moreover, some 3rd parties who provide Labsuit’s software and plaftorms also have access to such information, including: Google Analytics, MailChimp, Amazon Web Services, Heroku and ClearDB.
  5. How Is Your Information Secured? Labsuit uses 3rd party services, which provide increased securities and backups. Labsuit shall not disclose your app, or any other information, to any 3rd party apart from where specified in this Privacy Policy or when compelled to do so by an authorized legal authority.
  6. How Can You Review Your Information or Delete It? Labsuit allows you to review your personal information through the Labsuit Panel; please keep in mind that if you delete your personal information, Labsuit may still retain backup copies for audit and backup purposes.
  7.  What can you do if your privacy was violated? If you feel your privacy was compromised, you can contact Labsuit’s privacy officer at support@labsuit.com and request that he’ll review your complaint.
  1. Support: Currently, and due to the early stage of the Labsuit service, support is only provided by Electronic mail and during regular business hours at support@labsuit.com.
  2. Liability:  For no case and for no reason shall Labsuit be held liable for any damage, direct or indirect, consequential, exemplary, physical or special, to you, any other user or any 3rd party due to its misperformance of duties herein. Labsuit provides Service on an AS-IS basis and shall not be held liable, to the extent permitted by law, by any case of misconduct, negligence, gross negligence, malice or any other mean, to any damages or loss of property, virtual property, reputation and business reputation, user account information including login information, loss of profit, loss of good name, all resulting from the use or inability to use Labsuit services.
  3. Warranty: Labsuit does not warrant for Service and supplies it on an “as-is” and “as-available” basis. Your Use of Service is at your own risk and under your liability. Labsuit makes no warranty that (i) the Service will meet your requirements and (ii) the Service will be uninterrupted, timely, secure, or error-free and (iii) the results that may be obtained from the use of the service will be accurate or reliable and (iv) the quality of any products, services, information, or other material purchased or obtained by You through service will meet your expectations, or (v) any errors in the service will be corrected.
  4. Indemnification: You hereby warrant and agree to hold Labsuit harmless and to indemnify Labsuit for any damage, loss, expense, legal expense or cost incurred as a result of (i) Your use of the Services in direct violation of these terms of service, including any false representation; OR (ii) any claim, complaint or notification filed maliciously or negligently against any Labsuit or other Labsuit user where no such claim had any legal standing.
  5. Terminating These Terms: Labsuit shall have the right to terminate your use of the Labsuit service or to terminate the Labsuit service at any time and by providing a 7 day prior notice. However, Labsuit may terminate your use of the Labsuit service at any time and without prior written notice in any case where you breached these terms and such breach may cause Labsuit irreparable harm.
  6. Amending These Terms: Labsuit may amend these terms from time to time, provided that you shall be informed by electronic mail upon such change.
  7. General: These Terms govern your use of the Labsuit service and shall be the sole agreement in effect relating to these services. These terms shall be solely governed by the laws of the state of Israel and any dispute arising from it shall be solely brought to the competent courts of the Haifa District in Israe. You hereby warrant and undertake not to initiate any class action lawsuit against Labsuit and to solely seek your own damages.
