Asset Transfer Agreement

This Asset Transfer Agreement (the "Agreement") is made effective as of Month Day, Year (the "Effective Date") between:

Transferor:  Any School PTA (the "PTA")

AND

Transferee: Any School (the "School")

         125 Learning Way, Happyville, SC 29999


1. Subject of Transfer

The PTA hereby agrees to transfer, convey, and assign to the School all rights, title, and interest in and to the following playground equipment (collectively, the "Assets"):

2. Purpose of Transfer

The transfer of the Assets is made for the express purpose of benefiting the students and the educational community of Lake Forest Elementary School, ensuring the continued use, maintenance, and availability of the playground equipment. The transfer is intended to be a gift from the PTA to the School and is made without any monetary consideration. 


3. Warranties and Representations

The PTA represents and warrants to the School that:

a. It is the sole owner of the Assets and has the full right, power, and authority to transfer the Assets to the School.

b. The Assets are transferred "AS-IS," "WHERE-IS," and "WITH ALL FAULTS," and the PTA makes no warranties or representations, either express or implied, regarding the condition, fitness for a particular purpose, merchantability, or safety of the Assets.

c. The School acknowledges and agrees that it will be solely responsible for the inspection, maintenance, repair, and safety compliance of the Assets immediately upon the Effective Date.


4. Transfer Date and Delivery

The transfer of possession and title to the Assets shall be deemed completed on the Effective Date as the Assets are currently situated on the School's property. No physical movement or delivery by the PTA is required.


5. Indemnification and Liability

Upon the Effective Date, the School agrees to assume all risk and liability associated with the ownership, use, condition, and maintenance of the Assets. The School further agrees to indemnify, defend, and hold harmless the PTA from and against any and all claims, liabilities, losses, damages, or expenses (including reasonable attorneys' fees) arising from or related to the Assets, their condition, use, or maintenance after the Effective Date.


6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of South Carolina.


7. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, of the parties.
