Comcast intends to buy Time Warner Cable. Buying the second-largest U.S cable-TV company would add more than 11 million residential subscribers to Comcast’s reach. It also would bring Comcast into the New York City market and give the company more leverage with content providers. http://money.cnn.com/2014/02/12/investing/comcast-time-warner-cable/

To help approval, Comcast plans to sell cable systems serving about 3 million subscribers so that its national footprint does not exceed 30% of the country, people involved in the deal said. The 30% benchmark was the previous FCC cap on cable ownership until a federal court tossed out that rule in 2009.

* The roughly 30 million total would represent about 30 percent of the U.S. pay television video market.

* The two companies together will control about half of what is called triple-play services — video, voice and internet — in the U.S.

* Om Malik says it’s all about broadband, not TV

* But this is far from a done deal. It will come under heavy government scrutiny.

* $44 billion or $45.2 billion - all-stock transaction

* three fourths of the U.S. only has the choice of two providers according to FCC data

* Charter Communications had courted Time Warner Cable since June

* Comcast now the undisputed leader in cable

* Time Warner Cable shareholders will own about 23 percent of Comcast’s common stock.

* Charter is unlikely to match Comcast’s bid

* The acquisition values Time Warner Cable at about $69 billion including net debt

* $17 billion acquisition of NBC Universal was completed in 2013.Q: Bryan, you wrote a piece about Why you should be scared of Comcast and Time Warner Cable merging. Why should we be scared?
