WELLSTON HIGH SCHOOL ALUMNI AKA “WELHISCO ALUMNI CLUB”
ARTICLE 1 – PURPOSE SECTION A: PURPOSE. The association shall promote the spirit of alumni unity and camaraderie through communications and reunions, to locate alumni, and to acquire and maintain school and club memorabilia.
SECTION B: DOMICILE. The Club will maintain its principle place of operation in Missouri.
ARTICLE 2 - MEMBERSHIP
SECTION A: ELIGIBILITY. Any individual who attended (graduate or not) Wellston High School between the years 1939 through 1969, or, who taught at the Wellston High School is eligible to become a member of the Welhisco Alumni Club.
SECTION B: MEMBERSHIP TYPE. Voting alumni are members who have contributed to the Guarantors Fund or paid yearly dues becoming a member. Non-voting alumni are non paying members who attended Wellston High School between the years of 1939 through 1969.
SECTION C: DUES. Annual dues $10.00. Term of annual membership shall run from January 1st through December 31st, the Association’s fiscal year. Dues will not be prorated.
SECTION D: NON-VOTING MEMBERS. Non-voting members may contribute (no less than $10.00) to a General Fund and become a voting member at anytime.
SECTION E: ALLOCATION. All dues collected will be deposited into a General Reunion Fund known as Welshico Alumni and will be used to pay any or all expenses incurred by the Welhisco Alumni Club.
SECTION D: GUARANTOR FUND: The Guarantor Fund is dedicated funds that will be used for reunion start-up cost to include all advance fees for reservations of facilities for future reunions. These funds will be held in a special account and will be loaned to multi-class reunions to cover start-up costs. Funds from the General Reunion Fund may be loaned to single class special reunions at no interest, for start-up costs. All loaned funds must meet the approval of Welhisco Alumni Club Officers and Trustees. ARTICLE 3 – ASSOCIATION OFFICERS SECTION A: OFFICERS. Officers of the Association shall be the President, Secretary/Treasurer, and Trustees. Officers of the Association may only hold one office. Terms of office are three years; terms will begin on January 1st after election. Election for Officers is voted on by the voting members of Welhisco Alumni Club. Vacancies occurring before term is over will be filled by the choice of the standing officers and trustees at the time of vacancy.
SECTION B: TRUSTEES. There will be five Trustees for the Association who will oversee the finances of all reunions through the review of the Presidents proposed budget and finance plan. They will monitor and control the Guarantor and General Reunion accounts, oversee all Association business, all communications, and maintain Welhisco Alumni Club memorabilia.
SECTION C: PRESIDENT. The president of the association shall be the chief operation officer, who will direct and control the activities of the various reunion committees.
SECTION D: SECRETARY/TREASURER. There will be one Secretary-Treasurer who will be in charge of all finances and funds collected through the association. Who shall deposit funds in a regular bank or trust.
ARTICLE 4 – STANDING COMMITTEES
SECTION A: NEWSLETTER EDITOR. The Editor will be in charge of the Welhisco Alumni Newsletter to be published at least twice a year and mailed to all voting members of the Association, either via USPS, E-Mail, or a combination of both. A publications committee may be picked by the Newsletter Editor to help with the development of the Newsletter. The newsletter editor position is appointed by Welhisco Alumni Club Officers.
SECTION B: WEBMASTER. The Webmaster is responsible for supporting the Association’s Website and managing the site’s evolution and well being. The Webmaster will work with the elected Officers and the Standing Committees to ensure Website consistency and timeliness: and finding tools to help in Website development and maintenance. This position is appointed by Welhisco Alumni Club Officers.
SECTION C: DATABASE MANAGER. The Database Manager will maintain the names and addresses of all Wellston High School Alumni, keeping the database up to date with changes of addresses or telephone numbers, and e-mail addresses. Enter into the Database all new alumni found. The Database Manager will work with the President, the Standing Committees, and the Class Representatives for changes and additions to the Database. This position will be appointed by Welhisco Alumni Club Officers.
SECTION D: EMAIL MANAGER. The online Email Manager, one to three people, will monitor the Associations’ email communications answering questions concerning reunion information, address changes, etc. This position will work with the Officers and the standing committees. Email Manager will be appointed by Welhisco Alumni Club Officers.
SECTION E: CLASSMATES REMEMBERED MANAGER. The Classmate Manager will keep and maintain an up to date database of the Classmates who have passed away. This position will work with all the Standing Committee Members and the President.
ARTICLE 5 – CLASS REPRESENTATIVES AND COMMITTEES
SECTION A: Class Representatives can be one, or up to three, people per class. They will maintain communications with their respective classmates and be a liaison for the President and the Standing Committee Members.
SECTION B: Ad Hoc Reunion Committee Members will help with the set-up of all reunions, working with the respective class representatives and the President on all projects such as, but not limited to, Buzzbook publications, fundraisers, mailings, name tags, and alumni comments published in the Buzzbook.
SECTION C: Nominating Committee Members shall be three people who will receive and record the nominations for Association Officers. The nominations will be recorded on ballots and will be voted on by the voting members of the Welhisco Alumni Club. The Nomination Committee Members will be in charge of counting the votes. Nominations must be recorded three months before elections.
ARTICLE 6 – EXISTENCE
SECTION A: IMPLEMENTATION. These Bi-Laws will be implemented on January 1st of the year following approval. These Bi-Laws shall be approved by a majority vote of the Members returning ballots.
SECTION B: AMENDMENT. The Association Officers shall set the policy for amending these Bi-Laws and shall send amendments that they approved to the Membership for final approval. A simple majority vote of the Members returning ballots is required.
ARTICLE 7 – DISSOLUTION OR CLOSURE
SECTION A: APPROVAL. The Trustees must approve a motion to dissolve the Association by three-fourths majority vote and then send the approved motion to the remaining Membership for ratification. Dissolution will be approved by three-fourths of the Members returning ballots voting in favor of the motion.
SECTION B: IMPLEMENTATION. Once dissolution has been approved, all liabilities and obligations of Welhsico Alumni Club will be discharged or adequate provisions to discharge them will be made. Any remaining assets will be distributed to the Wellston School District for the purpose of Scholarship’s which is determined to be consistent with the Club’s purpose.
ARTICLE 8 – GENERAL PROVISIONS.
SECTION A: COMPENSATION. Officers, Standing Committees, Class Representatives, and Ad Hoc Committees shall receive no compensation for their services. Compensation for expenses will be made only if the expenditures were contained in the President’s Program Budget Plan and approved by the Trustees.
SECTION B: CONTROL. All checks, drafts, loans, or other orders for payment of money, notes, and other evidence of indebtedness issued in the name of the Association shall be signed by the Secretary Treasurer, or the President, after being approved by the Trustees. If the Secretary Treasurer or the President is unavailable, a Trustee may sign in the Treasurer’s or the Presidents place.
