FSNA Constitution/Bylaws
NAME:
Fry’s Spring Neighborhood Association (FSNA)
OBJECT:
The conservation and enhancement of the Fry’s Spring neighborhood as an attractive, safe, enjoyable place to live.
PURPOSE:
The FSNA shall bring community members together to discuss neighborhood issues; the FSNA shall protect and improve the quality of life in the Fry's Spring neighborhood; the FSNA shall advocate for the neighborhood at public hearings and in community forums.
FSNA GENERAL MEMBERSHIP:
Voting Members:
Membership is open to all those living or owning property in the neighborhood (see map for neighborhood boundaries) who pay annual dues.
Associate (non-voting members):
Any person who agrees with FSNA’s purpose, and who will support the Association in accomplishing it shall be enrolled as an associate member of FSNA upon signifying interest to an executive board member and paying annual dues. Associate members shall not be allowed to vote.
All voting members and associate members shall be known as the FSNA general membership.
EXECUTIVE BOARD:
Officers:
President, vice-president, corresponding secretary, recording secretary, treasurer
Board Members:
Up to six board members including the FSNA's past president.
The officers and board members, or person empowered by them, shall represent the FSNA to all organizations and individuals.
The officers and board members shall be known as the Executive Board.
MONTHLY GENERAL MEMBERSHIP MEETINGS:
The FSNA shall meet monthly and the meetings shall be open to the public.
ANNUAL GENERAL MEMBERSHIP MEETING
A general membership meeting shall be held each year to elect officers and board members and to collect dues from those wishing to be FSNA general members.
EXECUTIVE BOARD MEETINGS:
The executive board shall meet three or four times a year.
TERMS OF OFFICERS AND BOARD MEMBERS
The executive board members shall be elected each year at the annual FSNA general membership meeting.
All FSNA voting members are eligible to be elected as an officer or to the board.
DUTIES OF EXECUTIVE BOARD:
The officers and board members, or person empowered by them, shall represent the FSNA to all organizations and individuals.
Additional duties of officers and board members shall include, but not be limited to regular attendance of monthly general membership meetings; regular attendance of executive board meetings; staying informed on issues of neighborhood concern and interest; attendance of planning commission, city council and other local and regional meetings as needed.
COMMITTEES:
An executive committee member shall be in charge of the work, and of the members serving on the committee. Committee members shall be appointed by the president. Non-FSNA general members may serve on a committee.
Task forces shall work on short-term, specifically targeted issues of immediate importance for the neighborhood. An executive committee member shall be in charge of the work, and of the members serving on the task force. Task force members shall be appointed by the president. Non-FSNA general members may serve on a task force.
AMENDMENT:
The constitution may be amended by a majority approval of FSNA general members at the annual general membership meeting.
RULES OF ORDER:
The FSNA shall conduct all business according to Robert's Rules of Order.

EXECUTIVE BOARD:

Board Members:
Any
official communication made in the name of the FSNA shall be
distributed to all officers and members of the board. A majority of
officers and board members must approve any official communication made
in the name of the FSNA. All individuals representing the FSNA shall
make a written record of their communication that will be filed with
the corresponding secretary within 14 days. This communication shall
be shared with the general membership through email or the FSNA website.
MONTHLY GENERAL MEMBERSHIP MEETINGS:
The FSNA shall meet on the second Wednesday of every month from 6:00 until 7:30 p.m. at the Cherry Avenue Christian Church
A quorum shall consist of four officers or board members and ten FSNA voting members.
Audio recordings of the entire meeting and written transcriptions of any motions made in the meeting will be made available electronically within 14 days of the meeting.
The executive board meeting shall be open to FSNA voting members unless the President declares it a closed meetings. FSNA voting members in attendance shall not vote or participate in the executive board meeting. Due to space limitations, FSNA voting members wishing to attend the executive board meeting shall contact an officer or board member in advance of the meeting.
A quorum shall consist of a majority of the officers and board members.

Planning committee:
The Planning Committee shall be responsible for writing proposals to the Executive Board for regional visions, common missions, policies, strategies, and resolutions of issues referred to it by the Executive Board.
Membership committee:
The membership committee shall be responsible for recommending and implementing strategies for increasing membership in the FSNA.
AMENDMENT:
The bylaws may be amended by a majority approval of the FSNA membership at any monthly general membership meeting.
