CONSTITUTION
 
Article I

Section 1. The name of this organization shall be the Granby Arts Project.

Section 2. The address of this organization shall be the mailing address of the president.


Article II

Section 1. The purpose of this organization shall be to promote, organize, rehearse and present theatrical presentations for the education, enjoyment, and literary enlightenment of the members of this organization and of the general public.


Article III

Section 1. Any person who is interested for the purposes for which this organization is formed is eligible for membership herein with full and equal rights and privileges accorded to every other member.


Article IV

Section 1. The government of this organization shall be an adult Board of Directors comprised of four officers and five members-at-large. The officers shall consist of the president, vice-president, secretary and treasurer.


Article V

Section 1. No member of this organization shall have any individual or personal rights, title, or interest in any property, real or personal, belonging to this organization. Any rights, title, or interest that may exist in any member, by virtue of being such member, shall cease upon determination of his or her membership. Any property existing upon the dissolution, abandonment, or termination of this organization shall, upon a vote cast in a manner provided in the Bylaws hereinafter enacted, be given to some worthy nonprofit organization.


Article VI

Section 1.This constitution may be amended by presentation of said proposed amendments at any regular organizational meeting and to be followed by a majority vote of members present at the following regular meeting. Three officers must be present at a meeting for an amendment vote.


BYLAWS

 

Article I

Section 1. Any person who is interested for the purposes for which this organization is formed is eligible for membership herein with full and equal rights and privileges accorded to every other member.


Article II

Section 1. The dues of this organization shall be established by a majority vote of the group at the beginning of each fiscal year, not to exceed the sum of $10 per year. Dues shall be payable in advance and due at the commencement of the fiscal year hereinafter provided.

Section 2. A user fee is optional for each production. The amount of the fee is to be determined by the production staff and approved by the Board of Directors. If a fee is used, a family fee will be set at no greater than double the individual fee.

Section 3. The fiscal year will be from July 1st to June 30th.


Article III

Section 1. The government of this organization shall be vested in the Board of Directors duly elected by the membership.

Section 2. The Board of Directors shall have control of the property and management of the organization, subject to the will of the membership. Funds form this organization shall be withdrawn from the account where they are on deposit by the treasurer or another officer. All withdrawals must be made by check for all expenses, including reimbursements, which are within the guidelines of the approved budget for the show.

Section 3. Vacancies in any office shall be filled by the vote of the membership; such appointee is to serve for the duration of the term of the individual being replaced.


Article IV

Section 1. At the annual election, there shall be elected a president, vice-president, a secretary, and a treasurer, all of whom shall constitute the officers of this organization. There shall also be elected five members-at-large, in addition to the officers, to comprise the Board of Directors.

Section 2. Voting shall be by the individuals and no person shall cast more than one ballot, and no proxy votes will be recognized.

Section 3. The Board of Directors shall take office at the annual meeting, after the results of the election are known.


Article V

Section 1. Regular organization meeting shall be called as necessary by an officer. This date shall be determined before the close of each meeting.

Section 2. The Annual Meeting, including the nomination, election, and installation of officers, shall be held before the end of school each year, and notice will be published prior to this meeting.

Section 3. Special meetings may be called by the officers. Special meetings would be any meetings occurring between regular meetings. All special meetings will be published by the officer who called the meeting.


Article VI

Section 1. The President, as chief executive officer of the organization, shall supervise the organization’s affairs and activities and shall make an annual report thereon to the members. The president shall also determine the agenda for each meeting.

Section 2. The Vice President shall preside at membership meetings in the absence of the president and work with president as necessary.

Section 3. The secretary takes notes and records minutes at meetings. The secretary shall also make copies of minutes of previous meetings and agenda for next meeting available to all members. The secretary shall also keep a record of members.

Section 4. The Treasurer is responsible for managing all financial and fiscal requirements for the organization.

Section 5. Members-At-Large shall serve on standing or ad hoc committees and perform duties as assigned by the President or the Board of Directors.


Article VII

Section 1. The Board of Directors shall appoint the director.

Section 2. After a show has been chosen, the Board of Directors and director shall then appoint a production staff necessary to produce the chosen show.


Article VIII

Section 1. The president shall call for volunteers, and shall appoint a reading committee consisting of not less than two members, to review plays recommended by the Director of Production, and present them to the membership.

Section 2. The casting committee must read and be familiar with the play being cast and it will be their duty to contact and interest old and new members best suited for the parts. The director, producer, and where applicable, music director and choreographer (casting committee) shall determine casting of production with director having final say.

Section 3. Any member of the general public is eligible to try out for a part in a production of this organization.

Section 4. All rehearsals of the productions presented by this organization shall be closed to everyone except members of this organization except by invitation and approval of the Director of Productions.

Section 5. For each production of this organization, the Board of Directors and production staff shall appoint all committees. The number of committees and number of persons of each committee shall be at the discretion of said officers and production staff.


Article IX

Section 1. Each year, this organization shall give a scholarship, the Granby Arts Project Scholarship, to a graduating high school senior, who is continuing their education, and who has helped or performed in a Granby Arts Project production.

Section 2. The amount of the scholarship will be decided by the Board of Directors.

Section 3. The scholarship committee shall consist of members, who will be appointed by the officers at the annual meeting. No committee member can be eligible, or can have a family member who is eligible for the scholarship.

Section 4. The scholarship committee will organize and review the application and choose the recipient(s).


Article X

Section 1. Procedural voting shall follow Robert’s Rules of Order.

Section 2. These Bylaws may be amended by presentation of said proposed amendments at any regular organization meeting and to be followed by a majority vote of members present at the following regular organization meeting. Three officers must be present at this vote. One person equals one vote.
